HomeMy WebLinkAboutContracts & Agreements_224-2019AGREEMENT TO PERFORM PROFESSIONAL SERVICES This agreement for the provision of a tracer study and an operations plan update for the Horace Hinckley Water Treatment Plant ("Agreement") is made and entered in this 19th day of November, 2019 ("Effective Date"), by and between the City of Redlands, a municipal corporation ("City") and Carollo Engineers, Inc ("Consultant") City and Consultant are sometimes individually referred to herein as a "Party" and, together, as the "Parties " In consideration of the mutual promises contained herein, City and Consultant agree as follows ARTICLE 1 — ENGAGEMENT OF CONSULTANT 1 1 City hereby engages Consultant to provide a tracer study and an operations plan update for the Horace Hinckley Water Treatment Plant services for City (the "Services") 1 2 The Services shall be performed by Consultant in a professional manner, and Consultant represents that it has the skill and the professional expertise necessary to provide the Services to City at a level of competency presently maintained by other practicing professional consultants in the industry providing like and similar types of Services ARTICLE 2 — SERVICES OF CONSULTANT 2 1 The Services that Consultant shall perform are more particularly described in Exhibit "A," entitled "Scope of Services," which is attached hereto and incorporated herein by reference 2 2 Consultant shall comply with applicable federal, state and local laws and regulations in the performance of this Agreement including, but not limited to, State prevailing wage laws ARTICLE 3 — RESPONSIBILITIES OF CITY 3 1 City shall make available to Consultant information in its possession that may assist Consultant in performing the Services 3 2 City designates Chris Boatman, Interim Municipal Utilities and Engineenng Department Director, as City's representative with respect to performance of the Services, and such person shall have the authority to transmit instructions, receive information, interpret and define City's policies and decisions with respect to performance of the Services ARTICLE 4 — PERFORMANCE OF SERVICES 4 1 Consultant shall perform and complete the Services in a prompt and diligent manner in accordance with the schedule set forth in Exhibit "B," entitled "Project Schedule," which is attached hereto and incorporated herein by reference 1 L IcalddmlAgreements\Carollo Engineers Agreement.PS 1 1 docdn 4 2 Consultant shall complete the Services by July 31, 2020, unless the Services are terminated earlier as provided for herein 4 3 If Consultant's Services include deliverable electronic visual presentation matenals, such materials shall be delivered in a form, and made available to the City, consistent with City Council adopted policy for the same It shall be the obligation of Consultant to obtain a copy of such policy from City staff ARTICLE 5 PAYMENTS TO CONSULTANT 5 1 Total compensation for Consultant's performance of the Services shall not exceed the amount of One Hundred Seventy Three Thousand Six Hundred Twenty Six Dollars ($173,626) City shall pay Consultant on a time and materials based upon the hourly rates set forth In Exhibit "C," entitled "Cost Proposal," which is attached hereto and incorporated herein by reference 5 2 Consultant shall submit monthly invoices to City describing the Services performed dunng the preceding month. Consultant's invoices shall include a brief descnption of the Services performed, the dates the Services were performed, the number of hours spent and by whom, and a descnption of reimbursable expenses related to the Services City shall pay Consultant no later than thirty (30) days after receipt and approval by City of Consultant's invoice 5 3 Any notice or other communication required, or which may be given, pursuant to this Agreement, shall be in wnting Any such notice shall be deemed delivered (i) on the date of delivery in person, (ii) five (5) days after deposit in first class registered mail, with return receipt requested, (iii) on the actual delivery date if deposited with an overnight couner, or (iv) on the date sent by facsimile, if confirmed with a copy sent contemporaneously by first class, certified, registered or express mail, to each case properly posted and fully prepaid to the appropriate address set forth below, or such other address as a Party may provide notice in accordance with this section. City shall be named as an additional insured and such insurance shall be primary and non-contributing to any insurance or self-insurance maintained by City C Business Auto Liability coverage, with minimum limits of One Million Dollars ($1,000,000) per occurrence, combined single limit bodily injury liability and property damage liability This coverage shall include all Consultant owned vehicles used in connection with Consultant's provision of the Services, hired and non -owned vehicles, and employee non -ownership vehicles City shall be named as an additional insured and such insurance shall be pnmary and non-contnbutmg to any insurance or self-insurance maintained by City D Consultant is expressly prohibited from assigning or subcontracting any of the Services without the prior wntten consent of City In the event of mutual agreement by the Parties to assign or subcontract a portion of the Services, Consultant shall add such assignee or subcontractor as an additional insured to the insurance pohcies required hereby and provide City with the insurance endorsements prior to any Services being performed by the assignee or subcontractor 6 2 Consultant shall defend, indemnify and hold harmless City and its elected officials, employees and agents from and against any and all claims, losses or liability, including attorneys' fees, arising from injury or death to persons or damage to property occasioned by any negligent act or omission by, or the willful misconduct of, Consultant, or its officers, employees and agents in performing the Services ARTICLE 7 — CONFLICTS OF INTEREST 7 1 Consultant covenants and represents that it does not have any investment or interest in any real property that may be the subject of this Agreement or any other source of income, interest designated employee -within the meaning of the Political Reform Act because Consultant A Does not make a governmental decision whether to (i) approve a rate, rule or regulation, or adopt or enforce a City law, (u) issue, deny, suspend or revoke any City permit, license, application, certification, approval, order or similar authorization or entitlement, (iii) authorize City to enter into, modify or renew a contract, (iv) grant City approval to a contract that requires City approval and to which City is a party, or to the specifications for such a contract, (v) grant City approval to a plan, design, report, study or similar item, (vi) adopt, or grant City approval of, policies, standards or guidelines for City or for any subdivision thereof B Does not serve in a staff capacity with City and in that capacity, participate in making a governmental decision or otherwise perform the same or substantially the same duties for City that would otherwise be performed by an individual holding a position specified in City's Conflict of Interest Code under Government Code section 87302 7 3 In the event City determines that Consultant must disclose its financial interests, Consultant shall complete and file a Fair Political Practices Commission Form 700, Statement of Economic Interests, with the City Clerk's office pursuant to the written instructions provided by the City Clerk ARTICLE 8 — GENERAL CONSIDERATIONS 8 1 In the event any action is commenced to enforce or interpret any of the terms or conditions of this Agreement the prevailing Party shall, in addition to any costs and other relief, be entitled to the recovery of its reasonable attorneys' fees, including fees for the use of in-house counsel by a Party. 8 2 Consultant shall not assign any of the Services, except with the prior wntten approval of City and in strict compliance with the terms and conditions of this Agreement Any assignment or attempted assignment without such prior written consent may, in the sole discretion of City, results in City's immediate termination of this Agreement 8 3 Consultant is for all purposes under this Agreement an independent contractor and shall perform the Services as an independent contractor Neither City nor its agents shall have control over the conduct of Consultant or Consultant's employees, except as herein set forth Consultant shall supply all necessary tools deemed to have been employed by City or engaged by City for the account of, or on behalf of City Consultant shall have no authority, express or implied, to act on behalf of City in any capacity whatsoever as an agent, nor shall Consultant have any authority, express or implied, to bind City to any obligation 8 4 This Agreement may be terminated by City, in its sole discretion, by providing not less than five (5) days pnor written notice to Consultant of City's intent to terminate If this Agreement is terminated by City, an adjustment to Consultant's compensation shall be made, but (1) no amount shall be allowed for anticipated profit or unperformed Services, and (2) any payment due Consultant at the time of termination may be adjusted to the extent of any additional costs to City occasioned by any default by Consultant Upon receipt of a termination notice, Consultant shall immediately discontinue its provision of the Services and, within five (5) days of the date of the termination notice, deliver or otherwise make available to City, copies (in both hard copy and electronic form, where applicable) of project related data, design calculations, drawings, specifications, reports, estimates, summaries and such other information and materials as may have been accumulated by Consultant in performing the Services Consultant shall be compensated on a pro -rata basis for Services completed up to the date of termination 8 5 Consultant shall maintain books, ledgers, invoices, accounts and other records and documents evidencing costs and expenses related to the Services for a period of three (3) years, or for any longer period required by law, from the date of final payment to Consultant pursuant to this Agreement Such books shall be available at reasonable times for examination by City at the office of Consultant 8 6 This Agreement, including the Exhibits incorporated herein by reference, represents the entire agreement and understanding between the Parties as to the matters contained herein, and any pnor negotiations, written proposals or verbal agreements relating to such matters are superseded by this Agreement Except as otherwise provided for herein, any amendment to this Agreement shall be in writing, approved by City and signed by City and Consultant 8 7 This Agreement shall be governed by and construed in accordance with the laws of the State of California 8 8 If one or more of the sentences, clauses, paragraphs or sections contained in this Agreement is declared invalid, void or unenforceable by a court of competent jurisdiction, the same shall be deemed severable from the remainder of this Agreement and shall not affect, impair or invalidate the remaining sentences, clauses, paragraphs or sections contained herein, unless to do so would deprive a Party of a material benefit of its bargain under this Agreement 5 Llcaldim\Agreements\Carollo Engineers Agreemcnt.PS 1 1 doe in EXHIBIT "A" SCOPE OF SERVICES The City of Redlands would like to update the Operations Plans for its two surface water treatment plants The following Scope of Work details the tasks that Carollo Engineers, Inc will complete with respect to the Water Treatment Plant Operations Plan Consulting Services to be performed at the City of Redland's Hinckley Water Treatment Plant (HWTP) and Tate Water Treatment Plant (TWTP) This scope of work will be completed within approximately 6 -months of receiving the Notice to Proceed and is more fully described by the following Tasks Task 1 - Initiate Project Task 1.1. Carollo will develop a Project Management Plan The PMP will be the road Map for the project The PMP will include information on the project team, the scope of services, the schedule, the monitoring tool (S-curve), the lines of communication with the City and within Carollo, the file management and data exchange procedures, the quality management procedures, the City provided and Carollo reference documents, and the Action Items and Decision Log forms to be used on the project Task 12 Carollo will plan and schedule the kick off meeting with the City Carollo will also plan and schedule the field visits to the HWTP and the TWTP. The field visits will allow the project team to collect information for updating the HWTP Operations Plan (OP) and the TWTP OP, and to plan for the tracer studies The field visits will include discussions of issues that may anse during the testing such as disposal of excess water production produced during high flow tests, determination of dates for testing, and plant personnel's responsibilities during testing Tracer addition location(s), effluent sampling locations, and equipment required for the tracer studies will also be discussed and defined Task 1 3. Carollo will conduct the kick off meeting and the two field visits during a two consecutive day time penod Task 2 - Perform Tracer Studies at IIWTP After Task 1 is completed, Carollo will perform up to two tracer studies at HWTP There will be no tracer testing at the TWTP Task 2.1. Carollo will prepare a draft test protocol for the HWTP If deemed feasible during Task 1 2, we will plan on using the step -feed method where the tracer is added continuously for the duration of the test instead of the pulse- feed method where the tracer is added all at once This would avoid the higher than 100 -percent tracer recovery that can sometimes occur Submit the draft test protocols to DDW for comment After receiving comments from DDW, Carollo will finalize the test protocol, and plan for the field work 7 L lcaldjm\Agreements\Carollo Engineers Agreement.PS 1 1 doc in Task 2.2. Conduct the two tracer studies at HWTP over a five-day period Two engineers will set up the equipment and conduct the test at HWTP They will be responsible for tracer chemical addition, sample collection over a period of 3 hydraulic residence times after the start of each test The City will be responsible for maintaining the flow rate constant (+/- 10 -percent) for the duration of each test It is anticipated that DDW will require that the test be conducted at no less than 90 -percent of the maximum plant flow rate We propose to use lithium chloride as the tracer chemical Lithium has the advantage of being detectable down to 5 p,g/L Thus, smaller volumes of tracer chemical could be used This would help minimize the higher than 100 -percent tracer recovery risk by minimizing the tracer dumping time whether if DDW insists that the pulse -feed method must be used It has been assumed that the City will arrange for the laboratory analysis and sample bottle preparation Task 2.3. After receiving the sample analysis results from the laboratory, Carollo will prepare the tracer study report, and submit it to DDW for approval Deliverables- Draft Test Protocol, Final Test Protocol, Test Report Task 3 - Update HWTP Operations Plan and TWTP Operations Plan After Task 1 is completed, Carollo will update the two Operations Plans through a four -step process in parallel with the work preceding under Task 2 Task 3.1. Develop and submit a draft Table of Contents (TOC) for the City's approval The TOC will be the same for the HWTP OP and the TWTP OP We are proposing to modify the organization of the OPs to make them easier to update in future Each OP will be organized in four parts Engineering, Operations, Monitoring, and Administration The last part will include all the sections that the City may need to update in the future This will facilitate future updates It is anticipated that each Operations Plans will include the following sections• 1 Introduction 2 Unit Process Description 3 Chemical Feed System Description 4 Facility Operation and Control 5 Performance Monitoring Program 6 Administration a Policies b Emergency Response Plan c Staffing d Record Keeping e Equipment Maintenance f Chemical Equipment and Suppliers g Distribution System Monitonng Plan Also, it is understood that the City would tike to have the plant operators make use of the updated Operations Plans on a day-to-day basis and also for training The format for the 8 L Ica\djm\Agreements\Carollo Engineers Agreement.PS 1 1 doc.jn Operations Plans will be similar to the attached example (Attachment A) developed for Mesa Water District, including SCADA screen captures with associated discussion Task 3.2. Once we get the TOC approved, we will proceed with developing the draft OPs Task 3.3. We will present the draft OPs to the City as part of a workshop Our objective is to facilitate the City's review At the City's discretion, the Division of Drinking Water (DDW) :District Engineer may be invited to attend the workshop so that the team can get early feedback on the draft OPs and speed up further DDW review Task 3.4. Once we receive the City's comments, we will develop the final draft OPs and submit them to the DDW District Engineer Task 3.5. We will present the final draft OPs to DDW and the City as part of a second proposed workshop Our objective is to get DDW engaged with reviewing the OPs m order to accelerate DDW's review process Task 3.6. After comments have been received from DDW, they will be incorporated into the OPs and the final versions will be produced and submitted to the City It is assumed that the City will submit the final version of the OPs to DDW Deliverables Draft OP TOC, Draft OPs, Final Draft OPs, and Final OPs Task 4 - Project Management Carry out general project management for the duration of the project, including internal kick off meeting, internal conference calls and meetings, and invoicing, monthly progress reports, bi-weekly conference calls with City's Project Manager, and project closing The scope of work includes a total of 3 in-person meetings/workshops, including - Project Kick -Off Meeting - Workshop No 1 to discuss the draft OPs Workshop No 2 to present the draft OPs to the City and DDW Deliverables: Meeting Agendas, Meeting Minutes, Invoicing, Monthly Progress Reports Assumptions The following assumptions were used in the development of this scope of work and the associated fee estimate shown in Exhibit B 1 Project duration will be approximately 6 -months following the Notice to Proceed 2 Analytical work associated with the tracer study will be earned out by the City's laboratory atno cost to Carollo 3 There will be no tracer study at the TWTP 4 The City will submit the final version of the Operations Plans to DDW 5 Operations Plans will be developed to allow them to be more useful to the Plant 9 L Icaldjm\Agreements\Carollo Engineers Agreement.PS 1 1 doc.jn Operations staff, along the lines of the example shown in Attachment A 10 L IcaldjmlAgreements\Carollo Engineers Agreement.PS 1 1 docjn PS 1 1 (1 24 19) Example Operations Plan to use as basis for preparing updates to the City of Redlands Operations Plans for HWTP and TWTP Section 2 NORMAL STARTUP AND OPERATION Normal operation of Well No 7 is done remotely through Mesa Water's supervisory control and data acquisition (SCADA) software This startup checklist assumes that the operator is not physically at the site and is using the SCADA system 2.1 OPERATOR RESPONSIBILITY The rehabilitation of the well sites represents a sizable investment for Mesa Water The operator's responsibility is to protect and monitor this investment by properly maintaining and operating the well site to the highest efficiency level practical, keeping economic and budgetary considerations in mind The operator must • Be thoroughly familiar with all equipment and their purpose, know proper operational and monitoring procedures, and use this knowledge to operate the system effectively • Be aware of safety hazards connected with well site operations • Maintain accurate and complete operation and maintenance records 2 2 NORMAL OPERATION STARTUP CHECKLIST The following start-up checklist is to be used when the well site has been set up for continuous operation and all system components are calibrated and in good working order Starting Well No 7 is done remotely through Mesa Water's SCADA system Figure 2-1 shows an example of SCADA screen for Well No 7 Pnor to every startup of the well site, the following procedures should be performed 1 Check Permissives - Click the "Check Permissives" button in the Control box (as shown in Figure 2-1) to verify each of the 33 permissives are shown as green If any of the permissives are shown in red, the option to start the well pump will not be permitted except "Distribution Valve Closed," which will be red before start- up A list of the permissives is shown in Figure 2-2 11 WELL 07 1.
