GRANT AGREEMENT
This Grant Agreement is entered into this 17`h day of May,2011 ("Effective Date"), by and
between the Redevelopment Agency of the City of Redlands ("Agency"), and Timothy Best and
Greg Best on behalf of the Best Trust(together"Owner").
1. PURPOSE OF GRANT. The Agency hereby grants to the Owner the sum of Fourteen
Thousand Three Hundred Dollars ($14,300). The grant funds shall only be used to pay for to the
construction of a gate (the "Work") upon the property located at 400 Church Street, Redlands,
California(the "Property") described in the Contractor Agreement between the Owner and Alltek
West Development Inc.("Contractor") dated May 17,2011.The Owner has carefully reviewed the
Contractor Agreement and has accepted the Contractor Agreement terms by signing it, a copy of
which is on file with the Agency (the"Contractor Agreement").
2. INDEMNIFICATION. The Owner shall at all times defend, indemnify and hold harmless
the Agency and the City of Redlands(the"City"),and all of their respective officers,employees and
representatives, from and against all claims,suits,damages,costs, losses and expenses,(including,
but not limited to fines, penalties, litigation costs,and attorney's fees) arising out of or connected
with the Work performed by the Contractor under the Contractor Agreement.
3. DISBURSEMENT OF GRANT FUNDS. Funding for payment for the Work shall be
derived from the Agency's low and moderate income housing fund. The Agency will pay the
Contractor on behalf of the Owner based upon the completion of the Work, as determined by the
Agency's Executive Director,or his or her designee,payable as set forth in the General Conditions
of the Contractor Agreement. Any extra work and/or work not performed in accordance with the
Contractor Agreement will not be paid for by the Agency. Owner authorizes the Agency to disburse
funds for payment for the Work directly to the Contractor.
The Payment requests shall be submitted to the Agency for approval. All work authorized by the
Contractor Agreement and approved by the Agency may be paid, at the direction of the Executive
Director, or his or her designee, after written request for payment has been received and an
inspection of the Work by the City's Building& Safety Division and/or the determination by the
Executive Director that the Work provided for under the Contractor Agreement has been completed
in conformity therewith.
4. NO TRANSFER OF GRANT. This grant shall not be transferable in the event the Owner
sells the Property prior to or during the course of the Contractor's performance of the Work.
5. COMMENCEMENT OF WORK. The Owner agrees that the Work shall not commence
until all permits are issued and a proceed order is issued by the Agency in connection with the
Contractor Agreement. The Owner agrees that neither the Agency nor the City will be responsible

for, or reimburse the Owner for, any funds advanced to the Contractor by the Owner. The Owner
agrees that materials purchased, Work commenced,or construction agreements signed prior to the
effective date of this Agreement are solely the Owner's responsibility, and are not eligible for
reimbursement by the Agency.
6. The Owner acknowledges that property taxes and assessments may increase as a result ofthe
Work contemplated by this Agreement,and the Owner agrees that neither the City nor the Agency
shall have any responsibility with respect to any such taxes or assessments.
7. The Owner agrees that in consideration of the Agency's providing the Grant to the Owner,
the Owner shall restrict one retail unit on the Property,commencing referred to as"Unit No. 7,"as
affordable housing for persons of low income,as that term is defined in California Health and Safety
Code section.50093 for a period often(10)years from the Effective bate of this Grant Agreement.
The Agency shall have the right to require the Owner to annually certify that the occupant of the
restricted unit qualifies as a low income tenant_ The Agency shall have all legal remedies available
to it to ensure the Owner maintains the restricted unit as required herein.
