Agreement. Agency and Developer have entered into an Owner Participation Agreement("Agreement"), dated as of March 20, 2007, which provides for Developer to redevelop an approximately .12 acre parcel of real property which is located at Assessor Parcel Number 0169- 106-08 on Tribune Street in the City of Redlands (the "Site"),and described in Exhibit "A" attached hereto and incorporated herein. The Developer is required to construct a single family detached house (the "House") on the Site as a self-help, "sweat equity" project. and sell the House to a Very Low Income Household at an Affordable Housing Cost, The Agency has provided a loan to the Developer (the "Agency Loan") for a portion of the costs of the acquisition of the Site and the development of the House. The Agreement is available for public inspection and copying at the otTice of the Buyer, 35 Cajon Street, Suite 200, Redlands, California 92373-1505. All of the terns, conditions, provisions and covenants of the Agreement are incorporated in this Memorandum by reference as though written out at length herein, and the Agreement and this Memorandum shall be deemed to constitute a single instrument or document. 2. Purpose of Memorandum. This Memorandum is prepared for recordation purposes only, and in no way modifies the terms, conditions, provisions and covenants of the Agreement. In the event of any inconsistency between the terms, conditions, provisions and covenants of this Memorandum and the Agreement, the terms, conditions, provisions and covenants of the Agreement. shall prevail. 1 of The parties have executed this Memorandum of Agreement as of the date set forth above.
