This first amendment("First Amendment")to the agreement for the provision of services
associated with the City of Redlands' employee assistance program dated July 2, 2013 (the
"Agreement"), by and between the City of Redlands, a municipal corporation ("City") and
Community Action EAP, Inc. ("Consultant**) is made and entered into this 17'h day of
September,2013.
RECITALS
WHEREAS, it is the desire of City and Consultant to amend Exhibit "A," and Section
5.11, of their existing Agreement to amend the scope of services of the agreement and to reduce
compensation for such services,
NOW,THEREFORE, City and Consultant agree as follows:
AGREEMENT
Section 1. Exhibit -A- of the Agreement, entitled "Scope of Services," is hereby
amended to read as shown in Attachment"]." attached to this First Amendment.
Section 2. Section 5.1 of the Agreement is hereby amended to decrease the
Consultant's compensation and shall read as follows:
4'5.1 The total compensation for Consultant's performance of the Services shall be in
the amount of Seven Thousand Seven Hundred Forty Dollars ($7,740) plus Critical Incident
Stress Debriefing,at an hourly rate of One Hundred Ten Dollars ($110.00) on an as needed basis,
as outlined in Option 3. City shall pay Consultant in monthly progress payments for the Services
performed for each billing period in the amount of Six Hundred Forty-Five Dollars($645)."
Section 3. All other PrOViSiODS of the Agreement shall remain in full force and effect.

IN WITNESS WHEREOF, the parties have executed this First Amendment, to be
effective as of September 17, 210 13.
