Change Order: No. 1
The following changes are hereby made to the Software and License Implementation Agreement
("Agreement"), between Advanced Utility Systems Corporation ("Consultant") and the City of
Redlands ("Organization"), in accordance with Sections 1.1 (n) and 5.1 (b) of the Agreement.
Under Section 3.1 of the Agreement:

Description:
Using the City Utility Billing System backup tape, Advanced, utilizing a third party
vendor, will extract and convert the City's existing Utility Billing system data into Access
database files for use by Advanced in the CIS Infinity Software application, based on the
following identified work elements:

Basis and Assumptions:
The cost is based on an evaluation by Advanced of a tape received from the City of
Redlands in November 2000. A current backup tape, with raw (unprocessed)data
through 3/28/01, will be transmitted April 4, 2001 to Advanced to begin the
extraction/conversion process under this change order.
- The cast is based on fourteen years of consumption and transaction data history.
The costs include up to five refreshed data conversions.

JUSTIFICATION
The purpose of this change order is to authorize the timely conversion of the City's Utility
Billing System data, based on the use of a third party vendor by the Consultant.
The City has been unable to complete the requirement to extract the data from its existing
system based on pre-set deadlines, resulting -in a serious delay in the project
implementation and uncertainty as to how to proceed with future conversion. Most
significantly, the City's inability to extract all of the data within a reasonable timeframe
(considered to be five business days) has made the original option anticipated in the
Statement of Work no longer viable.
In an attempt to resolve this issue, the Consultant has recommended the use of a third party
vendor to extract the data and convert it to a Microsoft Access database. The Consultant
has contacted and received a quote from a third party vendor to extract and convert the
data. The approach to data extraction would require that the City provide a backup tape of
raw (unprocessed) billing data which the third party vendor would use to convert the data
into Access files. This approach will allow the Consultant to be able to complete the
conversion process on a timely basis and allow the implementation to move forward.
Consultant hereby certifies that all work specified in this Change Order shall be performed in
accordance with the original Agreement requirements except as modified by this Change Order.
