This first amendment("First Amendment")to the agreement for the provision of information
and telecommunication consulting services dated January 4, 2013 (the "Agreement") by and
between the City of Redlands, a municipal corporation ("City"), and ClientFirst Technology
Consulting ("Consultant"), is made and entered into this 28th day of January, 2013. City and
Consultant are hereafter,together, referred to as the"Parties."
RECITALS
WHEREAS,it is the desire of Consultant and City to amend Section 5.1 and Exhibit"A"of
their existing Agreement to increase telecommunication administrative services to be provided to
City by Consultant, and correspondingly adjust Consultant's compensation therefore by Three
Thousand Dollars($3,000);
NOW, THEREFORE, in consideration of the initial promises contained herein, City and
Consultant agree as follows:
AGREEMENT
Section 1. Paragraph 5.1 of the Agreement is hereby amended to increase the
Consultant's compensation by Three Thousand Dollars($3,000)to a total of Forty-Two Thousand
Nine Hundred Twenty-Five Dollars($42,925), and to read as follows:
"5.1.The total compensation for Consultant's performance of the Services shall
not exceed the amount of Forty-Two Thousand Nine Hundred Twenty Five
Dollars($42,925). City shall pay Consultant on a time and materials basis up to
the not to exceed amount, in accordance with Exhibit"C"entitled"Project
Costs,"and based upon the hourly rates shown in Exhibit"D,"entitled"Rate
Schedule." Both Exhibits"C"and "D"are attached hereto and incorporated
herein by this reference."
Section 2. Exhibit"A" of the Agreement is hereby amended to include the additional
services to be provided to City by Consultant as described in Attachment"I"hereto.
Section 3. All other provisions of this Agreement shall remain unchanged by the First
Amendment, and in effect.

IN WITNESS WHEREOF,the Parties have executed this First Amendment to be effective as
of January 28,2413.
