DATA AND SOFTWARE PERMISSION FORM
City of Red[artds ("Contributor")grants
Environmental Systems Research Institute,Inc.,SSRI GLOBAL,INC.(hereinafter collectively"Esri") and Esri
authorized International Distributors the express,nonexclusive,royalty-free,worldwide Iicense and permission to use,copy,
adapt,edit,modify,merge,translate.reproduce,(re)publish,publicly display and perform,(re)distribute,and/or(re)broadcast
the Contributor's data,models,software,scripts,or related materials(hereinafter collectively referrers to as the"Work")as
more fully described in Exhibit I herein for any marketing or business purposes("Purposes")in any format or medium of
communication now known or Later developed.Purposes include,but are not limited to,the following types of uses: Esri
software releases and documentation,general marketing and promotional activities,demonstrations,benchmarks.trade
shows,seminars,educational or training materials,books,web pages,web demonstrations,graphic snapshots,and
animation/video clips.
Please note any exceptions or restrictions to the use rights granted above:
Esri Business partners are also granted the same rights as Esri

Once permission has been granted,Esri and Esri authorized International Distributors shall have the continued right to use��
and redistribute Contributor's Work until such time as Contributor provides written request that such use rights shall cease.
Thereafter,Esri and Esri authorized International Distributors may continue their right to use Contributor's Work until the
current inventory of tangible materials,in any format,has been exhausted or undergoes a substantial revision,whichever
comes first.
In consideration for the use rights for which permission has been granted above and in order to assist Esri in the proper usage
of Contributor's Work,Contributor requests the following attribution notice(s)accompany Contributor's Work:

upon the intellectual property_ or proprietary rights of any third party.Further,Contributor represents and warrants that
Contributor's Work does not contain any information that is unlawful,libelous,or violative of any person's right to privacy or
publicity.Contributor agrees to defend.indemnify.and hold harmless Esri and Esri authorized International Distributors,as
applicable,and its directors,officers,employees,and contractors from and against any and all liability,expense,costs,and/or
damage arising out of Contributor's failure to meet the obligations of this Agreement.
