FOR THE PROVISION OF PROFESSIONAL SERVICES
This second amendment ("Second Amendment") to the agreement to provide document
scanning and management services dated September 2, 2014 (the"Agreement"), by and between
the City of Redlands, a municipal corporation ("City"), and American Microimaging, Inc.
("Consultant"), is made and entered into this 20th day of October, 2015.
RECITALS
WHEREAS, it is the desire of City and Consultant to amend their existing Agreement,
specifically Section 5.1 entitled "Payment and Notice," to include fees for additional document
scanning and management services with no changes to the Initial Term;
NOW, THEREFORE, City and Consultant agree as follows:
AGREEMENT
Section 1. Paragraph 5.1 of the Agreement, entitled "Payment and Notice" is hereby
amended to read as follows:
5.1 Compensation for Consultant's performance of Services during the twenty four
(24)months of the Initial Term shall be as follows:(1)Ninety Five Thousand Three
Hundred dollars ($95,300) for Consultant's document scanning and
implementation, licensing and training for a document management system for
City's Municipal Utilities and Engineering Department; and (2) Thirty Four
Thousand Forty dollars ($34,040) for the implementation and licensing of the
equivalent document management system for City's Development Services
Department.
In addition to the compensation for Thirty Four Thousand and Forty dollars
($34,040) for the implementation and licensing of the equivalent document
management system for the Development Services Department, compensation for
Consultant's performance of an additional amount of document scanning services,
shall be Forty Nine Thousand Seven Hundred Thirty Seven dollars ($49,737), for
a total compensation of Eighty Three Thousand Seven Hundred and Seventy Seven
dollars ($83,777). This shall include the scanning of approximately 560,000
documents located in City's Development Services Department.
In addition to the compensation described above, additional compensation in the
amount of Sixteen Thousand One Hundred Seventeen dollars ($16,117)will be for
Consultant's performance of the following:database conversion of the City Clerk's
current records system, software implementation and training of the equivalent
document management system, and scanning of approximately 36,800 documents.
Further, additional compensation in the amount of Forty Thousand One Hundred
Sixty Four dollars($40,164)will be for Consultant's performance of the following:
software training and implementation of the equivalent document management

system for City's Human Resources Department and scanning of approximately
363,000 documents."
Section 2. The Scope of Services for the Agreement is amended to include additional
document scanning and management services as described in Exhibit"A"attached hereto.
Section 3.All other provisions of the Agreement and the First Amendment shall remain in
effect and unchanged by this Second Amendment.
IN WITNESS WHEREOF, the parties have executed this Second Amendment, to be effective as
of October 20,2015.
