AMENDMENT E TO MUNICIPAL LEASE AND OPTIC AGRBE�RENT

This Amendment to the Municipal Lease and Option Agreement Number M-CA-03293 (the
"Agreement) , by and between Government Leasing Company (the "Lessor°) , and CITY OF REDLANDS,
CA (for) Police Department (the "Lessee") is made as of this date stated below to modify
certain terms of the Agreement as described herein.
Section 6 .01 of the Agreement is hereby amended by deleting said Section 6.01 in
its entirety and inserting in lieu thereof the following Section:
Section 6.01 Title to the Equipment. During the term of this
Agreement, title to the Equipment shall be retained by Lessor,
except for those modifications which are added by the Equipment
by Lessee and which may be removed without damaging the Equipment.
Lessee shall not have any right, title or interest in the
Equipment except as expressly set forth in this Agreement. Upon
the occurrence of an Event Default, as set forth in Section 12.01
or nonappropriation as set forth in Section 5.05, Lessee will
surrender possession of the Equipment to Lessor. Upon the exercise
of the purchase option by Lessee pursuant to Article X, title to
the Equipment shall immediately, and without further action by
Lessor, vest in Lessee. It is the intent of the parties hearto
that any transfer of title to Lessee pursuant to this Section
shall occur automatically without the necessity of any bill of
sale, certificate of title or other instrument of conveyance.
Lessor shall, nevertheless, execute and deliver any such instruments as Lessee may
request to evidence such transfer.

"Lease-Purchase Agreement - Police Computer - Following brief discussion,
Councilmember Cunningham moved to authorize a 60 month lease-purchase
agreement with Government Leasing Company, Colorado Springs, Colorado,
for a General Automation A500-002 computer for the Police Department's 800-
megahertz communication system and further authorized the Mayor Pro Tem
and Clerk to sign the necessary documents on behalf of the City. Motion
seconded by Councilmember Foster and carried by the following vote:

In accordance with the terms of the Municipal Lease and Option Agreement No. M-CA-03293
Dated August 12, 1993 (the Lease) between the GOVERNMENT LEASING COMPANY
(Lessor) , and the undersigned (Lessee) , the Lessee hereby certifies and represents to, and
agrees with, Lessor as follows:
1. The Equipment, as such term is defined in the Lease, has been delivered
and installed at the Equipment Location specified in the Municipal Lease and option
Agreement and accepted on the date indicated below.
2. Lessee has conducted such inspection and/or testing of the Equipment as
it deems necessary and appropriate and hereby acknowledges that it accepts the
Equipment for all purposes.
3 . No Event of Default, as such term is defined in the Lease, and no event which with
notice or lapse of time, or both, would become an Event of Default, has occurred and is
continuing at the date hereof.
4. Lessee represents, covenants and warrants, and as requested by Lessor,
will deliver a Purchase Order or an Opinion of Counsel, to the effect that: W Lessee
is a fully political subdivision or agency of the State of the Equipment location; (ii)
the execution, delivery and performance by the Lessee of this Lease have been duly
authorized by all necessary action on the party of the Lessee; and (iii) this Lease
constitutes a legal, valid and binding obligation of the Lessee enforceable in
accordance with its terms.
5. Lessee agrees that: W it will do, or cause to be done, all things necessary to
preserve and keep the Lease in full force and effect; (ii) it has complied with all

AMENDMENT ONE TO MUNICIPAL T.1ZAA1Z AND OPTION AGREMmINT
This Amendment to the Municipal Lease and Option Agreement Number M-CA-03293 (the
"Agreement) , by and between Government Leasing Company (the "Lessor") , and CITY OF REDLANDS,
CA (for) Police Department (the "Lessee,,) is made as of this date stated below to modify
certain terms of the Agreement as described herein.
Section 6.01 of the Agreement is hereby amended by deleting said Section 6.01 in
its entirety and inserting in lieu thereof the following Section:
Section 6.01 Title to the Equipment. During the term of this
Agreement, title to the Equipment shall be retained by Lessor,
except for those modifications which are added by the Equipment
by Lessee and which may be removed without damaging the Equipment.
Lessee shall not have any right, title or interest in the
Equipment except as expressly set forth in this Agreement. Upon
the occurrence of an Event Default, as set forth in Section 12.01
or nonappropriation as set forth in Section 5.05, Lessee will
surrender possession of the Equipment to Lessor. Upon the exercise
of the purchase option by Lessee pursuant to Article X, title to
the Equipment shall immediately, and without further action by
Lessor, vest in Lessee. It is the intent of the parties hearto
that any transfer of title to Lessee pursuant to this Section
shall occur automatically without the necessity of any bill of
sale, certificate of title or other instrument of conveyance.
Lessor shall, nevertheless, execute and deliver any such instruments as Lessee may
request to evidence such transfer.
