RE: CITY ATTORNEY SPECIAL COUNSEL LEGAL SERVICES CONTRACTS
Sam: Attached is a"letter agreement" from Best Best & Krieger, LLP, which the firm
occasionally uses to document its agreement to provide special counsel services to the City
regarding one-time matters, such as this annexation to the City's Community Facilities District.
Because the City's costs for these services will be reimbursed by the property owner who has
requested the annexation, we want to ensure we document the retention of counsel for this one-
time matter. Please place this "letter agreement" in the file containing our Special Services
Agreements with outside counsel, which is currently being maintained by the Clerk's office.

Re- Proposal Regarding Performance of Legal Services in Connection with
Proceedings for the Annexation of Property to Community Facilities
District No. 2004-1 and Compensation for Such Services
Dear Mr, INIcHugh:
This letter is intended to serve as the basis for an agreement between our firm and
the City of Redlands concerning the legal services which we will perform i in connection with
proceedings that will be conducted pursuant to the Mello-Roos Community facilities Act of
1982 (the "Act") regarding the annexation of the property that is subject to Tract No, 16806 to
-2 004 e for the maintenance of parkways
the City's Community Facilities District No. -I to provide

We will advise the City in regard to the annexation proceedings conducted
pursuant to the Act and will prepare all ordinances, resolutions, notices, ballots, and other
documents required in the proceedings. If requested, we will attend any meeting at which
substantive action in connection with the proceedings is to be taken.
For our services in connection with the preparation and supervision of the
annexation proceedings, including the election thereon, we will be compensated in an amount
determined based on the time expended by the attorneys and paralegal personnel in the firm who
