FAMILY SERVICE ASSOCIATION
AND
THE CITY OF REDLANDS
RECITALS
WHEREAS, Family Service Association ("FSA") is applying to the San Bernardino County
Department of Behavioral Health to contract for the provision of Older Adult Community
Services;and
WHEREAS,the City of Redlands ('City")desires to make the Redlands Community Senior
Center facility, located at 111 Lugonia Avenue, available on Tuesdays and Wednesdays from
8:00 a.m.-5:00 p.m. to FSA staff to provide clients and those persons residing in the local
community OACS services (Older Adult Wellness Services; Older Adult Home Safety Programs;
Older Adult Suicide Prevention Prograrn\;
Now,therefore, in consideration of the mutual promises contained herein, the City of
Redlands and Family Service Association agree asfollows:
AGREEMENT
Section 1. The City agrees tocoordinate the scheduling ofOA[Sprograms with
existing facility activities to enable FSA staff access to meeting rooms that can accommodate
large numbers of elderly clients, and to provide confidential meeting space for counseling and
assessments.
Section 2. The City will make facilities available toFSA for the provision of0A[S
services at no cost to FSA or to participants as an in-kind contribution to the program, refer to
Attachment F—Capacity toPerform for further information.
Section 3. FSA agrees to maintain communication with the City regarding all
elements of scheduling of OACS services, and to be available to discuss any concerns the facility
may have regarding the OACS program and/or FSA personnel. FSA will also provide the City a
certificate of General Liability Insurance naming the City as Additional Insured prior to
commencing the provision of[}AC5Services. The limits will be $1million per occurrence,$2
million aggregate.
Section 4. FSA shall defend, indemnify and hold harmless City and its elected
officials, employees and agents from and against any and all claims, losses or liability, including
attorneys'fees, arising from injury ordeathtopersonsordannagetoproperLyoccasionedby

any negligent acLonnissk)norfai|unetoactbvFSA, hso#icens, employees and agents in
performing the OACSservices.
Section 5. |tisunderstood that clients served bythe (]A[Sprogram are FSA clients
and that the collection of data for accountability and reporting processes will occur. FSA will be
responsible for the referral process, intake and assessment and delivery of all OACS services.
Section 6. Either party may terminate Memorandum ofUnderstanding upon sixty
(60) days prior written notice tothe other party.
Wherefore, the parties are in agreement with the terms of this Memorandum of
Understanding outlined above,as indicated by their respective representatives' signatures
below.

The Redlands Senior Center provides a full spectrum of services and activities for seniors ages 60+.
The Redlands Senior Center will continue to provide space at the Senior Center for Family Service
Association to provide the Older Adults Community Services(OACS)program for qualifying seniors who
live in the community.
Capacity to Perform the Required Services Statement
The Redlands Senior Center agrees to coordinate the scheduling of the OACS program with existing facility activities to
enable FSA staff access to meeting rooms that can accommodate large numbers of elderly chents,and to provide
confidential meeting space for counseling and assessments thus being in compliance with the Health Insurance Portability
and Accountability Act—HIPAA In addition,The Redlands Senior Center is in compliance with all applicable State and
local health and safety reqwrements and clearances. Comply with the Americans with Disabilities Act and is accessible to
the public.
The Redlands Senior Center will make the facilities available to FSA for the provision of the OACS program at no cost to
FSA or to participants as an in*ind contribution to the program.
