HomeMy WebLinkAboutContracts & Agreements_194-2005_CCv0001.pdf MEMORANDUM OF UNDERSTANDING BETWEEN INLAND COUNTIES EMERGENCY MEDICAL AGENCY AND REDLANDS FIRE DEPARTMENT Bioterrorism Preparedness and Response Program Equipment and Supplies THIS MEMORANDUM OF UNDERSTANDING (MOU) is entered into by and between the Redlands Fire Department and Inland Counties Emergency Medical Agency (ICEMA). RECITALS WHEREAS, PROVIDER and ICEMA have entered into this MOU with reference to the following circumstances: A. ICEMA is providing equipment and supplies (hereafter "supplies"), funded by a federal grant from the Health Resources Services Administration (HRSA), to enhance the County of San Bernardino's, EMS Agency's and/or Medical Providers' capabilities to respond to terrorism events. B. PROVIDER has agreed to store a Trailer containing supplies at: Redlands Corporate Yards Building C 1270 W. Park Avenue Redlands, CA 92373 C. PROVIDER has agreed to ensure 24-hour, 7-day a week access to the Trailer containing supplies for ICEMA and its designees. D. ICEMA and PROVIDER agree that the aforementioned supplies are described within this MOU. The supplies, or any other supplies to be received pursuant to this MOU by PROVIDER, are described below. Page 1 of 5 S HP - NOW, THEREFORE, based on the foregoing recitals, which the parties agree to be true and correct, it is mutually agreed as follows: A. SERVICES ICEMA shall: 1 Maintain an inventory of supplies which include a. Acquisition dates, b. Description of equipment with manufacturer's model and serial number, c. Acquisition cost, d. Location and condition of equipment Provider shall: 1. Provide secure and covered shelter for the Trailer and supplies. 2. Provide 24-hour/seven days-a-week accessibility to the supplies for ICEMA staff or designees for an immediate response to a biological event, should it occur. Supplies to be contained on 20' enclosed Trailer (which will be locked): 7 Personal Protective Equipment (PPE) including: V 12 each Powered Air Purifying Respirators (PAPRS) Set — 3M Breath Easy ✓ 36 each Level C Chemical Resistant Suits— Dupont Tychem — CPF — 3 ✓ 36 each (sizes 7-9) -- Chemical Resistant Butyl Gloves ✓ 35 each (small, medium, large, x-large) -- Chemical Protective Overshoes F7.1 Portable Decontamination Units: Page 2 of 5 ✓ 1 each -- TVI 2-Line Decontamination System ✓ 75 each -- Don-it Post Decontamination Personal Privacy Kits ✓ 1 each Portable Fluorescent Light Units ✓ I each Honda EB 6500 Generator Surge Capacity Equipment including: ✓ 1 each Mass Casualty Shelter Tent/TVI Casualty Management Shelter ✓ 9 each Lighting/Portable fluorescent light fixture ✓ 1 each-- Heating/Ventilation System — Ramfan LIB-20 inline heater ✓ I each -- Portable Generator— Honda EB 6500 ✓ 30 each --Cots — Military Style Folding Cots B. MUTUAL INDEMNITY AND INSURANCE 1. Each party hereto (hereafter, "INDEMNIFYING PARTY') shall indemnify, defend and hold harmless the other party, its officers, agents and employees, from and against any loss, cost, damage, expense, claim, suit, demand, or liability of any kind or character, including but not limited to reasonable attorney fees, arising from or relating to any negligent or wrongful act of omission of the INDEMNIFYING PARTY, its officers, agents or employees, which occurs in the performance of, or otherwise in connection with this MOU, but only in proportion to and to the extent such loss, cost, damage, expense, claim, suit, demand, or liability of any kind or character, including reasonable attorney fees, is caused by or results from the negligent or wrongful act or omission of the INDEMNIFYING PARTY, its officers, agents or employees. 2. PROVIDER shall procure and maintain a comprehensive general liability policy, as well as such policies of professional and other insurance with limits necessary to (i) satisfy requirements of law or (ii) as may be necessary to insure it and its employees and agents against any claim for damages occasioned in connection with performance of this MOU. Page 3 of 5 C. TERM AND TERMINATION The term of the MOU shall be from the last day signed below for ten (10) years or for the life of the supplies. Either party may terminate this MOU upon thirty (30) days written notice. Should either party terminate this MOU, the terminating party shall be responsible for all costs associated with the termination of the MOU. Such costs include, but are not limited to, the cost of return/disposition/destruction of the supplies. Should PROVIDER close (terminate operations), PROVIDER will notify ICEMA of the closure and the supplies will be returned to ICEMA for redistribution to another location within the community or region at the discretion of ICEMA. MODIFICATION No waiver, alteration, modification or termination of this MOU shall be valid unless made in writing and duly signed by the parties hereof. F. EXHIBITS All exhibits referenced in this MOU and attached hereto are incorporated by this reference as if set forth fully herein. Page 4 of 5 G. AUTHORITY The person signing this MOU for the Provider hereby represents that he/she is fully authorized to sign this agreement on behalf of PROVIDER and to bind PROVIDER to the performance of its obligations hereunder.
