Box 33 Angeles Oaks, CA 92305 Re: Termination of Memorandum of Understanding between the City of Redlands and North American Biomass Company Dear Dr. Krantz: As you know, on November 3, 2009, the City of Redlands entered into a Memorandum of Understanding ("MOU")with North American Biomass Company("NABC") to, among other things, facilitate the construction of a gasification facility on land owned by the City. Since that date, the City is in receipt of several recent communications from you regarding the status of NABC and its efforts to develop that gasification facility. In that correspondence, you have informed the City that development of the gasification project by NABC is no longer feasible, and will not be further pursued by NABC. Accordingly, pursuant to Section 4 of the MOU, entitled "Early Termination," the City is notifying you that based on the correspondence sent to the City by NABC, the City Council has determined that further negotiations between the City and NABC will not lead to approval of a lease with NABC of the City-owned property on which NABC proposed to develop the gasification facility. Therefore, the City is terminating the MOU with NABC in accordance with and as of the termination effectiveness date provided in Section 4 of the MOU. Sincerely, Daniel. J.
