This Agreement dated January 16, 2001,is entered into by and between The United Way of the East Valley,
a non-profit public benefit corporation organized under the laws of the state of California ("UWEV"), and
the City of Redlands, a municipal corporation ('City"), for the provision of administrative and management
services of the City's Police Department's Value Based Initiative Program ("VBIP").
RECITALS
A. UWEV is interested in participating in the City's VBIP,which is a collaborative of community
organizations located in the East Valley area of Redlands and parts of San Bernardino County. The goal of
the City's VBIP is to promote a healthier community that builds resiliency in youth and hope for their
future. The U-WTV-will cooperate with local faith-based comnil-1111ty organizations, other organizations, and
the City to advance the mission of community policing and the VBIP.
B. UWEV and the City share the common goal of serving the needs of general and particular segments
of the population as they relate to the success of VBIP, and agree that a coordination of efforts between
LAXTV and the City will result in a more efficient and cost effective means of delivering services to the
community.
AGREEMENT
Section 1. City Obligations
Section 1.1 The City will appoint a VBIP manager,who shall be a City employee and who shall monitor
the City's VBIP activities. The VBIP manager will serve as the UWEV's liaison with the City for
administration of this Agreement, and shall be responsible for satisfying the administrative requirements for
this project as set forth in the Office of Justice Program Financial and Administrative Guide.
Section 1.2 The City shall pay to the UWEV the sum of One Hundred Thirty�-One Thousand Four
Hundred Thirty Dollars and no cents ($131,430.00) within ten days of the City's approval of this Agreement
as fall,and complete consideration for the services provided by LWEV under this Agreement. .
Section 1.3 The City shall not demean or diminish the reputation of the UWEV,or expose the UWEV to
liability from third party claims.
Section 1.4 The City will provide recognition of the UWEV in its publications and press releases related to
the VBIP.
Section 2. UWEV's Obligations
Section 2.1 The UWEV shall be responsible for the pro-vision of adequate staff to oversee the
supervision,training and operations, and to coordinate all activities, of the VBIP. The UWEV staff carrvin,
out the administration of the VBIP shall have access to all resources of the United Way of the East Valley-in
carnying out its obligations to fulfill the terms and conditions of this Agreement and the VBIP. The UWEV
shall appoint a "Director" w-ho will be responsible for, and supervise, all T-AX-EV members performing
services under this Agreement. The City shall give its prior approval to UWT-V's selection of the Director

and all LTWEV staff performing services under this Agreement. The Director's responsibilities are specified
in Exhibit "A" of this Agreement which is incorporated herein by this reference.
Section 2.2 The LTWEV shall include the following statement on all publications (written,visual or sound,
but not including press releases,newsletter and issue analyses relating to its administration of the VBIP):
"This project was supported by cooperative agreement # 2000CKWX0225 awarded by the
Office of Community Oriented Policing Services,U. S. Department of justice. Points
of view or opinions contained within this document are those of the author and do not
necessarily-represent the official position or policies of the U. S. Department of justice."
Section 2.3 The UWEV shall allocate sufficient financial resources to its staff members to accomplish the
terms and conditions of this Agreement.
Section 2.4 The UWEV shall inform the VBIP Manager,through monthly reporting,of the LNXTEV's
activities in accordance with the standards of the U. S. Department of justice, Office of Community
Oriented Policing Services.
Section 2.5 The UWEV shall make available to the City,and any other organizations who become
"partners" in the VBIP,on a reasonable basis and without charge,the training and conference rooms
located at 555 Cajon Street,Suite A on a "space available" basis. Any food service,refreshments, audio-
visual equipment or other requested services and equipment will be provided by UWEV but billed to the
City and the partners at UVEWs cost.
Section 3 Liability
Section 3.1 The parties to the Agreement acknowledge and agree that LTWEV is acting as an 'independent
contractor under this Agreement and shall be solely responsible for the method of carrying out the services
it shall perform under this Agreement. VBIP staff members performing work pursuant to this Agreement
(developing, organizing and overseeing the programs and services) shall at all times be and remain
employees of the UWEV. UWEV shall be responsible for all wages, benefits,taxes and other legal
obligations for such employees.
Section 3.2 The City shall have no liability for claims,losses, damages or lawsuits arising out of the
UWEV's relationship with its employees based upon: a)workers'compensation insurance coverage, b) the
provision of health,life and other insurance benefits, and c) unemployment *insurance coverage.
Section 3.3 The UWEV shall defend,indemnify and hold harmless the City,its elected officials, officers
and employees from and against any and all claims,losses, damages and lawsuits arising out of,or resulting
in connection with,any negligent or wrongful act or omission of UWEV,or its officials,officers, employees
and agents, in performing its obligations under this Agreement.
Section 4. Term and Termination
Section 4.1 This Agreement shall be for a term of one (1)year from the date first written above, and shall
terminate on January 15, 2002.

Section 4.2 The City may terminate this Agreement, at any time and without cause,by providing ninety
(90) days prior written notice to the other party. In the event this Agreement is terminated by the City,the
UWEV shall reimburse the City for any unexpended monies, on a prorated basis,for services that are not
performed by the UWEV as a result of such termination.
Section 4.3 All notices and other communications indicated herein shall be in writing when sent by mail or
personally delivered to the other party at the address set forth below,or to its last known address. All
notices shall be deemed effective when sent or given. Either party may, by proper written notice to the
other party,change the address to which notices shall be sent.

Section 5. Miscellaneous
Section 5.1 In the event any action is commenced to enforce or interpret the terms or conditions of this
Agreement the prevailing party shall, in addition to any costs and other relief, be entitled to the recovery of
its reasonable attorneys' fees.
Section 5.2 This Agreement shall be governed and construed in accordance with the laws of the state of
California.
Section 5.3 This Agreement constitutes the entire agreement of the parties hereto with respect to the
subject matter contained herein. No modification or amendment shall be made to this Agreement or any
party thereof,including this provision, except by the express,written agreement of the parties.

Job Description
POSITION: Director, Value Based Initiative Project
EMPLOYMENT RELATIONSHIP:
Employment with the United Way of the East Valley depends on the mutual consent of
both the employee and the employer; either may terminate the employment relationship
at-will, at any time, with or without cause or advance notice. Nothing in this document
or any other document limits the right to terminate employment at will. This at-will
employment relationship may be altered only in a written agreement signed by the
Executive Director of the United Way of the East Valley expressly for that purpose.
GENERAL STATEMENT OF JOB:
This is a midlevel management position with responsibility for the development,
implementation and cost-efficient operation of the Value Based Initiative Project.
Responsibilities include the supervision of staff members assigned to or required by the
development of programs and services of the Value Based Initiative Project.
Additional relationships include, but are not limited to: Value Based Initiative Governing
Board, Building A Generation Board of Directors, faith communities, local health
agencies, local human service agencies as needed in the overall operations of the Value
Based Initiative Project.
REPORTS TO: Executive Director, United Way of the East Valley
ESSENTIAL FUNCTIONS:
71tefollowing duties are normal for this position. These are not to be construed as exclusive or all-inclusive. Other duties
may be required and assigned.
• Ensuring that all training and technical assistance providers utilized by the Value
Based Initiative Project demonstrates expertise in the subject matter related to
curricula developed. The providers must be able to perform successfully specific
training and technical assistance tasks as required under the Value Based
Initiative Project.
• Planning and coordinating all major project-related meetings, training and

technical assistance activities and conferences, and ensures that all partners
receive sufficient advance notice of such events.
• Coordinating and implementing activities involved in the presentation of training
or technical assistance under this project. This should include the required

evaluation component in order to provide substantive feedback to the Value
Based Initiative Governing Board on the quality of services provided.

• Planning and coordinating the total development activity with regard to the Value
Based Initiative Project including, but not limited to, public relations, information

requirements, budget, etc.
• Furnishing the Value Based Initiative Governing Board with monthly updates and

plans for development of the Value Based Initiative Project. Progress reports
must include the status of all training and technical assistance providers and the
results must be detailed in measurable outcomes,
• Providing -uidance and assistance in the selection and enlistment of staff

members and volunteers. Responsible for the training and supervision of all
members and volunteers to ensure efficient operation of the Value Based
Initiative Project.
• Overseeing all development and report proposals to the Value Based Initiative
Overseeing
Governing Board.
• Reporting to the Executive Director of the United Way of the East Valley for
coordinating activities that are related to staff and/or volunteer orientation,
training and supervision.
• Meeting regularly with the Executive Director of the United Way of the East
Valley, the Redlands Police Department and the YMCA of Redlands to develop
and implement strategies that focus on the success of the Value Based Initiative
Project.
• Seeking collaborative ventures and network opportunities -with local faith
communities, health and human service agencies.
• Keeping informed, through continuinc, education and 'literature, on trends of same

MINIMLITNII TRAINING AND EXPERIENCE:
• Several years of progressively responsible experience in the field of management.,
ideally in a not-for-profit organization. or equivalent.
• Bachelors degree is desirable.
Al Experience in the recruitment. supervision and evaluation of support staff.
