HomeMy WebLinkAboutContracts & Agreements_49-1993_CCv0001.pdf LETTER OF AGREEMENT THIS LETTER OF AGREEMENT is entered into and between the CITY OF REDLANDS hereinafter called the CITY, and the Community Services Department of San Bernardino County hereinafter called DEPARTMENT. This Agreement shall be for a term of one year from February 1, 1994, through January 31, 1995, and shall be automatically renewed form year to year, unless terminated as herein provided. CITY does herewith agree to provide DEPARTMENT with use of the kitchen and dining areas of the Community Center at I I I West Lugonia, Redlands, California, hereinafter referred to as "said premises" for conducting a Nutrition for Seniors Program. CITY also agrees to provide or otherwise contribute supporting services to said Nutrition Program as may be within its capabilities and resources. Therefore, for and during the term of this Agreement, CITY and DEPARTMENT do mutually agree to and concur in the following: I The Nutrition for Seniors Program will include the following activities which will be conducted at said premises: Preparing and serving of meals, program administration, social services and related recreational activities. DEPARTMENT shall have the use of said premises on Monday through Friday of each week from 9:00 A.M. to 2:00 P.M. 2. CITY agrees that said premises shall be made available to the DEPARTMENT for a monthly charge of$400 to help cover the cost of all utilities (gas, electricity and water) and trash collection. 3. DEPARTMENT agrees to pay CITY said $400 per month by no later than the tenth day of each month. 4. DEPARTMENT agrees to provide required telephone service, including installation, at no cost to the CITY. 5. After use of said premises, the DEPARTMENT will provide general custodial maintenance at no cost to the CITY, except when said premises are used by the CITY. 6. CITY reserves the right to use said premises for specific activities at such time and dates that will not conflict with established Nutrition for Seniors Program activities. Changes in scheduled utilization of said premises may be made by mutual consent of both parties to the Agreement when such changes do not limit prescribed Nutrition for Seniors Program requirements. Page I of 3 7. Any and all recreational programs pursuant to this Agreement shall remain at all times subject to the supervision and control of the CITY. 8• A. DEPARTMENT agrees to indemnify, defend and hold harmless the CITY and the County from any and all liability, claims and lawsuits alleged to arise or arising from acts or omissions of DEPARTMENT, its officers, agents, employees or volunteers, in the performance of this Agreement. B. CITY agrees to indemnify, defend and hold harmless the DEPARTMENT and the County from any and all liability, claims and lawsuits alleged to arise or arising from acts or omissions of CITY, its officers, agents, employees or volunteers, in the performance of this Agreement. 9. A. DEPARTMENT shall maintain liability insurance or shall self-insure in the amount of $1,000,000 combined single limits for property damage and bodily injury. The CITY and the County of San Bernardino shall be named as additional named insured on such policy, B. CITY shall maintain liability insurance or shall self-insure in the amount of $1,000,000 combined single limits for property damage and bodily injury. The DEPARTMENT and the County of San Bernardino shall be named as additional named insured on such policy. 10. DEPARTMENT shall provide required insurance coverage on all activities of the Nutrition for Seniors Program as prescribed by the Risk Management Division of the County of San Bernardino. Such coverage shall be equal to insurance coverage provided to DEPARTMENT by the County of San Bernardino for similar activities or operations. 11. All equipment, fixtures and materials attached to said premises by DEPARTMENT in a permanent manner or nature as prescribed in existing building codes or regulations for such subsequent installation, shall become the property of CITY upon termination of this Agreement. 1.2. All equipment, fixtures or other properties purchased by or placed on the premises by DEPARTMENT which are of a moveable nature shall remain the property of DEPARTMENT. 13. This Agreement may not be transferred, assigned or subleased in whole or in part, without the written consent of the CITY. 14. It is understood that financial commitments of the DEPARTMENT which this .=agreement addresses are based on availability of grant funding from the State Department of Aging and should that funding be diminished below program needs or denied, the DEPARTMENT may terminate the Agreement upon thirty days written notice thereof. Page 2 of 3 I I 15. Either party may terminate the Agreement for any reason 30 days upon written notice to the other party. 16. Upon termination of this Agreement, the DEPARTMENT will leave said premises in � condition received, normal wear and tear excepted. f 17. In the event of destruction of said premises, the Agreement will be terminated immediately by the CITY upon written notice thereof. 18. It is also understood that DEPARTMENT intends to use this Agreement as a basis for claiming in-kind rent expenditures form the Nutrition Program Fundingagency (California Department of Aging). The CITY may verify claim upon writt request form the funding agency. 19• OFFICIAL letters of correspondence shall be mailed to the following address: A. DEPARTMENT B.
