THIS LEASE is made and entered into this --1—st cay of April OF 1986, by and between the City of Redlandst a municipal corporationt hereinafter called "Lessor' and Mentone Little League, Inc . , hereinafter called "Lessee. * W I T N E S S E T B WHEREAS, Lessor is the owner of that certain real property hereinafter described; and WHEREAS, Lessee desires to create playing fields for the Mentone Little League membership; and WHEREAS, the parties hereto now desire to enter into a written lease setting forth the duties and responsibilities of each party as to the use of the premises; and WHEREAS, Lessor has determined that the subject property is not now needed or will be needed in the near future by the City or any of its departments or agencies for a municipal purpose. NOWT THEREFOREt for and in consideration of the mutual covenants, promises and agreements herein contained, Lessor and Lessee agree as follows: 1 . PROPERTY LEASED. Lessor hereby leases and lets to Lessee, and the Lessee hereby accepts and leases from the Lessor, that certain real property situated in the County of San Bernardino, described as follows: Parcel No. 0168-343-01 City of Redlands Stretch Map of Mentone PTN Lot 1 and PTN W301 Feet Lot 3 Lying South of Mill Creek Road 2. TERM. The term of this lease shall be for a period of fifteen (15) years commencing with the execution of this lease, and terminating fifteen years thereafter, unless sooner terminated as hereinafter provided. Lessee has first option to renew lease from Lessor at end of term. 3. RENT. Lessee agrees to perform services as hereinafter set forth: Lessor agrees to accept said services as rental for said premises. 4 . MAINTENANCE. To minimize a fire hazard, Lessee agrees to maintain that parcel herein described in a weed free condition. 5 . USE. The use of said parcel shall be to conduct programs for youth activities. It does not preclude a meeting place for sponsoring organizations of Mentone Little League. This lease shall become null and void in the event that the property is used for any profit making enterprise or use other than youth activities without obtaining written approval of the Lessor. 6. POSSESSORY INTEREST. Lessee recognizes and understands that this lease may create a possessory interest subject to property taxation r and that the Lessee may be subject to the payment of property taxes levied on such interest. Lessee agrees to and shall held harmless the City from any and all liability for any such taxes. 7. PAYMENT OF UTILITIES. Lessee shall pay for all utilities furnished the premises for the term of this Lease, including electricity, gas, water, rubbish removal and telephone service. S. LESSOR'S RIGHT TO ENTRY FOR INSPECTION. Lesser reserves the right to enter on the premises at reasonable times to inspect them and Lessee agrees to permit Lesser to do so. Lesser may, post relevant notices, and place moveable equipment without any obligation to reduce Lessee's rent of the premises during such period, and without incurring liability to Lessee for disturbance of quiet enjoyment of the premises, or loss of occupation thereof. 9 . ALTERATIONS. Lessee shall not make, or suffer to be made, any alterations to said property without the written consent of Lessor. Any additions or alterations pursuant to said written consent shall remain as property of Lessee upon the termination of this lease. 1€I. LIENS. Lessee agrees to keep the premises free and clear of any liens that might arise from the making of any repairs or other maintenance, and to hold harmless Lesser therefrom. 11 . SANITARY CONDITION OF PREMISES. Lessee shall keep and maintain the area in a clean and sanitary condition at all times during the term of this Lease. 1 . NO WA E, NUISANCE, OR UNLAWFUL USE. Lessee shall not commit, or allow to be committed, any waste on the premises, or nuisance, or shall it use or allow the premises to be used for an unlawful purpose. 13 . LEASE APPLICABLE TO SUCCESSORS, ETC. This lease and the terms, covenants, and conditions hereof apply to and are binding on the heirs, successors, executers, and administrators, and assigns of the parties hereto. 14 . LESSEE TO CARRY LIABILITY INSURANCE. Lessee agrees to procure and maintain in force during the term of this Lease and any extension thereof, at its expense, public liability insurance in companies and through brokers adequate to protect against liability for damage claims through public use of or arising out of accidents occurring in or around the leased premises. Such insurance policies shall provide coverage for Lessor 's contingent liability on such claims o losses . City shall be named as an additional insured . certificate of insurance shall be delivered to Lessor within 30 days of execution of this Lease. Lease, Mentone Little League, Inc. Wage 2 15 . BOLD HARMLESS. This Lease is made upon the express condition that Lessor shall be kept free and harmless from any and all liabilities and claims for damages and/or lawsuits of any kind whatsoever arising out of the use of said real property used or occupied by Lessee and its agents, officers, employees, guests or visitors. 16. AMENDMENT. This Lease may be modified or amended by written agreements signed by both parties and failure on the part of either party to enforce any provision of this Lease shall not be construed as a waiver of the right to compel enforcement of such provision or provisions, or act to release any surety from its obligations under this Lease. 17. ENTIRE AGREEMENT. This Lease represents the entire agreement between the parties hereto, and said agreement can only be amended by a written agreement executed by both parties. 18 . NOTICES. All notices herein required shall be in writing and delivered in person or sent by certified mail, postage prepaid, addressed as follows : LESSOR LESSEE City of Redlands Mentone Little League, Inc. c/o City Manager c/o Merlin Johnson P. 0. Box 280 P. 0. Box 643 Redlands, CA 92373 Mentone, CA 92359 19 . COVENANTS. There are no covenants or warranties other than those expressed herein. IN WITNESS WHEREOFf the City of Redlands has caused its corporate name to be affixed by the Mayor and the City Clerk and its corporate seal to be attached pursuant to action taken by the City Council at a regular meeting held on March 18, 1986, and that the representative of Mentone Little League, Inc. have hereunto placed their hand.
