ASSIGNMENT, ASSUMPTION AND ACCEPTANCE AGREEMENT
The undersigned, SYMONS CORPORATION, a Delaware
corporation, doing business as Livingston-Graham
("Assignor") , has acquired, by assignment of lease, the
lessee 's interest in that certain Amended Lease, dated
July 15, 1966, by and between the City of Redlands , a
Municipal Corporation, as lessor, and Leroy Hansberger and
Glenn Whitlock, doing business as partners under the name of
"Tri-City Rock-Fontana, " as lessee (the "Lease") .
The Lease covers certain real property in the
County of San Bernardino , State of California, as more
particularly described therein.
For valuable consideration, receipt of which is
hereby acknowledged, Assignor assigns all of its right,
title and interest in the Lease to C.L. Pharris Sand &
Gravel, Inc. , a California corporation ("Assignee") , and
Assignee hereby accepts the assignment of the Lease and
agrees with and for the benefit of the City of Redlands, as
follows :
1 . Assignee assumes all of the obligations of
Assignor under the Lease and holds the Lease subject to all
the provisions of the same;
2. Assignee agrees to fully keep, perform and be
bound by all of the covenants and conditions of the Lease as
though it were the original Lessee thereunder.

CONSENT TO ASSIGNMENT AND ASSUMPTION
The undersigned, the CITY OF REDLANDS , a Municipal
corporation, Lessor named in the Lease referred to in the
foregoing assignment , hereby consents to such assignment and
hereby releases the Assignor, SYMONS CORPORATION, as Lessee
of the Lease from any and all further obligations
thereunder , and hereby accepts the Assignee, C .L. PHARRIS
SAND & GRAVEL, INC. , as Lessee under the Lease for all
intents and purposes as though said Assignee were the
original Lessee thereunder,
