SUBJECT Extension of Contractual Deadlines —APN 0170-191-39 (Basin Property)
On April 21, 2020, you signed Executive Order No 2020-002, authorizing the extension of
certain contractual deadlines in existing City contracts during the COVID-19 local emergency
The order provides that any deadlines for the performance of obligations prescribed in an
existing City contract may be tolled, extended, or suspended by the Director of the City
Department responsible for oversight of such contract with the prior approval of the Director of
Emergency Services/ City Manager as provided for in the order
On March 3, 2020, the City entered into a Purchase and Sale Agreement (PSA) with the
University of Redlands (University) for the purchase of the property identified as County
Assessor Parcel Number 0170-191-39 (commonly referred to as the Basin Property) Per the
terms of the agreement, the University is to either make the payment of $750,000 or assume
the City's rail station parking obligations on or before July 5, 2020 (Due Date)
On June 29, 2020, the City received a request from the University to extend the payment
deadline under Section 2 of the PSA to August 5, 2020 so that it may work with the San
Bernardino County Transportation Authority (SBCTA) to meet certain obligations under the PSA
Pursuant to the Order, the due date was extended to September 5, 2020, to allow adequate
time for the University to complete its obligations
On September 2, 2020, the City received a request from the University to extend the Due Date
to November 2, 2020 Pursuant to the Order, you extended the due date to December 2, 2020,
to allow adequate time for the University to complete its obligations Since this time the
University has been working in good faith with the City and SBCTA to complete the novation
agreement However, SBCTA has since provided the University with additional comments on
the agreement and therefore the University has requested additional time to respond
Based on the progress that has been made as outlined in this memorandum, I recommend that
you extend the due date to January 31, 2021 to allow adequate time for the University to
complete its obligations
Additionally, and in accordance with the Order I recommend the following:
1. The purpose for which the parties entered into the contract will be adversely affected
without such extension;
2. The extension of the deadline will not otherwise adversely affect the parties to the
contract and the purposes for which the contract as entered into;
3. The extension will have no adverse financial effect upon the City;
This executed memorandum will be provided to the Office of the Redlands City Clerk for filing in
the official records of the City
