HomeMy WebLinkAboutContracts & Agreements_27-1999_CCv0001.pdf AMENDMENT TO SERVICE AGREEMENT This Amendment to Service Agreement is made and entered into this 6th day of April, 1999 by and between the City of Redlands, a municipal corporation ('City")and Honeywell, Inc,, a corporation, ("Honeywell"). Recitals Whereas, on March 24, 1992, City and Honeywell entered into an approximately seventy (70)page service agreement(the"Service Agreement")to provide for the servicing and maintenance by Honeywell of certain heating, ventilating and air condition systems, lighting and water and irrigation equipment and facilities owned and operated by the City; and Whereas,it is the desire of City and Honeywell to now amend the Service Agreement to add certain City facilities to Honeywell's service obligations and to delete other certain routine maintenance items from Honeywell's obligations which may be more efficiently and economically accomplished by City; and Whereas, the proposed amendments to the Service Agreement would delete certain City swamp coolers and City's irrigation water management system from Honeywell's maintenance obligations for a total reduction in cost to the City in the amount of$14,112; and Whereas,the proposed amendments to the Service Agreement would add a net increase in costs to the City in the amounV:f$27,547 for Honeywell's maintenance obligations; and Now, therefore, in consideration of the mutual promises contained herein, the City of Redlands and Honeywell, Inc, agree as follows: Agreement Section 1. Page 20 of the Service Agreement relating to "Energy Management Point Assignment" is hereby amended by the addition of the following: "A.K. Smiley Library (19) Start/Stop Points (19) Status points (I) Outside Air Sensor" Section 2. Page 25 of the Service Agreement relating to "Water Treatment Services" is hereby amended by the addition of the following facilities to the first paragraph on that page after the words "Police and Safety Building": FI:',cfjm'l Agreements\50001e.w-pd "A, K. Smiley Public Library, Chilled Water& Hot Water." Section 3 . Page 31 of the Service Agreement relating to the listing of "Maintained Equipment" for the Redlands Plaza is hereby amended as follows: Atld,'Delete Location Qty, Component Rating Manufacturer Wo de Add 1 Package A/C 1.5 Ton Split System Section 4. Page 37 of the Service Agreement relating to the listing of"Maintained Equipment" for Fire Station No. 3 is hereby amended by the deletion of line 4 relating to the roof as follows: Location Qty Component Rating Manufacturer Model Roof 2 Swamp Cooler Arvin ES143A Section 5. In the event any action is commenced to enforce or interpret any of the provisions of this Amendment to Services Agreement the prevailing party shall, in addition to any costs and other relief, be entitled to the recovery of its attorneys' fees. Section 11. This Amendment to Service Agreement shall be governed by and construed in accordance with the laws of the State of California. Section 12. This Amendment to Service Agreement contains the entire agreement of the parties hereto with respect to the matters contained herein.
