Whereas, Mountainview Power Company, LLC ("MVPC") desires to obtain a supply of
recycled water that meets all applicable state and federal regulations for cooling purposes from
the City of Redlands (the "City") in connection with the operation of MVPC's proposed
Mountainview Power Plant Project ("Project") located on San Bernardino Avenue in the County
of San Bernardino, and
Whereas, the City has commenced the preliminary design, and is seeking funding for,
improvements to its municipal recycled and wastewater treatment water system to develop a
system for the production and delivery of recycled water(the "Recycled Water"); and
Whereas, the City and MVPC have negotiated in good faith with regard to the provision
of a supply of Recycled Water as described herein from the City for MVPC's Project; and
Whereas, the Project is pending before the California Energy Commission ("CEC") for
approval and MVPC seeks assurances that the City will provide MVPC with a supply of
Recycled Water in order to assure the CEC that the Project will have a reliable source of such
water if available from the City;
Noxv; therefore, in consideration of the mutual promises contained here, the City of
Redlands and Mountainview Power Company, LLC agree as follovvs:
Agreement
Section 1. MVPC anticipates requiring delivery of Recycled Water beginning March
2003. Provided MVPC is in compliance with all City requirements for the provision of water
sen,ice to MVPC's Project and the City has developed an adequate supply of recycled water, the
City will provide a minimum of six thousand acre feet of Recycled Water per year to MVPC at a
price equal to that charged to other users of such water for cooling purposes. The price of the
Recycled Water shall be based upon a formula related to the City's cost of development and
production, with volumetric weighting.
Section 2. The Water delivered to MVPC shall be of substantially equal or better in
quality to the quantitative test results described in Exhibit "A."
Section 3. The representatives of the City and MVPC who have executed this
Agreement represent that they are an officer or agent of their respective employers, and are
vested with the authority to execute this Agreement on behalf of their employers, the City of
Redlands and Mountainview Power Company, LLC. respectively.
