INTRODUCTION The following Agreement is entered into this/Z day of 2000 by and between the City of Redlands, a California municipal corporation organized under the laws of the State of California with its principal place of business at 212 Brookside Avenue, Redlands, CA 92373 ("Member") and Omnitrans, a California Joint Powers Authority, with its principal place of business at 1700 West Fifth Street, San Bernardino, CA 92411 ("Omnitrans"). Member and Omnitrans are also referred to herein individually as "Party" and collectively as "Parties." If. RECITALS A. Omnitrans was created in 1976 to provide public transit services to 16 member jurisdictions located in southwestern San Bernardino County. Omnitrans is responsible for providing comprehensive public transportation service, including the provision of paratransit services in compliance with the Americans with Disabilities Act, for a 480 square mile area bordered by the Los Angeles County line, the Riverside County line, and the San Bernardino and San Gabriel Mountains. Approximately 1.2 million people reside in this service area. B. The purpose of this Agreement is to enable JPA members meeting all of the requirements described herein to apply for and receive no more than two (2) surplus Omnitrans vehicles in order to allow Members to make available special transportation services not otherwise provided by Omnitrans. C. This Agreement is not intended to reflect an ongoing, continuing or long-term method of disposing of surplus vehicles; however, Omnitrans' Board of Directors may reserve the right to conduct a similar program in the future if the present disbursement proves successful. D. All vehicles remaining after each Member request is met will be disposed of by public auction. E. Vehicle ownership is hereby transferred for one dollar ($1.00) and other valuable consideration. Qualifications 1) Only Members of the Omnitrans JPA shall be eligible to receive a vehicle under this Agreement. 2) As a condition of this Agreement, the requesting Member MUST NOT be receiving operating or capital assistance during the current fiscal year under any federal or state programs which may assist with the purchase or procurement of transportation vehicles for competing services. 3) Member hereby agrees that it will not compete with Omnitrans for operating or capital assistance under a federal or state program that may provide funding for the purchase of transportation vehicles for competing services. B. Member's Rights and Responsibilities. 1) Member, with concurrence of title transfer, agrees to accept the vehicle CI as is-where is" and agrees to accept full responsibility for the vehicles and to indemnify and hold Omnitrans, its agents, officials, and employees harmless against all claims, losses, suits, costs and expenses which may arise in connection with the possession and/or operation of the vehicles. (a) Any vehicle that cannot pass a safety inspection at the time of transfer will be towed at the new owner's expense. 2) Member agrees not to sell, assign, lease, give, or otherwise transfer the vehicle for a period of one (1) year from the date of transfer of the vehicle from Omnitrans and, furthermore, the vehicles acquired under this agreement shall be used for transportation purposes for no less than one (1) year from the date of transfer from Omnitrans to Member. 3) Member shall submit quarterly progress reports regarding vehicle usage to Omnitrans' Director of Administrative Services within five (5) days of the end of each reporting period. (a) Reports shall include complete and descriptive information regarding hours of service, miles of service, passengers carried and area serviced during each reporting period. C. Omnitrans' Rights and Responsibilities. 1) All Omnitrans logos, license plates, California numbers, decals, and striping will be removed prior to the release of any vehicle under the terms of this Agreement. 2) A pre-release inspection will be conducted by Omnitrans' Director of Maintenance, or his/her appointed designee, and will be recorded in the vehicle's maintenance file. 3) Omnitrans warrants title to all vehicles to be unencumbered at the time of transfer.
