THIS AGREEMENT, made and entered into this 15th day
of July, 1975, by and between the CITY OF REDLANDS, a
municipal corporation (hereinafter "City") and PROCESS
ORIENTED DESIGN, LANDSCAPE ARCHITECTS, a California
corporation (hereinafter "P.O.D. ") :
I I W I T N E S S E T H
The parties hereto do agree as follows :
1. RECITALS. This agreement is made and entered
into with respect to the following facts :
(a) That the City has heretofore determined
that the public interest requires the preparation
of Park Architecture, Engineering, Electrical .
Engineering, Construction Plans and Specifications ,
Advising during Construction, the Prospect Park
Phase I Construction;
(b) That in order to develop such a plan it
is necessary to obtain the services of a qualified
consulting firm to complete the same;
(c) That P.O.D. is qualified to complete the
same;
(d) That the City Council of City has elected
to engage the services of P.O.D. upon the terms and
conditions as hereinafter set forth; and
(e) That for the purposes of work at Prospect
Park, P.O.D. will work with the City in gaining
necessary approvals throughout the limit of the
Performance Period of the Project (June 30, 1977)
as per Project Number 36-0010. P.O.D. will work
with the City on the reporting, inspecting, and
auditing procedures required for this project.
2. SERVICES. P.O.D. shall perform the following
services to provide the architectural and construction
drawings, specifications, and bid documents for Prospect
Park Phase I :

(a) Provide engineering required to complete
existing plans for Phase I.
(b) Develop plans for needed architectural
development for Phase I.
(c) Develop construction specifications, including
both technical and general provisions, necessary for
plans to be advertised.
(d) Provide a detailed cost estimate of all
aspects of contract work -- wherever possible force
account work may be done by the City.
(e) Participate in the analysis of construction
bids received.
(f) Conduct a pre-job meeting between P.O.D. ,
City officials, and the contractor.
(g) Attend all necessary meetings .
(h) Conduct periodic construction inspections.
(i) Advise on the preparation of all reports
to the State of California Parks and Recreation -
Department.
3. TIME. The parties recognize that time is of the
essence insofar as the work to be accomplished is concerned,
and agree that all work to be accomplished by P.O.D.
pursuant hereto shall be completed in accordance with the
following schedule :
(a) All work required to produce plans and
specifications and detailed cost estimates so bids
may be advertised for, shall . be completed by Sep-
tember 1, 1975.
(b) Target date for submission of bids by
contractors is established as October 15, 1975.
P.O.D. ' s work on construction bid analysis shall be
completed within 30 days after bids have been received.
(c) P.O.D. ' s construction inspections will
continue over the period allowed the contractor for
construction.
(d) P.O.D. ' s assistance to the City for reports

required by the State of California Department of
Parks and Recreation for use of bond monies will
continue over the period of the agreement, with
final report acceptable by the above agency being
made prior to June 30, 1977 .
4. PROJECT TEAM.
(a) Duane Blossom, Project Director, and Erik
Katzmaier, Project Manager, of P.O.D. , with James
MacKenzie, Parks Director for the City.
5. FINAL PLANS AND SPECIFICATIONS. P.O.D. will
provide the City with all necessary copies of plans and
specifications for bid purposes . City shall reimburse
P.O.D. for all printing charges involved at cost of
required printing.
6. COMPENSATION. Compensation to P.O.D. for the
total services to be rendered pursuant to the Agreement
shall not exceed $32 ,000 . This includes architecture,
engineering, electrical, civil engineering, and landscape
architecture as submitted in the Scope of Work Prospect
Park Phase I, dated December 12 , 1974 . Any additional
work incurred beyond the stated scope of work outlined in
the letter of proposal dated December 12 , 1974 , shall be
reimbursed at the hourly rate, not to exceed $35. 00 per
hour, and at the direction of James MacKenzie and/or the
City of Redlands.
Construction supervision is a part of this project
(supervision schedule to be set by landscape architect,
contractor, and the City prior to the start of installation) .
Supervision is estimated to be a maximum of 60 hours. Any
additional supervision that may be requested by the City
shall be billed at $25. 00 per hour.
Payment of said compensation shall be made in
accordance with the following:
(a) As submitted on an hourly basis of work
completed, or,
(b) One-third on completion of plans, etc.

(c) one-third on completion of bid evaluation, etc.
(d) one-third on project acceptance by the State
of California Department of Parks and Recreation for
final payment of bond monies.
7. TERMINATION. Either party hereto shall have the
right to terminate this Agreement upon giving a ten day
written notice of such termination to the other party.
In the event of the termination of this project in its
entirety, the Director of Public Works, based upon work
accomplished by P.O.D. prior to notice of such termination,
shall determine the amounts of fees to be paid P.O.D. for
such services based on accepted park planning practices,
and such finding by the Director of Public Works and
approved by the City Council shall be final and conclusive
as to the amount of such fee. Upon termination, all
completed work shall become the property of the City.
8. SCOPE OF WORK - PROSPECT PARK PHASE I. See the
attached letter, dated December 12, 1974 , as referred to
in the above agreement.
9 . NOTICES. Notices pursuant to this agreement shall
be given by United States Mail, postage prepaid, addressed
to the parties hereto as follows :

Dear Jim:
Thanks very much for visiting our office to discuss aspects of Phase I
work of the above referenced project. Pursuant to our discussion, we
have further refined a scope of services for your review and consider-
ation.
Vie believe the program outlined will accomplish those tasks of the
initial phase of work, as well as provide the necessary information
for the subsequent phases of work.
The costs shown are approximate and are, of course, subject to change
by increase or reduction in scope of work and/or inflatianar_y cost
factors. We emphasize our desire to work with local consultants within
the community wherever feasible, (architecture, engineering, electrical,
and etc. ) .
With these general thoughts in mind, we present the following outline.
We shall be happy to answer any questions or clarify any of the various
points covered.
Please let us know if we can be of further assistance. We look forward
to your reply.

PROSPECT PARK SCOPE OF WORK: Phase I
Task I: Evaluate current phase I work proposed and determine scope
of subsequent. phases to come (phases I,, III III, and etc. )
A. Develop a logical sequence of work for subsequent phases
with priorities.
B. Define limits of work for each phase, and elements to be
included. (ie. lighting, planting, paving, special
features)
C. Review utility needs and establish phasing.
Task II: Establish a design vocabulary to effectively -generate a
visual character and identity for the park.
A. Materials and format for:
1. Lighting (type and use)
2. Paving (walks, paths, drives, steps, ramps, etc. )
3. Furnishings (benches, seating areas, picnic tables)
4. Planting (establish pallette with consideration of
form, color, and texture. )
S. Special features and focal elements (ie. Kiosks,
Pergolas, Gazebo, pond, etc. )
Task III: Develop site plans for Phase I increment to include, but
not limited to the following program elements:
