This Service Agreement ("Agreement") for the services described below is made and entered
into this 15t" day of May 2007 ("Effective Date"), by and between Inland Empire Shred-it, Inc.
("Shred-it"), a California corporation and the City of Redlands ("City"), a municipal corporation.
Shred-it and City are sometimes individually referred to herein as a "Party" and, together, as the
"Parties."
In consideration of the mutual promises and covenants herein, City and Shred-it
agree as follows:
ARTICLE I — SERVICES
1.1 "Services" defined: Shred-it shall provide the City on-site shredding once every
four weeks. Locked containers ("Consoles") shall be provided by Shred-it to the
City at no charge. Shred-it shall also provide the City with a Certificate of
Destruction each time Shred-it comes on-site to perform services.
1.2 "Service Fee" defined: City shall pay sixty dollars ($60) per Console to Shred-it
for Services. The City will be billed an additional four dollars and five cents
($4.05) per minute for, any additional materials not contained within the Consoles.
ARTICLE 2—GENERAL CONSIDERATIONS
2.1 Terms of Agreement. This Agreement shall remain in effect for a term of
twenty-four (24) months from the Effective Date, unless terminated pursuant to
section 2.3.
2.2 Confidentiality. Shred-it acknowledges that the materials contained in the
Consoles and any additional material that is delivered to Shred-it by City is
confidential and protected by federal and state law ("Confidential Material"),
Shred-it, its employees, agents and/or independent contractors shall not use or
disclose any Confidential Material at any time or for any reason. Any breach by
Shred-it of this section shall result in immediate termination of this Agreement,
and City reserves all other legal or equitable remedies. This section shall survive
termination of this Agreement.
2.3 Termination. City may terminate this Agreement for any reason, at any time, at
its sole discretion. Shred-it shall have the right to pick up its Consoles at its own
expense within ten (10) days after termination.
2.4 This Agreement represents the entire agreement and understanding between the
Parties as to the matters contained herein and any prior negotiations, proposals
and verbal agreements relating to the subject matter hereof are superseded by this
Agreement. Any amendment to this Agreement shall be in writing and approved
by the City Council and signed by the Parties.

2. This Agreement shall be governed by and construed in accordance with the laws
k of the State of California.

2.6 In the event any action is commenceto enforce or interpret� d any P y of the terms or
conditions of this Agreement the prevailing Party shall, in addition to any costs
and other relief, be entitled to the recovery of its reasonable attorneys' fees,
including fees for the use of in-house counsel by a Party.
2.7 If any provision or part of this Agreement is held to be void or unenforceable under
any law or regulation, it shall be deemed stricken and all remaining provisions shall.
