Omega shall provide services fully described in the following Exhibits: Exhibit A:Technical Objectives for the Redlands Police Department NU Project, Dated Dec. 21,2010 These Exhibits are attached hereto and incorporated in full herein by reference.Omega shall retain the right to perform work for others during the terms of this Agreement. 1.2 Conduct of Services. Client agrees to provide working space and facilities,and any other services and materials Omega or its personnel may reasonably request in order to perform the work assigned to them. All work shall be performed in a workmanlike and professional manner by employees or subcontractors of Omega having a level of skill in the area commensurate with the requirements of the scope of work to be performed. Omega shall make sure its employees or subcontractors at all times observe security and safety policies of Client. 1.3 Method of Performing Services. The parties acknowledge and agree that Client shall have no right to control the manner, means,or method by which Omega performs the services called for by this Agreement. Rather, Client shall be entitled only to direct Omega with respect to the elements of services to be performed by Omega and the results to be derived by Client.Client can review and assess the performance Omega services for the limited purposes of assuring that such services have been performed and confirming that such results were satisfactory. L4 Project Timeline.The project timeline(Exhibit B,attached and hereto incorporated in full by reference) is intended to provide overall guidance to the parties to ensure that the project meets expected goals and milestones in a manner consistent with the expectations of the funding agency,Omega will make every effort to ensure that relevant software development goals are met within the milestones of the timeline.If delays in software development goals are unavoidable,Omega will confer with the Client to discuss appropriate actions to ensure that the project stays within the overall timeline. Section 2 TERM OF AGREEMENT 2.1 Term. This Agreement shall commence on the date set forth above,and unless modified by mutual agreement of the parties or terminated earlier pursuant to the terms of this Agreement,shall continue until the documented satisfactory completion of the technical objectives set forth in Exhibit A;or until it is terminated as set forth in Section 2.2. 2.2 Termination., This Agreement may be terminated by either party upon sixty(60)days prior written notice,if the other party breaches any term hereof and the breaching party fails to cure such breach within the 60 day period;provided that,notwithstanding the foregoing,the cure period for any failure of Client to pay fees and charges due hereunder shall be thirty(30)days from the date of receipt by Client of notice of delinquency. 2.3 Return Client Property. Upon termination of this Agreement for any reason,Omega shall promptly return to Client all copies of any Client data,records,or materials of whatever nature or kind,including all materials incorporating the proprietary information of Client.Omega shall also furnish to Client all work in progress or portions thereof,including all incomplete work. Section 3 FEES, EXPENSES,AND PAYMENT 3.1 Fees. In consideration of the services to be performed by Omega.Omega shall be entitled to compensation in the total amount of$95,000,00.The payment schedule consists of four payments and is due as follows: • Payment 1(30%) $28,500.00 of the total amount due upon execution of this Agreement. • Payment 2(30%) $28,500.00 of the total amount due 3 months from contract execution • Payment 3(30%) $28,500.00 of the total amount due 6 months from contract execution • Payment 4(10%) $9,500,00 of the total amount due thirty(30)days after completion of services 3.2 Additional Work. The fees and charges for any follow-on or additional work not described in Exhibit A shall be performed at Omega's current hourly rates. Section 4 RELATIONSHIP BETWEEN OMEGA AND CLIENT 4.1 independent Contractor Status. The parties are and shall be independent contractors to one another, and nothing herein shall be deemed to cause this Agreement to create an agency,partnership,or joint venture between the parties. Nothing in this Agreement shall be interpreted or construed as creating or establishing the relationship of employer and employee between Client and either Omega or any employee or agent of Omega. 4.2 Nonsolicitation. During the term of this Agreement and for a period of six(6)months after the expiration or termination of this Agreement,for any reason whatsoever,the parties covenant and agree not to hire or engage or attempt to hire or engage employees of the other party,except through advertisements directed to the general public or as expressly pre-approved by the other party. 4.3 Confidentiality. The parties agree not to disclose to any third party any proprietary information disclosed to it by the other party without the prior written consent of such disclosing party. The parties further agree to take the same care with the proprietary information as it does with its own,but in no event with less than a reasonable degree of care. This obligation of the parties shall survive beyond the effective termination date of this Agreement.These restrictions shall not be construed to apply to(1)information generally available to the public; (2)information released by either party generally without restriction;(3)information independently developed or acquired by either party or its personnel without reliance in any way on other protected information of the other party;or(4)information approved for the use and disclosure of either party or its personnel without restriction. 4.4 Indemnification. Omega shall defend,indemnify and hold Client harmless from and against any and all liabilities, losses,damages,fines,judgments,claims,suits,actions and expenses(including,but not limited to, attorneys'fees and costs)arising out of or relating to personal injury or death to persons,including Omega's employees,contractors,and agents or damage to personal or real property,including Client's property,arising out of or in connection with Omega's grossly negligent performance of this Agreement. Client agrees to give Omega prompt notice of any such claim,demand,or action and shall,to the extent Client is not adversely affected,cooperate fully with Omega in defense and settlement of said claim,demand,or action. However,Client agrees that Omega's liability hereunder for damages,regardless of the form of action,shall not exceed the total amount paid for services under this Agreement. 4.5 DISCLAIMER OF WARRANTY. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT,OMEGA DOES NOT MAKE ANY WARRANTY,EXPRESS OR IMPLIED,WITH RESPECT TO THE SERVICES RENDERED BY ITS PERSONNEL OR THE RESULTS OBTAINED FROM THEIR WORK,INCLUDING,WITHOUT LIMITATION,ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, 4.6 LIMITATION OF LIABILITY. OMEGA'S CUMULATIVE LIABILTY UNDER OR FOR BREACH OF THIS AGREEMENT SHALL BE LIMITED TO THE FEES PAID BY CLIENT TO OMEGA. OMEGA SHALL HAVE NO LIABILITY FOR LOSS OF DATA OR DOCUMENTATION,IT BEING UNDERSTOOD THAT CLIENT IS RESPONSIBLE FOR BACKUP PRECAUTIONS. IN NO EVENT SHALL OMEGA BE LIABLE FOR ANY LOSS OF PROFITS,ANY INCIDENTAL,SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES,OR ANY CLAIMS OR DEMANDS BROUGHT AGAINST CLIENT,EVEN IF OMEGA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS OR DEMANDS. OMEGA SHALL NOT BE LIABLE TO CLIENT FOR ANY FAILURE OR DELAY CAUSED BY EVENTS BEYOND OMEGA'S CONTROL,INCLUDING,WITHOUT LIMITATION,CLIENT'S FAILURE TO FURNISH NECESSARY INFORMATION;SABOTAGE;FAILURE OR DELAYS IN TRANSPORTATION OR COMMUNICATION; FAILURES OR SUBSTITUTIONS OF EQUIPMENT;LABOR DISPUTES; ACCIDENTS;SHORTAGES OF LABOR,FUEL,RAW MATERIALS OR EQUIPMENT;OR TECHNICAL FAILURES. THIS LIMITATION UPON DAMAGES AND CLAIMS IS INTENDED TO APPLY WITHOUT REGARD TO WHETHER OTHER PROVISIONS OF THIS AGREEMENT HAVE BEEN BREACHED OR HAVE PROVEN INEFFECTIVE. Section MISCELLANEOUS 5.3. Governing Law. This Agreement shall be governed and construed in all respects in accordance with the laws of the State of California as they apply to a contract executed,delivered,and performed solely in such State. 5.2 Insurance. To the extent that Omega's personnel may perform work at Client's premises,Omega shall maintain comprehensive general liability insurance,including broad form property damage coverage,with limits of at least Si.million combined single limit for personal injury and property damage for each occurrence. Upon the request of Client,Omega shall provide Client with evidence satisfactory to Client of such insurance. 5.3 Remedies, All remedies available to either party for one or more breaches by the other party are and shall be deemed cumulative and may be exercised separately or concurrently without waiver of any other remedies. The failure of either party to act in the event of a breach of this Agreement by the other shall not be deemed a waiver of such breach or a waiver of future breaches,unless such waiver shall be in writing and signed by the party against whom enforcement is sought. 5.4 Notices. Any notices to be given hereunder by either party to the other may be effected either by email, personal delivery in writing or by first class mail. Mailed notices shall be addressed as listed below,but each party may change such address by written notice in accordance with this paragraph.Notices delivered personally will be deemed communicated as of actual receipt. Mailed notices will be deemed communicated as of two days after mailing. This Agreement supersedes any and all agreements,either oral or written,between the parties with respect to the rendering of services by Omega for Client and contains all the covenants and agreements between the parties with respect to the rendering of such services in any manner whatsoever. Each party to this agreement acknowledges that no representations,inducements,promises,or agreements,orally or otherwise,have been made by any party,or anyone acting on behalf of any party,that are not embodied herein,and that no other agreement,statement,or promise not contained in this agreement shall be valid or binding.Any modification of this agreement will be effective only if it is in writing signed by the party to be charged. 5.6 Severability. If any of the provisions of this Agreement are ruled illegal,invalid or unenforceable by a court of competent jurisdiction under any applicable statute or rule of law,they shall,to that extent,be deemed omitted,and the remainder of this Agreement shall continue to be in full force and effect, No waiver of any breach of any provision of this Agreement shall constitute a waiver of any other breach of the same or any other provision hereof,and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party. 5.7 Headings. The section headings used herein are for reference only,and shall not limit or control any term or provision of this Agreement or the interpretation or construction hereof. 5.8 Federal Funding Accountability and Transparency Act(FFATA)of 2006,as Ammended,2008.Prime recipients of federal awards are required to report any sub-award that is,together with its modifications,greater than$25,000.00 to the General Services Administrations' Federal Sub-award Reporting System. It is understood that this Agreement is awarded under a cooperative agreement from the National Institute of Justice (2010-DE-BX-K006),Exhibit C,and all applicable requirements,regulations and provisions of the Prime Award are hereby incorporated into this Agreement.It is the responsibility of Omega(and of each subrecipient,if applicable) to ensure that these conditions are included in any SU baward under this award,Omega will comply with all applicable special conditions including, but not limited to,the following: Special Condition 4:Recipient understands and agrees that it cannot use any federal funds,either directly or indirectly, in support of the enactment,repeal,modification or adoption of any law,regulation or policy,at any level of government,without the express prior written approval of OJP. Special Condition 5:The recipient must promptly refer to the DOJ OIG any credible evidence that a principal,employee,agent,contractor,subgrantee,subcontractor, or other person has either 1) submitted a false claim for grant funds under the False Claims Act;or 2)committed a criminal or civil violation of laws pertaining to fraud,conflict of interest, bribery,gratuity,or similar misconduct involving grant funds.This condition also applies to any subrecipients. C.Audit of Books- Financial reports,supporting documents and other records related to this Agreement shall be retained by Omega for a period of three(3)years from the date of final payment except that records that relate to audits,appeals, litigation or the settlement of claims arising out of performance of this Agreement shall be retained until such audits,appeals, litigation or claims have been disposed of. 5.11 Special Provisions.The Clauses,Certifications,and Regulations identified on Exhibit 0,attached hereto,are incorporated herein by reference. This project will specifically target the iPhone although the fundamentals of the approach and server side tools can extend to other mobile devices. There are three specific goals for this project: 1. Provide ability for the mobile user to interact with a variety of useful spatial data and other useful resources, 2. Design an application launch app for the iPhone for easy access to the applications created as part of this project. 3. Include 3`d party tools and existing URL links where appropriate to meet the needs determined, This is a summary of development projects (apps) have been determined to be the focus of this project: 1. Application Launch 2. Field Reporting 3. NearMe 4. CAD Incident 5, Officer Information Exchange These applications are described below. Application Launch App An Application Launch iPhone app will be a home base for mobile users to have easy access to the applications created and included in this project. This app will operate as an application framework access uver to data at RPD. With this application as a launching point, it will pass include a simple security interface login screen for all native apps. For apps which are simply hyperlinks to external (3`d-party) programs, t p `{4 s - ,1+ , these applications will handle any further required security. Each ray ` application that inputs data to the RPD spatial data warehouse must �: s also include a time-out capability in order to disconnect the user from the database. t f. , , Axe tett t Field interviews Field interviews(Fis), including CALGANG (Smash) cards are location-based information data that can be captured in the field and centrally housed in the RPD spatial data warehouse. The ability to have direct access to these layers to add new reports as well as query and view existing reports from the mobile device in the field will provide greater accuracy and more timely information. The Field Reporting app will allow the mobile user to: • Create new FI (or CALGANG)entries ° "WO 6011010411M, • Clone records when multiple entries are assigned to one Fl location/time • Auto population of linking information where applicable. While entering a new Fl the app will include the ability to: • include the GPS location to provide the coordinates far the spatial referencing of the report Estroxikaiii • Optionally add photos • Mark the Fl with a CALGANG designation for later '' "" *.t processing 0 CALGANG Once the updates have been entered the attributes provided are posted to the database. These data are then merged with the existing Fl database to become available to the department in the RPD spatial data warehouse. The Fl data table will need to be designed such that Redlands PD can most easily match the schema of their Spillman Fl database module. CALGANG information may only persist in paper form. Thus,these data will be processed onto cards in the standard format for inclusion in this system. NearMe The NearMe application will allow the mobile user to select spatial Amt layers(e.g., Crimes, Arrestees, Els, Persons,Citations, Collisions) and view features that are located near them within the current map extent. This simple app will provide mobile users easy access to data layers located in the RPD spatial data warehouse, including dynamic hot spot maps for directed patrol and the parcels layer for property information. Allowing officers to view up-to-date crime data can lead to officers observing trends and patterns more quickly than going through the traditional crime analysis pathways. Additional filtering capabilities will be included for the Incidents layer where users will be able to filter the information based on 0 6~ crime type,date and time. For the other crime layers, specific filters will be designed for appropriate attributes(e.g., Involvement,Citation Type,etc.)as well as date. In order to assist with performance and ease of use, some functionality will be administratively defined optional parameters available for the user to customize. Additional functionality and constraints are identified below: * Spatial filtering is based on the current map extent only. There are a few ways to change the map extent. o Pan Map o Zoom to Address o Bookmark o My Location • More than one layer at a time can be displayed in the map. * To make the interface easier for the user to filter any crime layer available,a framework of stored queries(queries on demand)will be available allowing for easy selection of predefined, filters. a date,time (only for incidents) and attribute filters. * There is a limit of the number of records displayed in the map at once. • There may be a limit for display of crime data based upon zoom level (e.g., turn off when zooming out too far). * The map layer is to have a unique value renderer field. * A "map tip" will be displayed when the user taps on the item. This is to include only the crime type address and date time. When the user taps the arrow on the map tip,a page with more details is displayed. * There will be both a map view and a table view. The table view displays the same information available to the map tip and allows the user to ask for more detail for any specific record. CAD Incident The CAD Incident app will provide the mobile user with a simple feed of recent CAD incidents that have occurred in RPD or optionally recent incidents within a distance of the mobile user's current location. This module would enable the query,view and editing of data by authorized users. The user will be able to drill down to more data attributes beyond the feed listing. Using a web application supplied by Spillman (Spillman Touch), accessed using the Application Launch App,the mobile user will be provided access to the CAD system through the Spillman '4%0,41 IRXPIt., VOk application with the ability to edit information from a mobile device. ftf,D is currently working to obtain this 3rd-j.rarty ' application for their department. Officer Information Exchange The two way flow of unstructured information between deployed personnel as well as with headquarters is critical to successful - policing interventions. The majority of this exchange today is 'eA0i4 through voice interaction over the radio or direct interaction on the job. This Officer Information Exchange(social interaction)capability provides for digital dialogue-based interactions via secure group blogging and micro-blog-like (e.g.,Twitter) app on the mobile device. This capability will allow mobile users to interact with one another, as well as the rest of the department, through a set of social interaction tools. For the purposes of this project an existing social network API (Socialtext) will be used (The Omega Group maintains an appliance with Socialtext). The Socialtext API supports group blogging and micro-blog capabilities in light of this rapidly changing technology as well as reducing costs and learning curve. The configuration of this module will depend upon the unstructured information sharing that RPD deems useful and necessary for extending their intelligence sharing efforts. Twitter-style communication coupled with groups and workspaces for sharing documents and photos will be used to enhance intra-department communications via a mobile application. REST Endpoints REST endpoints will be used for data accessibility behind the user apps. These endpoints will provide interoperability to the respective data sets. These endpoints are specific to the source data, such as the case for accessibility to the Redlands PD Spatial Data warehouse. This is much like specific ODBC drivers might be required to query data from a source dataset using SQL. GeoRSS may be used as the method of data sharing,especially when providing interaction with a spatially enabled layer of data. GeoRSS is designed as a lightweight, community driven way to extend existing feeds with geographic information. Employing this open standard will ensure easy adaptation and ease the development process. For the purposes of enabling these apps at RPD,Omega will create the REST endpoints necessary for accessibility to the participating layers in the Redlands Spatial Data Warehouse. However,creating these endpoints at the data source end is not a part of the deliverables of this project. Other departments may have interest in these apps connecting to their varied data sources,thus this will not be a standard process. Omega agrees to provide certification to RPD upon execution of this Agreement that an appropriate institutional review board has reviewed and approved the procedures which involve human subjects and that the Omega also have a Federal Wide Assurance for research with human subjects. RPD will not serve as the institutional review board for the Omega. Instances of noncompliance with this provision shall be reported immediately to the RPD Administrative contact. H.SCIENTIFIC MISCONDUCT-instances of scientific fraud or misconduct related to the performance of the work conducted under this Agreement shall be reported to the RPD Administrative Contact immediately subsequent to any independent determination that fraud or misconduct has occurred. I. FINANCIAL DISCLOSURE-If Omega employs more than 50 persons,Omega certifies to the best of its knowledge that all financial disclosures required by the Sponsor/Agency policy have been made and that all identified conflicts will have been satisfactorily managed, reduced or eliminated prior to the institution's expenditure of any funds under this Agreement award,in accordance with Omega's conflict of interest policy. As conflicts which cannot be satisfactorily managed,reduced or eliminated,must be disclosed to Sponsor/Agency through RPD, Omega shall promptly advise RPD of any such conflict(s). If Omega is an educational institution,Omega certifies that its most recent A-1.33 audit was completed for the fiscal year and there were no findings of material weakness, material instances of noncompliance, or findings related to any subaward related to RPD. L.COMPLIANCE WITH FEDERAL AND STATE LAW-Omega agrees that it is currently in compliance with all applicable local,state and federal laws and will remain in such compliance at all times and in all events during the term of this Agreement. Omega agrees to notify RPD promptly if there is any change of status in any of the above certifications. Failure to so comply will automatically terminate this Agreement as of the time of noncompliance.
