HomeMy WebLinkAboutContracts & Agreements_41-2012_CCv0001.pdf CONTRACT BETWEEN THE CITY OF REDLANDS AND THE POLICE FOUNDATION FOR CRIMINOLOGICAL RESEARCH This Agreement("Agreement")is entered into between the POLICE FOUNDATION("Police Foundation^),annt-for-prufitcorporation located at12O1 Connecticut Ave, N.VV,Suite 28O, Washington,DC, 20036 and the CITY OF REDLANDS("REDLANDS")in the State of California, Whereas the National Institute of Justice ("NIJ") has awarded the CITY OF REDLANDS a montractfortheproiecttided "0evelopingmniPhane8asedCrimeK4appinQApp|icotion to Assist Law Enforcement Officers with Understanding Spatial and Temporal Crime Patterns" AwordNumber2DlO-��-8X-KOO6 ' ' And whereas,the Bureau ofJustice Assistance (°EUA") has awarded the CITY OF REDLANDS a contract for the project titled "Using Social Business Software(SBS)to Enhance PubAo/PrivotePartnerships:ACollaborative Approach toCommunity Knowledge M\ninQ^,Award Number 2011-MU-8C-KD04, And whereas,Office of Community Oriented Policing Services("COPS")has awarded the CITY DFREDLANDSacontract for the project titled "Technology Program Qrant^,Award Numher2OO9-CK-VVX-D315' WHEREAS,the Police Foundation has proposed to collaborate with Redlands on these awards; NQVV THEREFORE, in consideration of the mutual promise and benefits hereunder and other good and valuable consideration,the parties mutually agree to all of the following: 1. Statement of Work The Police Foundation agrees to perform the work described in the Statement of Work,The specific work to occur within the three funded projects is described below. A. Project 1:National Institute of Justice Cooperative Agreement 2010-DE-BX-KO06 Task List: l^ Implementation Assessment Survey/Focus Group:The Police Foundation will oversee the application implementation assessment survey and focus group. They will develop, in conjunction with George Mason University,appropriate metrics to evaluate program impact. In order to produce the most useful results, it is the responsibility of Redlands to ensure that project participants are available and willing toparticipate inthe assessment. Z. NIJ Defiverables:The Police Foundation will work with the app developers,The Omega Group,toensure that all apps developed aspart ofthis cooperative agreement are delivered tothe Funding Agency asspecified iuthe special conditions attached tothe cooperative agreement,The Police Foundation will also prepare the materials necessary tmtrain users mnthe functions ufthe apps developed under this cooperative agreement. 1 3. Representation at professional conferences as obligated in the grant:The Police Foundation's Principal Investigator or delegate will represent the project at professional conferences asobligated bythe original project narrative. 4. Meeting with app developers:The Police Foundation's Principal Investigator or delegate will confer regularly with the app developer,The Omega Group,to ensure that adequate progress onthe project is being made. 5. Coordinating evaluation efforts with George Mason University:The Police Foundation's Principal Investigator or delegate will confer regularly with George Mason University project personnel. Meetings between the Principal Investigator and George,Mason University will occur asneeded, 6. Budget modifications:The Police Foundation will be responsible for drafting and submitting all budget modifications. Such budget modifications are subject tothe approval nfthe Redlands Project Director identified |nSection 4'Due tothe time sensitive nature of these documents, Redlands is responsible for reviewing these documents within two weeks (I4days)ofreceipt. 7. Progress reports/Final report:The Police Foundation's Principal Investigator will prepare all progress reports,final reports,and technical reports as required under this cooperative agreement.The Redlands Project Director is responsible for reviewing these documents before submission. Due tothe time sensitive nature ofthese documents, Redlands|aresponsible for reviewing these documents within two weeks(14days)ofreceipt. B. Project 2:Bureau m{Justice Assistance Cooperative Agreement 2011-M0-BC-K004 Task List: 1. BJA Deliverables:The Police Foundation will prepare the deliverables as specified under the original project plan,This includes creating the document on how to best utilize social business software in a law enforcement setting. 2. Representation at professional conferences asobligated in the grant:The Police Foundation's Principal Investigator or delegate will represent the project at professional conferences as obligated by the original project narrative. 3. Meeting with software developers:The Police Foundation's Principal Investigator ordelegate will confer regularly with the software developers atthe E0iaGroup LLC,toensure that adequate progress onthe project isbeing made. 4. Evaluation:The Police Foundation will assess the CopBqokplatform todetermine any additional features that are necessary. |norder todusothe Police Foundation will conduct a survey of users to determine what, if any,changes can be made to the system to facilitate successful adoption.The nature and scope of this evaluation will bedetermined bythe Police Foundation. S. Budget modifications:The Police Foundation will beresponsible for drafting and submitting all budget modifications.Such budget modifications are subject to the approval of the Redlands Project Director identified in Section 4.Due to the time sensitive nature of these documents, Redlands is responsible for reviewing these documents within two weeks (14days)ofreceipt. 6. Progress reports/Final report-The Police Foundation's Principal Investigator will prepare all progress reports,final reports,and technical reports as required under this cooperative agreement.The Redlands Project Director is responsible for reviewing these documents before submission. Project 3:Community Oriented Policing Services Grant 2M09-CK-WX-031S Task List: 1. Representation at professional conferences as obligated in the grant:The Police Foundation's Principal Investigator or delegate will represent the project at professional conferences asobligated by the original project narrative. 2. Project Goals&Objectives:The Police Foundation will work with Redlands personnel Lmachieve the project goals and objectives defined inoriginal grant narrative, 3. Surveillance Camera Program Evaluation:The Police Foundation will under-take an evaluation of Redlands' surveillance camera monitoring program.In order to perform this evaluation, Redlands agrees to provide access to data and personnel asdetermined bythe Police Foundation's Principal Investigator. 4. Research Collaboration:Asdirected bythe Redlands Project Director the Police Foundation will collaborate with other research organizations as necessary to ' improve Redlands'technological initiatives and crime control and crime prevention strategies.The Police Foundations will also collaborate with other organizations as needed to assess the impact of technology on crime and place. 5. Budget modifications-The Police Foundation will be responsible for drafting all budget modifications.Any budget modifications will besubmitted tothe Redlands Administrative Contact for submission tothe Funding Agency. 6. Progress reports/Final report:The Police Foundation's Principal Investigator will prepare all progress reports,final reports,and technical reports as required under this grant agreement.Submission ofthese reports tothe funding agency shall bethe responsibility ofRedlands. 2. Term A- Project 1: National Institute wfJustice Cooperative Agreement 2#10'DE-0X-KO06 With respect toNUcooperative agreement 2U1D-DE-BX-KUO6,the period of performance ("Term")shall begin on April 1, 2012,and shall not extend beyond December 31, 2012, ("End Date"), unless mutually agreed in writing by both parties and subject toapproval bVthe Funding Agency, B. Project 2:Bureau ufJustice Assistance Cooperative Agreement 2011-K0U'BK-KO04 With respect to BJA cooperative agreement 2011-MU-BC-KO04,the period of performance (°Term")shall begin onApril 1,2012,and shall not extend beyond September 3O, 2013,(°End Date"), unless mutually agreed inwriting byboth parties and subject toapproval bythe Funding Agency. C. Project 3:Community Oriented Policing Services Grant 2GA9-CK-WV*-031S With respect toCOPS grant 20O0-CK-VVX-U3I5,the period ofperformance(°[erm°) shall begin mnApril 1, 2D12,and shall not extend beyond September 1O,2O23, ("End Date"),unless mutually agreed in writing by both parties and subject to approval by the Funding Agency. 3 Modifications:Any extension,continuation,or further funding of this Agreement beyond the End Date shall be subject to: (1)Appropriate time extension approvals by Redlands or the Funding Agency,as applicable;and (J)continuation bythe Funding Agency ofthe Prime Award and authorization by the Funding Agency ofspecific funds for the Police Foundation's portion of the work. 3. Budget& Payment This is a fixed price contract.The maximum amount payable to the Police Foundation under this agreement is$2G6,74I.S8.The payment schedule isasfollows: A. Project 1:National Institute ofJustice Cooperative AKreemment2U10-DE'0X-KO06 In consideration of the services to be performed by the Police Foundation under Nit cooperativeagreement2O1O-0E-BX-KOU6'thePo|iceFoundat|nnsha||beentit|edto compensation |nthe amount of$7'336. B. Project 2:Bureau of Justice Assistance Cooperative Agreement 2011-MU'BC-KK04 In consideration of the services to be performed by the Police Foundation under BjA Cooperative agreement 2OI1-KXU'B['K0O4,the Police Foundation shall beentitled to compensation inthe amount mf$166,4I5 C. Project 3:Community Oriented Policing Services Grant 2089-[K-VVX-0315 In consideration of the services to be performed by the Police Foundation under [UPS grant 280B-[K-VVX-U915,the Police Foundation shall beentitled tn compensation |nthe amount uf$92,991.58 Payment:The Police Foundation may submit invoices to Redlands not more than once per month and Redlands shall reimburse the Police Foundation for actual costs incurred on the project.Redlands agrees to make payments within 30 days of receipt of a properly submitted invoice. Invoices will be sent to the Administrative Contact identified in Section 4 of this agreement. Modifications:Total expenditures for the Police Foundation's performance shall not exceed the budgeted amount stated, unless mutually agreed to in writing by both parties.Any such additional funds shall be subject to availability from Redlands or the Funding Agency.To apply for additional funds under this paragraph,the Police Foundation shall submit one copy of the proposed budget changes to the Redlands Administrative Contact identified in Section 4 of this agreement. 4. Key Personnel Redlands Project Director: Red|and'sProject Director|sits Chief o(Police Mark Garcia,who shall be responsible for the overall direction and coordination of the work to be performed under this Agreement and the Prime Award,All correspondence or notices of a technical or programmatic matter related tothis Agreement shall beforwarded tothe Redlands Chief ofPolice. Redlands Administrative Contact,The Redlands'Administrative Contact is Lt. Chris Catren-All administrative,contractual,and business notices required bythis agreement shall bemade|n 4 writing and sent to the following individual: Chris Catren, Redlands Police Department, PO Box 1D2S^Redlands[492373. Police Foundation Principal investigator:The Police Foundation's Principal Investigator responsible for the conduct of the work related to this Agreement is Dr.Travis Taniguchi.Any correspondence or notices of a technical or programmatic matter related to this Agreement shaft be forwarded to Dr.Taniguchi,Should the Police Foundation's principal investigator become unavailable,the Police Foundation shall propose a substitute principal investigator subject to the approval of Redlands and the Funding Agency.All administrative,contractual,and business notices required by this agreement shall be made in writing and sent to the Principal Investigator. S. General Provisions It is understood that this Agreement is awarded under multiple grants and/or cooperative agreements from Funding Agencies.All applicable requirements, regulations,and provisions of the Prime Award are hereby incorporated into this Agreement by reference. 1. Special Provisions The Clauses,Certifications,and Regulations identified on Appendix 4,attached hereto,are incorporated herein byreference. 7. Miscellaneous Headings:The section headings used herein are for reference only, and shall not limit or control any term or provision of this Agreement on interpretation or construction thereof. independent Contractor Status:The parties are and shall beindependent contractors toone another,and nothing herein shall be deemed to cause this Agreement to create an agency, partnership,or joint venture between the parties. Nothing in this Agreement shall be interpreted or construed as creating or establishing the relationship of employer and employee between Redlands and either the Police Foundation or any employee or agent of the Police Foundation. Conduct ofServices-Redlands agrees to provide working space,facilities, data,access toother employees,and any other services and materials the Police Foundation or its personnel may reasonably request in order to perform the work assigned to them.All work shall be performed in professional manner by employees or subcontractors of the Police Foundation having a level of skill in the area commensurate with the requirements of the scope of work to be performed. The Police Foundation shall make sure its employees or subcontractors at all times observe security and safety policies ufRedlands. 5 Method of Performing Services:The parties acknowledge and agree that Redlands shall have no right tocontrol the manner, means, o/method bywhich the Police Foundation performs the services called for by this Agreement, Rather, Redlands shall be entitled only to direct the Police Foundation with respect to the elements of services to be performed by the Police Foundation and the results to be derived by Redlands. Redlands can review and assess the performance of the Police Foundation's services for the limited purposes of assuring that such services have been performed and confirming that such results were satisfactory, Provision of Computer Hardware: Redlands agrees to provide the Police Foundation with computer hardware and software appropriate for conducting the work specified in the Scope of Work,Section 1. EUAcooperative agreement 2O11-K4U BC-KO04ai|ocatesapproxinnate|y $12,000 to computer equipment,computer software,and computer accessories. Redlands agrees to use this money to purchase equipment for the Police Foundation to carry out its obligations under this agreement.The specifications of this computer equipment will be solely determined by the Police Foundation,At the conclusion of the grant all computer equipment will bereturned toRedlands. Insurance:To the extent that Police Foundation personnel may perform work at Redland's premises,Police Foundation shall maintain comprehensive general liability insurance..including broad form property damage coverage,with limits oYatleast$1million combined single limit for personal injury and property damage for each occurrence. Upon the request of Client,Police Foundation shall provide Redlands with evidence satisfactory to Redlands of such insurance. Indemnification:The Police Foundation shall defend, indemnify and hold Redlands harmless from and against any and all liabilities, losses,damages,fines,judgments,claims,suits,actions and expenses(including, but not limited to,attorneys'fees and costs)arising out of or relating to personal Injury or death to persons, including Police Foundation employees,contractors,and agents or damage to personal or real property, including Redlands' property,arising out of or in connection with the Police Foundation's grossly negligent performance of this Agreement. Redlands agrees to give Police Foundation prompt notice of any such claim, demand,or action and shall,tnthe extent Redlands is not adversely affected, cooperate fully with the Police Foundation in defense and settlement of said claim,demand,or action, However, Redlands agrees that the Police Foundation's liability hereunder for damages, regardless of the form of action shall not exceed the total amount paid for services under this Agreement. Limitation of Liability:The Police Foundation's cumulative liability under or for breach of this agreement shall belimited tothe fees paid byRedlands tothe Police Foundntimn.ThePolice Foundation shall have no liability for loss of data or documentation, it being understood that client isresponsible for backup precautions, |nnoevent shall the Police Foundation beUab|efor any loss of profits,any incidental,special,exemplary or consequential damages,or any claims or demands brought against client,even if the Police Foundation has been advised of the possibility of such claims or demands.The Police Foundation shall not be liable to Redlands for any failure mrdelay caused byevents beyond the Police Foundation's control,including,without limitation, Redlands failure to furnish necessary information; sabotage;failure or delays in transportation or communication;failures or substitutions of equipment; labor disputes; accidents;shortages of labor,fuel, raw materials or equipment;or technical failures.This 6 limitation upon damages and claims is intended to apply without regard to whether other provisions of this agreement have been breached or have proven ineffective. 8. Remedies All remedies available to either party for one or more breaches by the other part are and shall be deemed cumulative and may be exercised separately or concurrently without waiver of any other remedies.The failure of either party to act in the event of a breach of this Agreement by the other shall not be deemed a waiver of such breach or a waiver of future breaches, unless such waiver shall be in writing and signed by the party against whom enforcement is sought. 9. Termination If either party materially breaches any of its duties or obligations hereunder, and such breach is not cured,or the breaching party is not diligently pursuing a cure to the non-breaching party's sole satisfaction,within thirty(30)calendar days after written notice of the breach,thenthe non-breaching party may terminate this Agreement for cause asofadate specified insuch notice. 10.Modifications Any and all modifications to this Agreement, including but not limited to budget modifications and changes to the Statement of Work, shall be submitted by Redlands to the Police Foundation's Primary Investigator. No modification to this Agreement shall be valid without the signatures ofaduly authorized representative ofboth parties. ll.Severability if any of the provisions of this Agreement are ruled illegal, invalid or unenforceable by a court of competent jurisdiction under any applicable statute or rule of law,they shall,to that extent, be deemed omitted,and the remainder of this Agreement shall continue to be in full force and effect. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any other breach of the same or any other provision hereof,and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party. 12.Governing Law This Agreement shall be governed and construed |nall respects inaccordance with+thelaws of the State ofCalifornia amthey apply toacontract executed,delivered,and performed solely in such State. 13,Entire8y This Agreement constitutes the entire understanding of the parties regarding the subiectmatter herof,and supersedes all prior oral or written agreements regarding the subject matter hereof. Each party to this agreement acknowledges that no representations, inducements,promises.or, agreements,orally Vrotherwise, have been made byany party,oranyone acting onbehalf of 7 any party,that are not embodied herein,and that no other agreement, statement,or promise not contained in this agreement shall be valid or binding.Any modification of this agreement will beeffective only ifitisinwriting signed bythe party tobecharged. RESEARCH WITH HUMAN SUBJECTS:When human research subjects are|nvoh/edinthe performance cfWork,The Police Foundation agrees tocomply with all current U.S. Government regulations concerning protection ofhuman research subjects,with particular reference to Sponsor's implementation of 45 CFR Part 46—Protection of Human Subjects. The Police Foundation agrees toprovide certification to Redlands upon 24 execution of this Agreement that an appropriate institutional review board has reviewed and approved the procedures which involve human subjects and that the Police Foundation also have a Federal Wide Assurance for research with human subjects. Redlands will not serve as the institutional review board for the Police Foundation. instances of noncompliance with this provision shall be reported immediately to the Redlands Administrative Contact. H. SCIENTIFIC MISCONDUCT: Instances of scientific fraud or misconduct related to the performance of the work conducted under this Agreement shall be reported to the Redlands Administrative Contact immediately subsequent to any independent determination that fraud or misconduct has occurred. 1. FINANCIAL DISCLOSURE: If the Police Foundation employs more than 50 persons,The Police Foundation certifies to the best of its knowledge that all financial disclosures required by the Funding Agencies' policies have been made and that all identified conflicts will have been satisfactorily managed, reduced or eliminated prior to the institution's expenditure of any funds under this Agreement award,in accordance with The Police Foundation's conflict of interest policy. As conflicts which cannot be satisfactorily managed,reduced or eliminated, must be disclosed to Sponsor/Agency through Redlands, The Potice Foundation shall promptly advise Redlands of any such conflict(s). If The Police Foundation is an educational institution,The Police Foundation certifies that its most recent A-133 audit was completed for the fiscal year and there were no findings of material weakness, material instances of noncompliance,or findings related to any sub- award related to Redlands. J� COMPLIANCE WITH FEDERAL AND STATE LAW:The Police Foundation agrees that it is currently in compliance with all applicable local,state and federal laws and will remain in such compliance at all times and in all events during the term of this Agreement. The Police Foundation agrees to notify Redlands promptly if there is any change of status in any of the above certifications. Failure to so comply will automatically terminate this Agreement as of the time of noncompliance. 25
