PROFESSIONAL ENVIRONMENTAL CONSULTING SERVICES FOR A
PRIVATE PROJECT
This second amendment ("Second Amendment") to the agreement for the provision of
Professional Environmental Consulting Services (` Agreement") dated March 13, 2020, by and
between the City of Redlands, a municipal corporation ("City"), and LSA Associates Inc.
("Consultant"), is made and entered into this 1 lth day of January 2021
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement
to extend the time for completion of the services to May 31 2021
WHEREAS, it is the desire of City and Consultant to amend Exhibit A of the Agreement,
titled `Scope of Services, to increase the scope of services to include those described in Exhibit
'1 which is attached hereto and incorporated herein by reference; and
WHEREAS, it is the desire of City and Consultant to amend Article 5 1 of their existing
Agreement to increase Consultant's present total compensation of forty-six thousand eight hundred
seventy dollars ($46,870), to the amount of sixty-two thousand one hundred thirty -eighty dollars
($62,180); and
WHEREAS, it is the desire of City and Consultant to amend Exhibit 'C' of the Agreement,
titled `Project Costs and Hourly Rates, to include the additional cost described in Exhibit '3
which is attached hereto and incorporated herein by reference;
NOW THEREFORE, City and Consultant agree as follows:
AGREEMENT
Section 1. Section 2.1 of the Agreement, titled Additional Scope of Services' in
hereby amended to read as follows:
'2.1 The Services that Consultant shall perform are more particularly described in
Exhibit A titled Additional Scope of Services, which is attached hereto and incorporated
herein by reference. Consultant shall complete the Services on or before May 31 2021
Section 2. Section 4 1 of the Agreement, titled `Performance of Services' is hereby
amended to read as follows:
'4 1 Consultant shall perform and complete the Services in accordance with the project
schedule. The Services shall commence on the Effective Date of this Agreement and be completed
on or before May 31 2021

Section 3 The text of the project schedule contained within Exhibit "B" of the
Agreement is hereby deleted in its entirety, and substituted with a new project schedule (text) in
the form attached hereto as Exhibit "2 "
Section 3. Section 5 1 of the Agreement, titled "Payment to Consultant is hereby
amended to read as follows
5 1 The total compensation for Consultant's performance of the Services shall not
exceed the amount of sixty-two thousand one hundred thirty -eighty dollars ($62,180) City shall
pay Consultant on a time and materials basis up to the not to exceed amount, in accordance with
Exhibit "C" titled "Project Costs and Hourly Rates", which is attached hereto and incorporated by
reference
Section 4 All other provisions of the Agreement shall remain unchanged by this
Second Amendment and in effect
IN WITNESS WHEREOF, the parties have executed this Second Amendment, to be
effective as of January 11, 2021

Additional Scope of Services
Response to Comments
LSA's original scope of services anticipated up to 20 staff hours to respond to public review comments on
the Project's IS/MND. At the end of the public comment period, the City received thirty-eight (38) separate
comment letters. Between September 1 30, due to the number and complexity of the issues raised in
these letters, LSA staff required an additional 27 hours to draft the required Response to Comments (RTC).
The RTC was prepared in advance of the first meeting of the City's HSPC meeting.
HSPC Meeting(s) and Cultural Resource Consultant/Applicant Response Review
As requested by the City, LSA staff attended two meetings of the City's HSPC. Participation in these
meetings included pre- and post -meeting discussion(s) with City Staff. Attendance at the October 1 and
October 15, 2020 meeting of the HSPC were not anticipated in LSA's original scope of work. Additionally,
in advance of the October 15 meeting, LSA staff was requested to review materials submitted by the
Cultural Resource Assessment (CRA) consultant and applicant addressing previous HSPC comments. A
total of 15 additional staff hours were required to attend these out -of -scope meetings and to
review/discuss CRA/applicant responses with City Staff.
Additional Research Related to On-site Demolition Activities
Between October 20-24, at the request of City staff, LSA conducted research regarding the
appropriateness for use of Categorical Exemption(s) for on-site activities. In addition to research of CEQA
guidelines and relevant legal requirements, LSA staff participated in teleconferences with City staff on
October 22 and 23 with City planning staff and Counsel to discuss the outcome of research. Issues of
discussion included effects of demolition on the contributing status of the subject property, potential
effects of the demolition on the on-going HSPC and CEQA review, and likely community concerns. A total
of 13 additional staff hours were required to complete this out -of -scope effort.
Additional Project Coordination and Meetings
Attendance at Future HSPC Meeting(s)
The City has requested that LSA staff (Carl Winter and Casey Tibbet) attend two (2) additional
HSPC meetings (December 17 and a date to be determined.) Based on past HSPC meetings, LSA
anticipates up to 3.0 hours per staff/per meeting. Furthermore, this budget augment request
anticipates up to two (2) additional hours per staff/per meeting to discuss and coordinate with
City staff pre- or post -meeting.
Attendance at Future Planning Commission and/or City Council Hearing(s)
Attendance at Planning Commission and City Council Hearing by the LSA Project Manager was included in
our original scope and cost estimate. This augment request anticipates attendance at these meetings by
LSA's Architectural Historian (assuming two, three-hour meetings). An additional two (2) hours per
staff/per meeting is allotted for pre- and post -meeting discussion and coordination.

Assuming the stated meetings occur as schedule and City Council approval of the project, the
Notice of Determination can be filed by late March 2021.To accommodate the stated work or
other project -related efforts, LSA requests that the existing contract's end date be amended to
May 31, 2021. Delays in any stated meetings, changes to project design, or completion of work
efforts not specifically detailed in LSA's original scope or this augment request will
correspondingly delay the tentative schedule.

The budget required to address required past out -of -scope efforts totals $9,720, while
attendance at additional meetings will require an increase of $5,590 ($15,310 total). When added
to our current contact amount of $46,870, this augment request will increase LSA's project
budget to $62,180.
