This second amendment ("Second Amendment") to the agreement to perform auction
services dated May 17, 2016 ("Agreement"), by and between the City of Redlands, a municipal
corporation ("City"), and Ken Porter Auctions ("Contractor"), is made and entered into this 6th
day of April, 2 02 1.
RECITALS
WHEREAS, it is the desire of the City and Contractor to amend their existing Contract,
specifically to add three optional year extension;
NOW, THEREFORE, City and Consultant agree as follows:
AGREEMENT
Section 1. Section 2.3 of the Agreement, is hereby amended to read as follows:
"2.3 The initial term of this Agreement shall be for three (3) years, commencing on the Effective
Date of this Agreement ("Initial Term"). City shall have the option to renew this
Agreement for five consecutive one (1) year terms (each a "Renewal Term"), on the same
terms and conditions hereof, by providing contractor with at least thirty (30) days written
notice of City's election prior to the end of the Initial Term or a Renewal Term."
Section 2. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this Second Amendment, to be
effective as of April 6, 2021.
