AGREEMENT FOR PURCHASE AND SALE
AND ESCROW INSTRUCTIONS
This Amendment to Agreement for Purchase and Sale and Escrow Instructions is made and
entered into this I st day of June,2004 by and between the City of Redlands,a municipal corporation
("City") and Gardner Construction&Development ("Buyer").
RECITALS
WHEREAS, on May 6, 2003, City and Buyer entered an Agreement for Purchase and Sale
and Escrow Instructions to facilitate the purchase of City-owned property located at 1132 E.Cypress
Avenue; and
WHEREAS, it is the desire of City and Buyer to facilitate deposit funds held in escrow to
be refunded to the Buyer; and
NOW,THEREFORE,in consideration of the mutual promises contained herein,and for such
other good and valuable consideration, the receipt of which is hereby acknowledged, the City and
Buyer agree as follows:
AGREEMENT
Section 1. Section 4.1 entitled "Opening" of the Agreement between the City and Buyer,
dated May 6, 2003, is hereby amended by the deletion of the following sentence:
"The Deposit shall be non-refundable to Buyer, and released to Seller, on Seller's
demand,as soon as the results of Buyer's due diligence period have been accepted by
the Buyer."
IN WITNESS WHEREOF, the parties have executed this Agreement,to be effective as set
forth herein.
