WHEREAS, on July 12, 2005, and CITY executed e Memorandum of Understandirxj , Contract No. 05-696, in which the parties agreed to cooperate In the development of a multi-use trail system Within portions of DISTRICT right-of-way in the CITY, and Auditor- ontrotterlTreasurerfTax Collector Use Onl 0 Contract Database 11 FAB Input Date Keyed By Page 1 of e t WHEREAS, the parties stipulated in the MOU that "individual portions of the approved conceptual plan for the trail system shall be accomplished under a separate agreement."and WHEREAS, on July 11, 2006, DISTRICT and CITY executed Common Use Agreement (CUA) Contract No. 06-764, hereby incorporated by reference, for a recreational multi-use community trail along portions of Mission Channel from Alabama Street to a point approximately 620 feet upstream and from Iowa Street to a point approximately 640 feet downstream,and WHEREAS, DISTRICT and CITY subsequently entered into Amendment No. 1, dated May 11, 2010 to include two portions of the trail from Nevada Street to approximately 615 feet east of Nevada Street and from Tennessee Street to New York Street, and WHEREAS, DISTRICT and CITY subsequently entered into Amendment No. 2, dated April 24, 2012 to include yet another portion of the trail section from Iowa Street to approximately 635'feet west of Alabama Street, and WHEREAS, DISTRICT is currently processing Construction Permit NO. P-32014047 to the CITY, and WHEREAS, CITY now desires to enter into Amendment No. 3 to construct within DISTRICT right-of- way (hereinafter called "AREA OF COMMON USE NO. 4") two additional segments of the multi-use community trail along the north access road of Mission Channel, from California Street to Nevada Street, and from Alabama Street to approximately 635 feet west of Alabama Street, hereinafter called "CITY IMPROVEMENTS NO. 4", which improvements are shown on the attached plans, marked "Exhibit G" and incorporated herein by reference. WHEREAS, DISTRICT and CITY concur that CITY IMPROVEMENTS NO. 4 in AREAS OF COMMON USE NO. 4 constitute additional reaches of the multi-use trail system and desire to amend the existing Common Use Agreement, Contract No. 06-764 further to address CITY IMPROVEMENTS NO. 4 located in AREAS OF COMMON USE NO. 4. NOW,THEREFORE, IT IS UNDERSTOOD AND MUTUALLY AGREED AS FOLLOWS: 1. DISTRICT and CITY amend the exiting Common Use Agreement to include CITY IMPROVEMENTS NO. 4 located in AREAS OF COMMON USE NO. 4 as shown on "Exhibit G' and "Exhibit H" attached hereto and made a part of hereof. 2. DISTRICT and CITY agree that all terms and conditions of the existing Common Use Agreement shall also apply to CITY IMPROVEMENTS NO.4 located in AREAS OF COMMON USE NO. 4. 3. The definitions of CITY IMPROVEMENTS and AREA OF COMMON USE used in the Common Use Agreement are amended to include CITY IMPROVEMENTS NO. 4 and AREAS OF COMMON USE NO. 4., defined herein. All other terms and conditions of the original CUA and subsequent Amendments are to remain the same. This Amendment No. 3 shall take effect on the date it is signed by both parties. This Amendment No. 3 shall inure to the benefit of and be binding upon the successors and assigns of both parties. Although the District will not receive a fee from the City of Redlands (City) for this amendment, the District will benefit from an Improved access road and a reduction in maintenance costs, Development, operation, and maintenance of the Trail System will be at the sold expense of the City. BACKGROUND INFORMATION Amending the existing Common Use Agreement (CUA) between the District and the City for the City's use of additional portions of Mission Channel right-of-way for Phase 2 of the City's Orange Blossom Trail will allow a continuous multi-use community trail between California Street to>east of Alabama Street, an approximate distance of 1.4 miles, hereinafter referred to as the Trail System. This "Trail System will be situated entirely within the City's boundary along the north side of the channel. It will also be supportive of the County's goals to Erasure Development'of a Well- Planned, Balanced, and Sustainable County and Pursue County Coals and Objectives by Working with Other Agencies.
