THIS CONTRACT is entered into in the State of California by and between the County of San Bernardino, hereafter
called the County, and
CITY OF REDLANDS
hereafter called CITY
IT IS HEREBY AGREED AS FOLLOWS:
(Use space below and reverse side of form if needed. Set forth service to be rendered,amount to be paid,manner of payment,
time for performance or completion, determination of satisfactory performance and cause for termination,other terms and
conditions, and attach plans, specifications, and addenda, if anyj
WHEREAS, COUNTY and CITY desire to cooperate and Jointly participate in the improve-
ment of a portion of Wabash Avenue from Sunset Drive south of Interstate 10 northerly to
Seventh Avenue including relocation of approximately 0.50 vile of Sunset Drive hereinafter
referred to as "PROJECT"; and
WHEREAS, PROJECT will generally consist of the construction and realignment of Wabash
Avenue, approximately 0.90 mile of roadway, and realignment of about 0.50 mile of Sunset
Drive, and
WHEREAS, PROJECT is partially in the unincorporated area of the COUNTY and partially
within the incorporated area of the CITY, and will be of mutual benefit to COUNTY and
CITY; and
WHEREAS, PROJECT is proposed to be constructed utilizing local funds, if possible;
and
WHEREAS, COUNTY and CITY desire to set forth the responsibilities and obligations
of each as pertains to such participation and to the design, construction and future
maintenance of the proposed improvements.
NOS:, THEREFORE, IT IS ,jU7UALLY AGREED AS FOLLOWS:
1 .0 CITY SHALL:
1 .1 Provide the necessary environmental clearance for the PROJECT for the
portion within the incorporated area of the CITY.
1 .2 Acquire rights-of-way and rights-of-entry determined to be necessary for
construction of PROJECT which lie within the incorporated territory of CITY.

incorporated herein in full,

1 .3 Accept resporisibility for its proportionate share of the cost of the PROJECT
as determined in accordance with the following terms:
a. All costs attributable to right-of-way acquisitions within incorporated
area of CITY.
b. That portion of the PROJECT contract construction costs within the
incorporated territory of the CITY.
c. All costs of environmental clearances and preliminary engineering in-
cluding but not limited to surveys, material and foundation investigations,
preparation of plans, specifications and estimates, administrative costs
and construction inspection and materials testing for the PROJECT within
the incorporated area of the CITY to be determined by multiplying the total
costs of the above mentioned items by the estimated cost for constructing
the CITY's portion of the PROJECT divided by the total estimated cost of
the PROJECT as determined in paragraph 2.5 of this Agreement.
1 .4 Upon completion of construction, maintain at its own cost, those portions of
the PROJECT improvement, within the incorporated area of CITY, except as may
be maintained by others under separate agreement.
2.0 COUNTY SHALL:
2.1 Obtain the necessary environmental clearance for the PROJECT for the portion
within the unincorporated area of the COUNTY and act as lead agency in obtaining
the necessary clearances from SANBAG, SCAG and amending the TIP.
2.2 Acquire rights-of-way and rights-of-entry determined to be necessary for con-
struction of PROJECT which lie within the unincorporated territory of COUNTY.
2.3 Perform all necessary field surveys and materials investigations for design
of PROJECT.
2.4 Arrange for relocation of all utilities which interfere with construction of
the PROJECT, including the area within the CITY.
2.5 Prepare construction plans, specifications, an estimate of quantities and an
estimate of costs for construction of PROJECT to include a breakdown of the
costs for the unincorporated area of the COUNTY and for the incorporated area
of the CITY.
2.6 Transmit plans, specifications and estimate for PROJECT to CITY for their
approval prior to advertising the PROJECT.
2.7 Accept responsibility for its proportionate share of the cost of the PROJECT
as determined in accordance with the following terms:
a. All costs attributable to right-of-way acquisitions within unincorporated
area of COUNTY.
b. That portion of the PROJECT contract construction costs within the
unincorporated area of COUNTY.
c. All costs of environmental clearances and preliminary engineering including
but not limited to surveys, materials and foundation investigations, prep-
aration of plans, specifications and estimates, administrative costs and
construction inspection and materials testing for the PROJECT within the
unincorporated area of the COUINTY to be determined by multiplying the
total costs of the above mentioned items by the estimated cost for con-
structing the COUNTY's portion of the PROJECT divided by the total
estimated cost of the PROJECT as determined in paragraph 2.5 of this
Agreement.
2.8 Maintain, at its own cost, those portions of PROJECT within the unincorporated
territory of COUNTY, except as may be maintained by others under separate
agreement.
3.0 IT IS FURTHER AGREED THAT:
3.1 Neither party to the Agreement nor officers nor employees thereof shall be
responsible for any damage or liability occurring by reason of anything done
or omitted to be done by other party to the Agreement under or in connection
with any work, authority or jurisdiction delegated to the parties under this
contract. It is also understood and agreed that pursuant to Government Code
Section 895.4 each party shall fully indemnify and hold the other party harmless
from any liability for injury (as defined by Government Code Section 810.8)
occurring by reason of anything done under or in connection with any work,
authority or jurisdiction delegated Linder this contract.
3.2 It is mutually agreed that at agreeable intervals, each party shall determine
their individual costs and bill as necessary to distribute costs as indicated
in this Agreement.
3.3 If the PROJECT is abandoned by mutual agreement each party shall determine
their individual costs to date and shall bill each other in accordance with
this Agreement.
3.4 It is mutually agreed that both CITY and COUNTY will jointly request the
California State Department of Transportation to initiate construction of
on and off-ramps at the Interstate 15 overcrossing at Wabash Avenue.
THIS CONTRACT, shall inure to the benefit of and be binding upon the successors and
assigns of both parties.

Acting; on the recommendation of the Public Works Agency Administrator, on
motion by Supervisor 2ayfield, duly seconded by Supervisor iamansky and
carried, the Board of Supervisors approves. agreement IP78-148 between the
County on behalf of the Transportation Department and City of Redlands,
for joint participation in improvement of a portion of Wabash Avenue from
Sunset Drive to 7th Avenue, further, the Board authorizes the Chairman to
sign said agreement indicating this Board's approval of the teras and
conditions therein contained.
