WHEREAS,Utility has installed Utility—owned ornamental marbelite and steel street light poles at various locations within said City at request of City:and WHEREAS, City desires to periodic temporary service to electrify decorative attachments and appurtenances,hereinafter called"decorations,"on said street light poles:and WHEREAS, Utility is agreeable to allow City to install Utility-approved decorations on said street light poles. NOW, THEREFORE, in consideration of the premises and the mutual understandings and obligations of the parties, as hereinafter set forth, subject to the terms and conditions provided in this Agreement,Utility shall hereby permit City or its authorized agent for City to install,maintain,use,repair, renew, and remove certain Utility-approved hangers and decorations on Utility-owned ornamental marbelite and steel street light poles in accordance with the following: 1. City,for itself and its contractors, agents,and/or employees indemnifies and holds harmless Utility,its officers and employees from and against all losses,expenses,claims,actions,causes of action,damages, costs or liabilities,including court costs and attorney fees, for injuries to or death of persons including employees,agents or contractors of Utility,regardless of cause,arising out of or resulting in any manner whatsoever from the installation, maintenance, decoration hardware failure, and/or removal of the decorations and hanger assemblies on or from Utility-owned omamental street lighting poles. L Prior to attachment of said hanger and decorations,City shall furnish to Utility a sample decoration with its hanger assembly, with decoration & hanger drawings, with detailed specifications and proposed mounting height, signed and sealed by a structural engineer in good standing and prof ionally registered in the State of California, for Utility to examine and approve design. Said essDrawings submitted to Utility shall include the physical size and weight of the proposed decorations, the proposed hardware assemblies for hanging the decorations, and the necessary calculations for the effects winds may have on the decorations and the Utdity-owned ornamental street lighting poles Said total surface area of the decoration shall not exceed 18 square feet Variance from the total surface area ojthe decoration requires Street Light Committee approval prior to attachment 3. Included in the decoration and drawing submittal and prior to any such attachment,City shall submit to Utility the phy ieel size and capacity required so that the Utility may study the effects the specific and detailed electric and cnflicts, if y, with system operation. It is agreed that said approved type of decorations and hanger assemblies shall be installed and maintained by the City in good, safe, and workmanlike manner and in compliance withlicab d le taws, codes, standards, regulations, ordinances, and decrees of all lawfully constitutefall appederal, state, county,or city legislative bodies, administrative agencies or tribunals pertaining thereto, including but not limited to General Order No. 95 of the Public Utilities Commission of the State of California Occupational Safety and Health Act. 7. Utility shall not,by taking action pursuant to its tariffs,be liable for any loss,damage,decoration size, or injury established or alleged,which may be the result,therefrom. 8. At the sole discretion of Utility,service shall not be furnished where locations,mounting height,voltage drop to streetlights,and/or other considerations are unacceptable to Utility. 9. This Agreement for electrical decorations is intended to solely pen-nit their installation€ef*jefied eneeed-90- ays per event and time period as per attached form 14.25.51 "Timed Auxiliary power (TAP)Adaptor,Billing Calculation worksheet"No permanent decorations installations are permitted on Fusee.Utility ornamental street lighting poles under this Agreement. 10. Utility reserves the right to remove Utility-owned adaptor devices and any decorations at any time for its operating needs,requirements,and convenience.In the event of removal by Utility,because i damage and replacement of poles,when circumstances permit,the City will be notified and will be responsible for the removal and reattachment and/or repair of decorations. H. It is understood and agreed that should a street light pole be affected or damaged in any way by the attachment of such decorations,City willtY reimburse Utility for any material and labor cosrs/expenses for the repairs including,but not limited to,the replacement of the street light pole,at City's expense. 12. Should Utility determine that it is necessary to relocate or replace a street light pole on which a decoration is in place, and where time and circumstance permit, Utility will notify City and City, or agent ofCity,shall promptly remove,afid relocate,or transfer said decoration ta substitute street light pole as required by Utility. o 13. The failure of Utility to enforce any provision of this Agreement or the waiver thereof in any instance shall not be construed as a general waiver or relinquishment on its part of any such provisions same shall nevertheless be and remain in full force and effect. ,but the 141 This Agreement shall continue in effect unless terminated by written notice Unless sooner terminated by mutual written notice,this Agreement shall continue in effect for a term of one hundred and twenty (120)days from the date hereof.Either party may terminate this Agreement ' by written notice of not less than ten (10) days, is the event of such termination, City shall remove ail of said decorations from Utility's street light poles prior to the termination of the Agreement Any/or all annual charges are not refundable in the event the City discontinues the service. 15. The provisions hereof shah inure to the benefit of and bind the respective successor in interest, representatives, or assigns of the parties hereto; provided, however, that no assignment may be made without the prior written consent of the other party hereto. City shall be responsible for removal of all decorations. However, should City fail to remove such decorations ninety 1901 days after insrait tion at MH remove such material and a City hereby authorizes Utility to agrees to reimburse Utility for such removal and storage costs. This Agreement is granted to attach illuminated decorations on a periodic basis during this event to Utility-owned ornamental street light poles upon receipt by Utility of two(2) copies of this Agreement signed by a duly authorized official of the City of Redlands This Agreement shall at all times be subject to such changes or modifications by the Public Utilities Commission of the State of California as said Commission may, from time to time, direction the exercise of its jurisdiction.
