WHOLESALE DISTRIBUTION ACCESS TARIFF
COMBINED SYSTEM IMPACT STUDY AND
FACILITIES STUDY AGREEMENT
(Landfill Gas to Electricity Project)
1. Summary: The City of Redlands ("Redlands-) applied to Southern California Edison
Company ("SCE")for Distribution Service under the terms of SCE's Wholesale Distribution
Access Tariff("VVDAT"). Redlands proposes to own and operate a proposed 970 kW
generating facility to serve the Redlands Wastewater Treatment Plant located at 1950 Nevada
Street in Redlands,California. A maximum 600 kW of excess generation from the proposed
facility will be used for the transmittal of energy and/or ancillary services through SCE's
Distribution System to the ISO Grid at the San Bernardino Substation 2120 kV bus. Upon
review of the Completed Application, SCE has concluded that a System Impact Study is
required to determine the adequacy of SCE's electrical system and the ISO Grid to provide
Distribution Service for the proposed project. In addition, a Facilities Study is required to
determine the Direct Assignment Facilities, Distribution System Upgrades, and any other
modifications or additions needed to accommodate the proposed project. Accordingly, SCE
and Redlands desire to enter into this Combined System Impact Study and Facilities Study
Agreement("Agreement")providing the terms and conditions for SCE to perform the System
Impact Study and Facilities Study ("Study")pursuant to the WD AT.
Definitions: All terms with initial capitalization not otherwise defined herein shall have the
meanings assigned to them in the WDAT.

3. Study Scope and Content:: The Study will include the following:
a. An assessment of the adequacy of the SCE Distribution System and/or the ISO Grid to
accommodate the proposed project and to transmit energy and/or ancillary services to the
ISO Grid at SCE's San Bernardino Substation 220 kV bus consistent with Good Utilitv
Practice and all applicable statutes and regulations.
b. Study conditions and assumptions.
c. Load flow analysis.
d. Short-circuit duty analysis.
e. Stability studies, if required.
f. Post transient voltage study, if required.
g. The identification of the Direct Assignment Facilities, Distribution System Upgrades, and
any other modifications or additions required to accommodate the proposed project.
h. An estimate of. (1)the cost of Direct Assignment Facilities to be charged to Redlands, (2)
Redlands' appropriate share of the cost of any required Distribution System Upgrades, (3)
Redlands' appropriate share of the cost of any other modifications or additions required
to accommodate the proposed project, and (4) the time required to complete construction
of such Direct Assignment Facilities, Distribution System Upgrades, and any other
modifications or additions required to accommodate the proposed project and initiate the
requested service. The Study will include a list of major equipment required for the
requested service. The cost estimate will include an estimate of the additional facilities
cost(capital cost of the facilities) and one-time costs (expenses not capitalized).
4. Assumptions: The assumptions utilized in performing the Study shall be as follows:
a. Redlands is or will be an Eligible Customer under the WDAT.

b. The maximum Distribution Service requested by Redlands is 600 M
c. Distribution service will be provided at 12 kV from the Redlands Wastewater Treatment
Plant through SCE's Distribution System to the ISO Grid at the San Bernardino
Substation 220 kV bus,
d. A requested operating date of November 1, 2001; however, such assumption shall be
subject to change after preliminary Study results,permitting., requirements, design, land
issues and material lead times are known, so that a more accurate determination can be
made.
e. The technical data supplied by Redlands is accurate.
f. Redlands will install, own, operate and maintain all ISO metering equipment. All ISO
metering equipment will be located on Redlands' side of the point of interconnection with
SCE.
g. The proposed project will be capable of operation over a power factor range from 0.95
lagging to 0.95 leading.
h. No operating restrictions exist other than for routine maintenance.
i. The proposed project will be capable of holding voltage scheduled and shall satisfy ISO
generation criteria.
j. For the short circuit duty analysis, the proposed facility will be assumed to be located at
the Redlands Wastewater Treatment Plant, 1950 Nevada Street in Redlands, California.
k. Projects with interconnection applications preceding Redlands are assumed in-service;
however,potential system enhancements or modifications resulting from such projects, if
any,are not assumed.

5. Time Required for Completion: SCE will use due diligence to complete the Study within
sixty (60)calendar days following receipt of a fully executed copy of this Agreement and
payment pursuant to Section 11 of this Agreement.
6. Additional Time For Completion: At any time that SCE determines that the Study cannot
be completed within sixty (60) calendar days in accordance with Section 5 of this Agreement,
SCE shall notify Redlands and provide an estimated completion date, along with an
explanation of the reasons why additional time is required to complete the Study.
7. Exchange of Information: SCE and Redlands shall confer with one another as necessary to
exchange information that will provide for the most accurate analysis possible with the
information available at the time the Study is performed.
8. Third Party Review: In order to determine the potential impact to any third party's
electrical system, SCE may coordinate with the ISO, Western.Systems Coordinating Council,
and any transmission owner potentially impacted by the requested interconnection. To the
extent possible,the Study results will include the input of the above mentioned organizations.
However,requests for review and input from other potentially impacted transmission owners
may arrive at any time prior to interconnection, and revision and reconsideration of the
System Impact Study, Facilities Study,or design may be required as a result of information
received from any such entity regarding any potential impact to a third party's electrical
system.
0. Results Based on Information Available at Time of Study: Substantial portions of
technical data and assumptions used to perform the Study, including, by way of example and
without limitation, system conditions and unit modeling may change after SCE provides the
Study results to Redlands. Study results will reflect available data at the time SCE provides

the Study to Redlands. Additionally, Study results will reflect the ISO Tariff, rules and
protocols in effect at the time SCE provides the Study to Redlands. Such Tariff rules and
protocols are subject to change. SCE shall not be responsible for any additional costs
(including without limitation, costs of new or additional facilities, system upgrades, or
schedule changes)that may be incurred by Redlands as a result of changes in such data or the
ISO Tariff,rules and protocols which occur following provision of this Study.
10. New Study at Redlands Costs: In the event that a new Study, or revision or reconsideration
of the Study,is required to reflect changes which occur following provision of this Study,
and Redlands wishes to proceed with the Application for service, then Redlands shall either
enter into a separate agreement providing that it shall reimburse SCE for the costs of such
new or revised study, or withdraw its Application.
11. Pavment: Redlands shall pay the full cost for SCE to perform the Study as follows:
a. Redlands shall reimburse SCE for SCE's cost of performing the Study; provided,
however,that Redlands shall not be required to reimburse SCE for amounts in excess of
$15,000, except as provided in Section 12 of this Agreement.
b. Redlands shall advance to SCE $15,000 for the Study upon execution of this Agreement.
SCE shall refund to Redlands, without interest, any amounts received by SCE-which
exceed the cost of the Study. even if terminated pursuant to Section 12 or 14 of this
Agreement.
12. Increased Costs: If at any time SCE determines that the Study is expected to cost more than
$151.000, SCE shall notify Redlands and provide an estimate of any additional costs. Upon
receipt of such notice. Redlands shall either: (i) request that SCE terminate the Study; or (11)
provide a written request to SCE that SCE continue the Study, and agree to pay any

additional costs to SCE. SCE shall be under no obligation to incur costs in excess of$15,000
for the Study, unless and until it receives notice pursuant to this Section 12 and an agreement
from Redlands to pay costs in excess of$15,000.
13. Records and Accounts: SCE shall maintain records and accounts of all costs incurred in
performing the Study in sufficient detail to allow verification of all costs incurred, including,
but not limited to, labor and associated labor burden costs, materials and supplies, outside
services, and administrative and general expenses. Redlands shall have the right, upon
reasonable notice, within a reasonable time at SCE's offices and at its own expense,to audit
SCE's records as necessary and as appropriate in order to verify costs incurred by SCE. Such
audit shall be requested by Redlands no later than ninety (90) calendar days following receipt
by Redlands of the final bill and such audit shall be completed no later than ninety (90)
calendar days following initiation of such audit. Redlands shall have one hundred eighty
(180) calendar days from completion of the audit to provide written notice to SCE's
representative of an audit dispute.
14. Termination Upon Demand: Redlands may demand that SCE terminate the Study at any
time. Immediately following receipt of written notice of such termination from Redlands,
SCE shall terminate the Study as requested. In such case, Redlands shall reimburse SCE
only for the costs actually incurred or irrevocably committed to be incurred for the
performance of the terminated Study. If Redlands so requests in its notice of termination,
SCE will submit to Redlands the results of the incomplete Study in a report including
assumptions, load flows, and calculations available at the time SCE receives Redlands'
termination notice.

15. Signature Clause: This Agreement shall become effective on the date the fully executed
Agreement and payment pursuant to Section I I of this Agreement are received by SCE. If
SCE does not receive the fully executed Agreement and payment within fifteen(15) calendar
days of Redlands' receipt,then the offer reflected in this Agreement will be rescinded and
this Agreement will be of no effect.
