This Reimbursement Agreement is made and entered into this 6th day of August 2002, by
and between the City of Redlands,a municipal corporation(hereinafter"City")and the United States
Secret Service ("USSS").
AGREEMENT
Section 1. Vehicle Rental. The City has entered into an agreement to rent vehicles from the
Redlands Auto Center, on a month to month basis, for the amount of$500 per month per vehicle,
in connection with the City's participation in the inland Empire Financial Crimes Task Force. A
copy of the City's rental agreement is attached hereto as Exhibit "A."
Section 2. Reimbursement. USSS shall reimburse the City the sum of$500 per month to
cover the costs incurred by the City in connection with the rental of one of those vehicles from the
Redlands Auto Center. Reimbursement shall be made on a monthly basis upon City's presentation
to USSS of an invoice demonstrating City's rental payment for the prior month. USSS shall also
reimburse the City for any and all maintenance costs for said rental vehicles. City shall submit
invoices to USSS for said maintenance costs. Reimbursement to City by USSS shall be made within
thirty(30) days from City submitting an invoice to USSS.
Section 3. Notices. Unless otherwise provided herein, any notice, to be given hereunder by
either party to the other may be effected by personal delivery in writing or by registered or certified
mail, postage prepaid. return receipt requested, and shall be deemed communicated upon delivery
or as of mailing. Mailed notices shall be addressed as set forth below, but each party may change
its address by written notice in accordance with this Section.

Section 4. Entire Agreement. This Agreement contains the entire understanding and
agreement of the parties as to the matters contained herein, and there are no oral or written
representations, understandings or ancillary agreements which are not contained herein, and no
testimony or evidence of any such representations,understandings or covenants shall be admissible
in any preceding of any kind or nature to interpret or determine the terms or conditions of this
Agreement.
Section 5. Amendment. This Agreement shall be modified or amended only by written
agreement, executed by the parties hereto.

Section 6. Attomeys'Fees. In the env ent any action is commenced to enforce or interpret the
terms or conditions of this Agreement the prevailing party shall, in addition to any costs and other
relief, be entitled to the recovery of its reasonable attorneys' fees.
Section i. Termination. This Agreement may be terminated by either party,without cause,
upon 30 days prior written notice to the other party.
Section 8. GovemingLaw. This Agreement and any dispute arising hereunder shall be
governed by and construed in accordance with the laws of the State of California.
