Box 280 AGREEMENT NO. 2 Redlands, Ca 92373 THIS AGREEMENT, executed by and between the City of Redlands , hereinafter called "City" and the Redlands Heights Water Company, hereinafter called the "Company" , is entered into this 7th day of July 1981 . RECITALS 1 . The Company desires to convey, by grant deed, to the City, its well site , well , and pumping equipment located easterly of Ford Street and southerly of South Avenue. 2 . The Company has conveyed 284 shares of South Mountain Water Company stock to the City and the City has paid Assessment No . 269 for the- stock. 3. The City operates the Company' s well and the pumped water is utilized by the City directly into the City' s water system. 4. TheCompany desires that the City convey to the Company 99 . 5 4 shares of Company stock and �:::hat such stock become treasury shares (liquidated shares) . S. The Company desires the stock conveyance in order that the total outstanding Company shares of stock be 1289 shares , which would be equal to the same number of shares owned by the Company in the Crafton Water Company. 6 . The Company desires that the City continue to honor the August 1 , 1967 agreement between the Company and the City. 7 . The Company desires that the City deliver water to Company stock owners from its water system at the same delivery rate as set by the Crafton Water Company with a minimum rate of 4 miner inch days per month per share and a maximum rate of 6 miner inch days per month per share . COVENANTS For , and in consideration of the mutual covenants set forth herein ) Company and City agree as follows : 1 . The City and Company will continue to honor the agreement dated August 1 , 1967 . 7 The City will convey to the Company , 99 . 5 shares of Company stock. Such stock to become treasury shares (liquidated shares) , but at 3. The City will continue to deliver water in accordance with the August 1 , 1967 agreement through existing water service connec- tions to Company stock owners until such time as stock owners change the use of their land. 4 . The City will set the water delivery rate to Company stock owners equal to the delivery rate set by the Crafton Water Company , but Z\ry D at no time less than 4 nor over 6 miner inch. days per month per share of company stock.
