HomeMy WebLinkAboutContracts & Agreements_86B-2021"ACrrYTHATWoxxs" City of REDLANDS Incorporated 1888 35 Cajon Street, Redlands, CA 92373 909-798-7500 www cityofredlands org June 1, 2020 HdL-Coren & Cone Attn Ms Paula Cone, President 120 S State College Blvd , Suite 200 Brea, CA 92821 T (714) 879-5000 Re 30-Day Notice to Extend Agreement Term Dear Ms Cone, The City of Redlands formally requests that the Agreement to provide services associated with property tax audit and information between the City and HdL Coren & Cone, that was entered into on June 20, 2017, be extended for an additional one-year term pursuant to Section 4 1 of the agreement, from June 20, 2021 to June 19, 2022 The City and HdL Coren & Cone enter into this extension pursuant to the same Terms and Conditions while also noting the inclusion of the following clause regarding the Non -Disclosure of Propnetary Language "Non -Disclosure of Proprietary Information In performing its duties under this Agreement, Consultant will produce reports, technical information and other compilations of data to City These reports, technical information and compilations of data are denved by Consultant using methodologies, formulae, programs, techniques and other processes designed and developed by Consultant at a substantial expense Consultant's reports, technical information, compilations of data, methodologies, formulae, software, programs, techniques and other processes designed and developed by Consultant shall be referred to as Propnetary Information Consultant's Proprietary Information is not generally known by the entities with which Consultant competes Consultant desires to protect its Proprietary Information Accordingly, the City agrees that neither rt nor any of its employees, agents, independent contractors or other persons or organizations over which it has control, will at any time during or after the term of this Agreement, directly or indirectly use any of Consultant's Proprietary Information for any purpose not associated with Consultant's activities Further, City agrees that it nor any of its employees, agents, independent contractors or other persons or organizations over which it has control, will disseminate or disclose any of Consultant's Propnetary Information to any person or organization not connected with Consultant, without the express wntten consent of Consultant The City also agrees that consistent with its obligations under the California Public Records Act and related disclosure laws, it will Imo" ' "ACnrTlaerWoRics" undertake all necessary and appropriate steps to maintain the propnetary nature of Consultant's Proprietary Information Any use of the Proprietary Information or any other reports, records, documents or other materials prepared by Consultant hereunder for other projects and/or use of uncompleted documents without specific written authorization by the Consultant will be at the City's sole nsk and without liability to Consultant, and the City shall indemnify the Consultant for all damages resulting therefrom " Additionally, the City and Hdl-Coren & Cone agree that the annual fee will increase from $18,250 00 to $18,600 00, consistent with the California Consumer Price Index, as provided for in Section 51 of the agreement To confirm acceptance of this request, please sign and date this document below Signature City of Redlands Attest ne Donaldson, City Clerk X 4/,e(Ap-1 Signature Vendor Date 03 i 2021 Date
