RECITALS A. City owns that certain real property described in the Official Records of the County of San Bernardino, California as Assessor's Parcel No. 0175-221-08 (the"Property"). B. On October 19, 2010 City granted to Conservancy a Conservation Easement Deed over thirteen (13)parcels of real property owned by City, including the Property. C. City has since entered into negotiations to transfer ownership of the Property to a third party,via a Grant Deed. D. The Conservation Easement Deed, by its terms, may only be amended by written agreement between City and Conservancy. E. City and Conservancy intend, by this Termination of Easement, to amend and terminate the Conservation Easement Deed,solely with respect to its applicability to the Property. NOW,THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL PROMISES, COVENANTS AND CONDITIONS CONTAINED HEREIN, CITY AND J:\City Council Reports\Quality of Lifc\2014 Reports\3-19-IMConservancy Termination of Easemcm\TERMINATION OF EASEMENT 7 2014.doex CONSERVANCY AGREE AS FOLLOWS: Section 1. Termination of Easement. The Conservation Easement Deed made by and between City and Conservancy and recorded in the Official Records of San Bernardino County on December-6, 2010 as Instrument No. 2010-0515856, is hereby amended and terminated, solely with respect to the Conservation Easement Deed's applicability to the property. Conservancy is further released from any and all rights and obligations provided for in the Conservation Easement Deed with respect to its applicability to the Property. Section 2. Counterparts. This Termination of Easement may be executed in one or marc counterparts,each of which shall constitute an original, and all of which, taken together, shall constitute one and the same Termination of Easement. Section 3. . Interpretation and Governing Law, This Termination of Easement shall be construed in accordance with and governed by the laws of the State of California.
