The undersigned, as authonzed agent of CITY OF REDLANDS, a municipal corporation
("Transferor"), after bemg duly sworn upon his oath deposes and says that
Section 1445 of the Internal Revenue Code provides that a transferee of a U S real property
interest must withhold tax if the transferor is a foreign person To inform LDC Industrial
Realty, a Limited Liability Corporation ("Transferee"), that withholding of tax is not required
upon the disposition of Transferor's interest in a U S real property interest, the undersigned
hereby certifies the following

Transferor is not a non-resident alien, foreign corporation, foreign partnership, foreign
trust, foreign estate, or other foreign person within the meaning of § 1445 and § 7701
of the Internal Revenue Code and the treasury regulations promulgated thereunder,
Transferor is not a disregarded entity as defined in Treas Reg § 1 1445-2(b)(2)(ni),

Transferor understands that this certification may be disclosed to the Internal Revenue Service
