AND JOINT ESCROW INSTRUCTIONS RECITALS
This First Amendment ("Amendment") to a Purchase and Sale Agreement and Joint
Escrow Instructions dated June 15, 2021 ("Agreement") is made and entered into this 17th day of
September, 2021 ("Effective Date"), by and between the City of Redlands, a municipal corporation
("City"), and Redlands Community Investment Corporation, a California corporation ("RCIC"),
for the purpose of amending their Agreement, and to provide updated instructions to their Escrow
Agent with respect to the transaction contemplated by this Amendment and the Agreement. RCIC
and City are also sometimes individually referred to herein as a "Party" and, together, as the
"Parties."
RECITALS
WHEREAS, City and RCIC have entered into the Agreement for the purchase of certain
real property located at 300 East State Street in the city of Redlands, and
WHEREAS, City and RCIC desire to amend the Agreement to reflect a new closing date
and an updated Exhibit "C,"
NOW, THEREFORE, in consideration of the mutual promises contained in this
Amendment, and for other good and valuable consideration the receipt and sufficiency of which
is hereby acknowledged, City and RCIC hereby agree, and instruct Escrow Agent, as follows
AGREEMENT
Section 1. Section 8 1 of the Agreement, titled "Closing Date," is hereby amended to
read as follows
"Section 8 1 Closing Date. Subject to the provisions of this Agreement, the Closing shall
take place on or before that date ("Closing Date") which is the thirtieth (30th) of September, 2021
The Parties may mutually agree (with City acting through its City Manager) to further amend the
Closing Date upon written notification to the Escrow Agent. As used in this Agreement, the
"Closing" shall mean the recordation of the Grant Deed in the Official Records."
Section 2. Leases at the Property Exhibit "C" of the Agreement shall be deleted and
replaced with the attached Exhibit "C-1 " The Parties may further amend the Leases and Service
Contracts to be assigned by RCIC and assumed by City in the execution of the Assignment and
Assumption of Leases and Services Contracts Agreement.
Section 3. Effect of this Amendment. Except as expressly modified or amended by
this Amendment, the Agreement, and all terms, covenants, and conditions contained therein, shall
remain unchanged and in full force and effect.
Section 4. Entire Agreement. This Amendment together with the Agreement
represents the final and entire agreement between the Parties regarding the subject matter hereof
and may not be contradicted by evidence of prior, subsequent, or contemporaneous oral
agreements of the Parties.

Section 5 Modification No amendment or modification hereto shall be valid and
binding unless expressed in writing and executed by the Parties
Section 6 Counterparts. This Amendment may be executed by each of the Parties in
separate counterparts which shall have the same force and effect as if the Parties executed a single
document Signature pages may be detached from the counterparts and attached to a single copy
of this Amendment to form one (1) document Counterparts to this Amendment may be executed
and delivered by facsimile or electronic transmission and shall be deemed to be original signatures
for all purposes

The undersigned Escrow Agent hereby accepts the foregoing Amendment to Purchase and Sale
Agreement and Joint Escrow Instructions, agrees to act as Escrow Agent under this Amendment
in strict accordance with its terms, agrees to insert as the "Amendment Date" on page 1 of this
Amendment, if not otherwise dated, the latest date this Amendment was signed by RCIC and City
and delivered to Escrow Agent, and agrees to comply with the applicable provisions of the Internal
Revenue Code with respect to the transactions contemplated hereby
