SERVICES FOR EQUIPMENT AND SUPPLIES
This First Amendment ("First Amendment") to the Agreement for the provision of
generator repair service and preventative maintenance ("Agreement"), dated June 16, 2020, is
made and entered into this 16th day of November, 2021 by and between the City of Redlands, a
municipal corporation and a general law city ("City") and On Power Industries, LLC, a California
limited liability company ("Contractor").
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend Article 5 1 of the
Agreement to increase Consultant's total compensation of Ninety One Thousand Five Hundred
Ninety Dollars ($91,590), to the amount of Two Hundred Eleven Thousand Five Hundred Ninety
Dollars ($211,590),
NOW, THEREFORE, in consideration of the mutual promises contained herein, City and
Consultant agree as follows.
AGREEMENT
Section 1 Article 5 of the Agreement, titled "Payments to Contractor," is hereby
amended to read as follows
"5 1 The compensation for Contractor's performance of the Services shall not exceed
the amount of Thirty Thousand Five Hundred Thirty Dollars ($30,530) for the Services provided
during the Initial Term. Should this Agreement be extended, the compensation for Contractor's
performance for the Services shall not exceed the amount of Ninety Thousand Five Hundred Thirty
Dollars ($90,530) for the first Extended Tenn, and Ninety Thousand Five Hundred Thirty Dollars
($90,530) for the second Extended Term, bringing the total possible amount of compensation to a
not -to -exceed amount of Two Hundred Eleven Thousand Five Hundred Ninety Dollars
($211,590) For the Initial Term and each Extended Term, City shall pay Contractor on a time and
materials basis up to the not to not -to -exceed amount in accordance with the rates specified in
Exhibit `B," titled "Price and Fee Bid," which is attached hereto and incorporated herein by
reference."
Section 2. The total compensation for Consultant pursuant to Exhibit "B" of the
Agreement, titled "Price and Fee Bid," is hereby amended to include the work that is identified in
Exhibit "1 "
Section 3 All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
