HomeMy WebLinkAboutContracts & Agreements_91-2022FIRST AMENDMENT TO AGREEMENT TO PERFORM NON-PROFESSIONAL SERVICES FOR IMPROVEMENT TO PUBLIC BUILDINGS AND GROUNDS This first amendment ("First Amendment") to the agreement for well and booster pump maintenance ("Agreement") dated June 15, 2021, by and between the City of Redlands, a municipal corporation ("City"), and General Pump Company, Inc., a California corporation ("Contractor"), is made and entered into this 7th day of June, 2022. RECITALS WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, specifically to revise the Scope of Work to include additional well maintenance; NOW, THEREFORE, City and Contractor agree as follows AGREEMENT Section 1. The scope of services performed by Contractor pursuant to Exhibit "A" of the Agreement, titled "Scope of Services," is hereby amended to include the work that is identified in Exhibit "1 " Section 2. Section 4.2 of the Agreement, titled "Article 4 — Performance of Services," is hereby amended to read as follows "4.2 The term of this Agreement shall be extended for a period of one (1) year from the Effective Date of this Agreement (the "Initial Term") The City shall have the option to extend the term of this Agreement by one (1) additional one-year term ("Extended Term"), on the same terms and conditions, by providing written notice to Contractor at least thirty (30) days prior to the expiration of the Initial Term and subsequently, at least thirty (30) days before any Extended Term. The Initial Term and the Extended Terms are hereby collectively referred to herein as the "Term" of this Agreement." Section 3. Section 5 1 of the Agreement, titled "Article 5 — Payments to Contractor," is hereby amended to read as follows. "5 1 Total compensation for Consultant's performance of Services shall not exceed the amount of One Million Nine Hundred Eighty Nine Thousand Three Hundred Forty Nine Dollars and Thirty Four Cents ($1,989,349.34) for the Services provided during the Initial term and additional one-year term Should this Agreement be extended, the compensation for Contractor's performance for the Services for the final additional one-year term shall not exceed the amount of Six Hundred Forty One Thousand Two Hundred Twelve Dollars ($641,212) for such Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of Two Million Six Hundred Thirty Thousand Five Hundred Sixty One Dollars and Thirty Four Cents ($2,630,561.34) For the Initial Term and the Extended Terms, City shall pay Contractor on a time and materials basis up to the not-to- 1 L:\ca\djm\Agreements\General Pump First Amendment.FY21-0128.docx.jn exceed amount in accordance with the unit prices specified in Exhibit "C," titled Bidder's Rate Sheet," which is attached hereto and incorporated herein by reference " All other provisions of the Agreement shall remain unchanged by this First Amendment and in effect IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective as of June 7, 2022 CITY OF REDLANDS By Paul T Barich, Mayor ATTEST e Donaldson, City Clerk 2 L \ca\dim\Agreements\General Pump First Amendment.FY21 0128.docx.in GENERAL PUMP COMPANY, INC Thomas A Nan hy, Sr Proj Manager/Project Engineer EXHIBIT "1" SCOPE OF SERVICES 3 L.\ca\djm\Agreements\General Pump First Amendment.FY21-0128.docx.jn 159 N.
