GIFT DEED
This Gift Deed (the "Gift Deed"), delivered to be effective August 7, 2019, is executed by
Property One, LLC, a California limited liability company, (the "Grantor") in favor of the City of
Redlands, a California municipal corporation, (the "Grantee") and The Redlands Parks
Conservancy, a California nonprofit public benefit corporation, (the "Conservancy" and also
the "Remainder Grantee").
Firstlyas a charitable gift, with no consideration therefor, Grantor hereby conveys and
assigns, without warranty, to Grantee all of Grantor's right, title, and interest in and to that
certain real property in the City of Redlands, County of San Bernardino, State of California
described in the attached and incorporated Exhibit B, together with all of Grantor's right, title,
and interest in all improvements thereon and appurtenances thereto of every kind and nature
(ail collectively referred to herein as the "Property").
THE PROPERTY IS CONVEYED TO GRANTEE SUBJECT TO:
(a) The RESTRICTIONS AND POWER OF TERMINATION set forth in the attached and
incorporated Exhibit A;

(b) All liens, encumbrances, easements, covenants, conditions, and restrictions, and
other matters of record, all of which matters are specifically Incorporated herein by this
reference;
(c) All matters which would be revealed or disclosed in an accurate survey of the
Property;
(d) All matters which would be revealed or disclosed by a physical inspection of the
Property; and
(e) A lien not yet delinquent for taxes for real property and personal property, and
all general or special assessments against the Property.
Secondly, also as a charitable gift, with no consideration therefor, Grantor hereby
conveys and assigns, without warranty, to the Remainder Grantee a power of termination with
respect to the Property which is exercisable pursuant to the terms and provisions set forth in
Exhibit A hereto and which shall run with the land.

Enclosed is a Gift Deed transferring title on the above referenced parcels, all located on
Sylvan Boulevard, from the current owner (Property One, LLC) to the City of Redlands. Also
enclosed is a Preliminary Change of Ownership Report ("PCOR").
I understand this gift of property was approved for acceptance by the Redlands City
Council at its meeting last night.
Please obtain the required signature of the City Manager on the tabbed page of the
deed, with her signature notarized, and the Mayor's signature on the PCOR where tabbed on
the back side of the form. Once the documents are fully executed, please contact me
(909.906.1067) and I will pick up the original signed documents for recording.
