Haskins 1.:24exan er Title Order No. 548441 Eecrow or Loan No 2173 MAIL TAX STATEMENTS AS DIRECTED ABOVE June 23, 1966 MEMORANDUM To: City Clerk From: Administrative Assistant to City Manager The following is a summary of the escrow transaction in pur- chasing the 17 acres of land and improvements located south of the runways at Redlands Municipal Airport and at the north end of Wabash Avenue. This area and improvements were the property of Redlands Flightline, Inc. On March 22, 1966, the City was authorized by the Council to purchase this property for the price of $165,796. The offer of sale was made as a right of first refusal retained by the City as a provision of the Field Use Agreement. The City Council elected to exercise its right of first refusal, when the property was offered for sale by the owners. The City in so electing was bound by the escrow which had been developed between the owners and the person in- terested in buying the property. In executing this purchase, the escrow agreement provided that the seller (Redlands Flightline) reserved the right to select a property or properties which might be acquired through this escrow in lieu of a portion of their equities. The buyer (City) agreed to cooperate in making such transactions as trade escrows. Any extra charges involved by such transaction would be borne by the seller (Redlands Flightline (Roy Haskins and Alexander Theos) . The seller selected the following properties to be nominated as exchange escrows: a. Property at 1263 Brookside Avenue, Redlands (for Alexander Theos) $50,000 b. Property in Yucaipa, a total of 20 acres (selected by Roy Haskins) 70,000 c. Property at Lake San Marcos (selected by Roy Haskins) 27,500 The above three properties were purchased by the City of Redlands and simultaneously, after accepting the grant deeds involved, the property was immediately transferred via grant deed from the City to Mr. Theos and Mr. Haskins as specified, and the City given full credit for this amount by the escrow THE CITY OF REDLANDS - REDLANDS, CALIFORNIA Memorandum to City Clerk Page Two June 23, 1966 company. In effect, this amount was paid in cash by the City and credited to the City's account in the Master escrow in pur- chasing the airport. The balance of the money involved, some $18,296, was then paid to Redlands Flightline, Inc., in cash through the escrow com- pany. Actually, for practical purposes, the City deposited a total price of $165,796 with Redlands Escrow,..Inc., who then purchased the properties above described and paid the balance in cash to Redlands Flightline, concluding the transaction. The escrow statement, #2173 dated May 28, 1966, details each transaction, as well as specifies the sharing of the prorated taxes in the airport property and the payment of one-half of the escrow fee by the City. The balance due, as specified, $238.13, was paid to the escrow company on June 2, 1966. The City Clerk is requested to file the necessary application for tax refunds on the airport property, which would be due the City because of the fact that the City owned the property in fee as of May 19, 1966. Attached hereto are all the neces- sary supporting papers concerning the mast escrow, 42173, and the associated trade escrows involved as mentioned above. Also included are: 1. Policy of title insurance for the overall purchase of $165,796 worth of airport property and also the title search reports involved. 2 The assignments of the two subcontracts which existed between Redlands Flightline and Redlands Aviation and Redlands Flite Service, which were assumed by the City as part of the escrow. 3 A statement from the Standard Oil Company of Cali- fornia indicating that they have no claim against the fuel -dispensing equipment at the airport which was included as part of the purchase. 4. A letter indicating that Mr. Charles C. Parker, the real estate agent of Redlands Flightline, Inc., has authorized that all rentals due Redlands Flightline, Inc., for tiedowns and hangar space for the month of May, 1966, to the sum of $760.78, would be deducted from his commissions and would THE CITY OF REDLANDS - REDLANDS, CALIFORNIA Memorandum to City Clerk Page Three June 23, 1966 be payable to Mr. Parker when,as and if the City collected this portion of the rental in the course of events. (Escrow closed on May 19, 1966, but Redlands Fliteline was given credit on escrow for uncollected rents, May 1-19, 1966.) The grant deeds for the property purchased at the airport have been previously furnished the City Clerk for recording. Copies of all the grant deeds in which the City participated as a trade escrow transaction, that is, purchasing property, accept- ing title, and then transferring title to either Theos or Haskins in lieu of actual cash payment, have also been fur- nished the City Clerk for her records.
