RESOLUTION NO. 183
RESOLUTION OF THE REDEVELOPMENT AGENCY OF THE
CITY OF REDLANDS, CALIFORNIA, DECLARING ITS
INTENT TO ACQUIRE AND DISPOSE OF CERTAIN
PROPERTY, AUTHORIZING THE FORM OF CERTAIN
INSTALLMENT SALE AGREEMENTS AND SETTING A PUBLIC
HEARING FOR THE DISPOSITION OF PROPERTY LOCATED
WITHIN THE REDLANDS REDEVELOPMENT PROJECT AREA
PURSUANT TO HEALTH AND SAFETY CODE SECTION 33431
AND REQUESTING THE CITY COUNCIL OF THE CITY OF
REDLANDS, CALIFORNIA, TO TAKE CERTAIN ACTIONS
(COAST SAVINGS PLAZA PROJECT)
WHEREAS, the Redevelopment Agency of the City of Redlands
(the "Agency" ) , is a redevelopment agency, a public body, corporate
and politic of the State of California , organized and existing
pursuant to the Community Redevelopment Law (Part I of Division 24
(commencing with Section 33000 ) of the Health and Safety Code of the
State of California) (the "Act" ) ; and
WHEREAS, Downtown Development , a California limited
partnership (the "Company" ) , has sought the assistance of the Agency
to finance the construction and development of a certain 24 , 300
square foot commercial project (the "Project" ) for use at premises
generally located on Orange Street , south of the Santa Fe Railroad
Station in the City of Redlands , California , within a redev- 1opment-
project area of the Agency known as the Redlands Redevelopment
Project Area (the "Project Area" ) ; and

WHEREAS, the Project , as popolse , by the Coi-rllpany , sh'i I
confer a substantial benefit upon the Project Area and shall
significantly assist the Agency in preventing the spread of blight
into portions of the City of Redlands , California (the ""City" ) ,
located outside of the Project Area ; and
WHEREAS, pursuant to Resolution No . 178 , dated July 30 ,
1985 , as amended by Resolution No . 179 , the Agency has indicated its
intent to provide financing in connection with the Project ; and
WHEREAS, the City, pursuant to an appropriate Resolution of
the City Council of the City of Redlands , California (the "City
Council" ) at a duly noticed public hearing to be held on
November 19 , 1985 , will make certain findings and determinations in
connection with the Project as required by Section 103 (k) of the
Internal Revenue Code of 1954 , as amended (the "Code" ) ; and
WHEREAS, the Agency has been requested by the Company to
enter into a certain installment sale agreement for the disposition
and redevelopment of the Project by the Company pursuant to Health
and Safety Code Section 33431 ; and
WHEREAS, it is proposed that said installment sale
agreement contain provisions for the acquisition of the Project from
the seller by the Agency and the disposition of the Project by the
Agency to the Company in accordance with the development , use and
econorptic restrictions specified therein; and

WHEREAS, pu'i .suant to 33,1131 of the �ieolt-h end Safety
Code of the State of California , the Agency may convey the Project
to the Company without public bidding after publication of notice
following the holding of a public hearing thereon; and
WHEREAS, it is deemed desirable that the Agency approve the
form of the proposed First Installment Sale Agreement and the Second
Installment Sale Agreement for the acquisition and the disposition
of said Project by the Agency to the Company; and
WHEREAS, it is deemed desirable that the Agency set a
public hearing thereon and authorize the publication of notice
thereof and initiate the process for the sale or disposition of said
Project to the Company.
NOW, THEREFORE, BE IT RESOLVED, by the Redevelopment Agency
of the City of Redlands , California , as follows :
Section 1 . The Agency hereby declares its intent to
acquire and to convey said Project to the Company pursuant to Health
and Safety Code Section 33431 .
Section 2 . The Agency hereby authorizes and approves
the form of the First Installment Sale Agreement and the form of the
Second Installment Sale Agreement for the financing and disposition

hereby authorizes the Agency Staff and consultants to finalize the
terms of said First and Second Installment Sale Agreements for
approval by the Agency as soon as practicable.
Section 3 . Pursuant to Health and Safety Code
Section 33431, a public hearing shall be held by the Agency on
November 19 , 1985 , at the hour of 3 : 00 P.M. , in the Council
Chambers , 212 Brookside Avenue, Safety Hall , Redlands , California .
Section 4 . The Agency hereby requests the City Council
to and approve the acquisition and disposition of the Project .
Section 5 . The publication of the notice of said public
hearing of the Agency as attached hereto as Exhibit "A" by the
Agency Secretary is hereby ratified and approved.
Section 6 . The Agency Secretary is hereby authorized
and directed to cause this Resolution to be transmitted to the City
Council for appropriate action by that body.

NOTICE OF PUBLIC HEARING OF THE REDEVELOPMENT
AGENCY OF THE CITY OF REDLANDS, CALIFORNIA,
REGARDING THE ACQUISITION AND DISPOSITION OF
CERTAIN REAL PROPERTY PURSUANT TO THE TERMS OF A
CERTAIN FIRST INSTALLMENT SALE AGREEMENT AND
SECOND INSTALLMENT SALE AGREEMENT
NOTICE IS HEREBY GIVEN that the Redevelopment Agency of the
City of Redlands , California (the "Agency" ) will conduct a public
hearing on November 19 , 1985 , at the hour of 3 : 00 P.M. , in the
Council Chambers , 212 Brookside Avenue, Safety Hall , Redlands ,
California . The purpose of such hearing shall be to consider the
acquisition of certain real property by the Agency and the sale and
disposition of certain improved real property (the "Project" )
pursuant to the provisions of Health and Safety Code Section 33431
and the terms of a certain First Installment Sale Agreement and
Second Installment Sale Agreement (the "Agreements" ) which establish
the legal framework in which the developer of said Project will
implement its redevelopment in conjunction with certain Agency
assistance as authorized by Part 1 of Division 24 , commencing with
Section 33000 , of the Health and Safety Code of the State of
California (the "Act" ) . The Project is located on Orange Street ,
south of the Santa Fe Railroad Station in the City of Redlands ,
California , within a redevelopment project area of the Agency known
as the Redlands Redevelopment Project Area .
All persons interested in this matter may appear at the
time and place and on the date set forth above and present
information to the Agency regarding the acquisition and disposition
of the Project pursuant to said Agreements . The form of the
proposed Agreement and related Project documents are on file with
the Secretary of the Agency.
