Box 2090 Redlands, CA 92373 AGREEMENT This Agreement, made this 1st day of March 1988 by and between the Bear Valley Mutual Water Company, a Corporation, hereinafter called "Company" and the City of Redlands, a Municipal corporation, hereinafter called "City". W ITNESSETH W HEREAS, the Company owns a certain well known as the Orange Street Well (State of California Recordation No. 3610586) and State Well No. 1S3W15F1) located west of Orange Street and lust south of the Santa Ana River. W HE R EA S, the Company owns a pipeline which is utilized to deliver water from the Orange Street Well and is connected to the City water distribution system at Church Street and San Bernardino Avenue. W HEREAS, the City owns a certain Well known as the San Bernardino Avenue Well, (State of California Recordation No. 3601585 and State Well No. 1S3W23A), located just west of Judson Street on San Bernardino Avenue. W HER E A S, the City owns a pipeline which connects the San Bernardino Avenue Well into the Company pipeline in San Bernardino Avenue. W 0 W THEREF 0 R E, in consideration of mutual promises and benefits to be derived by each of the parties hereto, it is agreed as follows: 1. The Company shall convey by deed to the City all rights, title and interest in the real property and right of access as set forth in Exhibit "A" together with the existing Orange Street Well (State of California Recordation No. 3610586 and State Well No. 1C3415F1) including all well pumping equipment located on the aforesaid real property. 2.
