This second amendment ("Second Amendment") to the agreement to provide financial
consulting services necessary to update water, wastewater, and recycled/non-potable water utility
rates ("Agreement"), dated April 1, 2021, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and Raftelis Financial Consultants, Inc.
("Consultant"), is made and entered into this 18a' day of October, 2022.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend Article 4.1 of the
Agreement to extend the date for termination of the Services to December 31, 2023;
WHEREAS, it is the desire of the City and Consultant to amend Article 5.1 of the
Agreement to revise the total compensation amount to $71,765;
WHEREAS, it is the desire of the City and Consultant to revise the Scope of Services;
WHEREAS, it is the desire of the City and Consultant to revise the Cost of Services;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledge City and Consultant agree as follows:
AGREEMENT
Section 1. Section 4.1 of the Agreement, titled "Performance of Services," is hereby
amended to read as follows:
"4.1 Consultant shall complete the Services by December 31, 2023, unless the Services
are terminated earlier as provided for herein."
Section 2. Section 5.1 of the Agreement, titled "Payments to Consultant," is hereby
amended to read as follows:
"5.1 Total compensation for Consultant's performance of the Services shall not exceed
the amount of seventy-one thousand seven hundred and sixty-five dollars ($71,765). City
shall pay Consultant on a time and materials basis up to the not to exceed amount in
accordance with Exhibit `B," titled "Cost of Services" which is attached hereto and
incorporated herein by reference.
Section 3. Exhibit "A" of the Agreement, titled "Performance of Services," is hereby
replaced in its entirety;
Section 4. Exhibit `B" of the Agreement, titled "Cost of Services," is hereby replaced in
its entirety.

All other provisions of the Agreement shall remain unchanged by this Second Amendment
and in effect.
IN WITNESS WHEREOF, the parties have executed this Second Amendment, to be
effective as of October 18, 2022.
