SERVICES FOR IMPROVEMENT TO PUBLIC BUILDING AND GROUNDS
This first amendment ("First Amendment") to the Agreement for the water distribution
system supervisory control and data acquisition ("SCADA") upgrade project ("Agreement"),
dated December 7, 2021, by and between the City of Redlands, a municipal corporation and a
general law city ("City"), and TESCO Controls, Inc., a California Corporation ("Contractor"), is
made and entered into this 15th day of November, 2022.
RECITALS
WHEREAS, it is the desire of the City and Contractor to extend the time for completion of
the services to December 7, 2023.
WHEREAS, it is the desire of the City and Contractor to implement the Phase 3 project
scope of work as specified in the Exhibit "C".
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledge City and Contractor agree as follows:
AGREEMENT
Section 1. Section 4.2 of the Agreement, entitled "Performance of Services," is hereby
amended to read as follows:
"4.2 Contractor shall complete the Services by December 7, 2023, unless the Services
are earlier terminated as permitted herein."
Section 2. Section 5.2 of the Agreement, entitled "Payments to Contractor," is hereby
amended to read as follows:
"5.2 Total compensation for Contractor's performance of the Services shall not exceed
the amount of five million five hundred seventy-nine thousand four hundred twenty
dollars ($5,579,420). City shall pay Contractor on a time and materials basis up to
the not -to -exceed amount in accordance with the rates specified in Exhibit "C,"
titled "Price and Fee Bid," which is attached hereto and incorporated herein by
reference."
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
Section 4. This Amendment may be executed in counterparts, each of which shall be
deemed an original, but all of which, together, shall constitute one and the same instrument.
