This first amendment ("First Amendment") to the agreement for professional services for
implementation of an asset management system dated June 15, 2021 ("Agreement"), by and
between the City of Redlands, a municipal corporation and a general law city ("City"), and Sedaru,
Inc., a Delaware corporation ("Consultant"), is made and entered into this 6tir day of December,
2022.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically to expand the scope of services; and
WHEREAS, it is the desire of the City and Consultant to increase the service fee.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledge City and Consultant agree as follows:
AGREEMENT
Section 1. Section 1.1 of the Agreement, entitled "Agreement to Perform Professional
Services," is hereby amended to read as follows:
1.1 "City hereby engages Consultant to produce and provide to City a water distribution and
production and street maintenance asset management system for City (the "Services")."
Section 2. Section 5.1 of the Agreement, entitled "Agreement to Perform Professional
Services," is hereby amended to read as follows:
5.1 "Total compensation for Consultant's performance of the Services shall be in an amount
not -to -exceed three hundred thirty thousand two hundred sixty-five dollars ($330,265). City shall
pay Consultant on a time and materials basis up to the not to exceed amount in accordance with
Exhibit "C," titled "Service Cost," which is attached hereto and incorporated herein by reference."
Section 3. Exhibit "A" of the Agreement, entitled "Agreement to Perform Professional
Services," is hereby amended to incorporate the expanded scope of services attached hereto as
"Exhibit A".
Section 4. Exhibit "C" of the Agreement, entitled "Agreement to Perform Professional
Services," is hereby amended to incorporate the additional cost for services attached hereto as
"Exhibit C".
Section 5. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.

IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of December 6, 2022.
