SERVICES FOR EQUIPMENT AND SUPPLIES
This first amendment ("First Amendment") to the agreement for professional security
services ("Agreement"), dated June 21, 2022, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and Universal Protection Service, LP dba Allied
Universal Security Services ("Contractor"), is made and entered into this 20th day of December,
2022.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically the schedule and total compensation for Contractor's performance of the Services;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledge City and Contractor agree as follows:
AGREEMENT
Section 1. Section 5.1 of the Agreement is hereby amended to read as follows:
"Total compensation for Contractor's performance of the Services shall not exceed the
amount of One Hundred Thirty -Five Thousand Seven Hundred Eight -Five Dollars and Twenty -
Eight Cents ($135,785.28). City shall pay Contractor on a time and materials basis up the not to
exceed amount in accordance with Exhibit `B" title "Fee Schedule," which is attached hereto and
incorporated herein by this reference."
Section 2. Exhibit "A" entitled "Scope of Services" and Exhibit "B" entitled "Fee
Schedule" set forth in the Agreement are hereby replaced with a new Exhibit "A" and Exhibit
"B"which are attached hereto and incorporated into the Agreement by this reference.
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of January 1, 2023.

Provide unarmed, uniformed professional security officers who are capable of exercising good
judgement, will be highly visible at all times, deter crime, and perform other duties as outlined
by the City.
