HomeMy WebLinkAboutContracts & Agreements_26-2002AGREEMENT TO FURNISH DESIGN ENGINEERING SERVICES FOR THE PERFORMANCE OF PRELIMINARY DESIGN OF UPGRADES TO THE CITY OF REDLANDS' TATE WATER TREATMENT PLANT This Agreement is made and entered into this 19th day of February 2002 by and between the City of Redlands, a municipal corporation (hereinafter "City") and Black & Veatch Corporation, (hereinafter "Consultant"). In consideration of the mutual promises, covenants and conditions hereinafter set forth, City and Consultant hereby agree as follows: ARTICLE 1 - ENGAGEMENT OF CONSULTANT 1.1 City hereby engages Consultant, and Consultant hereby accepts the engagement, to perform services ("Services") for Preliminary Design of Upgrades to the City's Tate Water Treatment Plant ("Project"), for the City of Redlands, California. 1.2 The Services shall be performed by Consultant in a professional manner, and Consultant represents that it has the skill and the professional expertise necessary to provide high quality Services for the Project at the level of competency presently maintained by other practicing professional Consultants in the industry providing similar types of services. ARTICLE 2 - SERVICES OF CONSULTANT 2.1 The specific Services which Consultant shall perform are more particularly described in Attachment "A," entitled "Scope of Services," which is attached hereto and incorporated herein by this reference. ARTICLE 3 - RESPONSIBI IT S OF CITY 3.1 City shall make available to Consultant information in its possession that is pertinent to the performance of Consultant's Services. 3.2 City will provide access to and make provisions for Consultant to enter upon City -owned property or rights -of -way as required by Consultant to perform the Services. 3.3 City designates Douglas Headrick as Project Manager, to act as its representative with respect to the Services to be performed under this Agreement. AGREEMENT FOR WATER SYSTEM EVALUATION February 19, 2002 Page 2 ARTICLE 4 - PERIOD OF SERVICE 4.1 Consultant shall perform the Services in a diligent manner and in accordance with the schedule set forth in Attachment "B", entitled "Project Schedule". ARTICLE 5 - PAYMENTS TO THE CONSULTANT 5.1 The total compensation for Consultant's performance of Services shall not exceed the amount of $107,000. City shall pay Consultant on a time and materials basis up to the not to exceed amount, in accordance with Attachment "C", entitled "Project Fee", based on the hourly rates shown in Attachment "D", entitled "Rate Schedule". 5.2 Consultant shall bill City within ten days following the close of each month by submitting an invoice indicating the Services performed, who performed the services, indirect costs, and the detailed cost of all Services, including backup documentation. Payments by City to Consultant shall be made within 30 days after receipt and approval of Consultant's invoice, by warrant payable to Consultant. 5.3 All contractual notices, bills and payments shall be made in writing and may be given by personal delivery or by mail. O. Box 3005 Redlands CA 92373 When so addressed, such notices shall be deemed given upon deposit in the United States Mail. In all other instances, notices, bill and payments shall be deemed given at the time of actual delivery. Changes may be made in the names and addresses of the person to whom notices, bills, and payments are to be given by giving notice pursuant to this paragraph. ARTICLE 6 - INSURANCE AND INDEMNIFICATION 6.1 Consultant's Insurance to be Primary. All insurance required by this Agreement is to be maintained by Consultant for the duration of this Agreement and shall be primary with respect to City and non- AGREEMENT FOR WATER SYSTEM EVALUATION February 19, 2002 Page 3 contributing to any insurance or self-insurance maintained by City. Consultant shall provide City with Certificates of Insurance evidencing such insurance prior to commencing the services. 6.2 Worker's Compensation and Employer's Liability A. Consultant shall have worker's compensation and employer's liability insurance in force throughout the duration of the contract in an amount, which meets the statutory requirement with an insurance carrier acceptable to the City. The insurance policy shall include a provision prohibiting cancellation of said policy except upon thirty (30) days prior written notice to City. Certificates of Insurance shall be delivered to City within fifteen (15) days of execution of the agreement. B. Consultant expressly waives all rights to subrogation against the City, its officers, employees and volunteers for losses arising from work performed by Consultant for City by expressly waiving Consultant's immunity for injuries to Consultant's employees and agrees that the obligation to indemnify, defend and hold hainiless provided for in this Agreement extend to any claim brought by or on behalf of any employee of Consultant. This waiver is mutually negotiated by the parties. This shall not apply to any damage resulting from the sole negligence of City, its agents and employees. To the extent any of the damages referenced herein were caused by or resulted from the concurrent negligence of City, its agents or employees, the obligations provided herein to indemnify, defend and hold harmless are valid and enforceable only to the extent of the negligence of Consultant, its officers, agents and employees. 6.3 Comprehensive General Liability Insurance. Consultant shall secure and maintain in force throughout the duration of the contract comprehensive general liability insurance covering all work under this Agreement, including work done by subcontractors, with carriers acceptable to the City. Minimum coverages of one million dollars ($1,000,000) per occurrence and two million dollars ($2,000,000) aggregate for public liability, property damage and personal injury is required. The City shall be named as an additional insured and the insurance policy shall include a provision prohibiting cancellation of said policy except upon thirty (30) days prior written notice to the City. 6.4 Business Auto Liability Insurance. Consultant shall carry business auto liability coverage, with minimum limits of five hundred thousand dollars ($500,000) per occurrence, combined single limit for bodily injury liability and property damage liability. This coverage shall include all Consultant owned vehicles used on the Agreement, hired and non -owned vehicles, and employee non -ownership vehicles. AGREEMENT FOR WAlLR SYSTEM EVALUATION February 19, 2002 Page 4 6.5 Professional Liability Insurance. Agreements with Consultants who are required to be professionally certified by the State, shall be required to provide professional liability insurance in the amount of one million dollars ($1,000,000) on a claims made basis and three million dollars ($3,000,000) in the aggregate and consultant shall maintain tail coverage for six (6) months beyond the conclusion of the contract. 6.6 Hold Harmless and Indemnification. Consultant shall indemnify, hold harmless and defend City and its elected officials, agents and employees from and against any and all claims, losses or liability, including attomey's fees, arising from injury or death to persons or damage to property occasioned by any negligent act, omission or failure of Consultant, its subcontractors, and any of its officers, agents and employees in performing the work required by this Agreement. Consultant's obligations under this provision shall not be limited in any way by any terms of this Agreement, or the insurance limits. In the event such liability, claims, actions, causes of action of demands are caused by the joint or concurrent negligence of more than one party, such liability shall be borne by each party in proportion to their own fault. 6.7 Property Insurance. The parties waive any and all rights against each other, including their rights of subrogation, for damages covered by property insurance during and after the completion of the services. If the services extend to the construction phase of this Project, a similar provision shall be included in all construction contracts, subcontracts and supply agreements entered into by the City and shall protect the City and Consultant to the same extent. ARTICLE 7 - GENERAL CONSIDERATIONS 7.1 In the event any action is commenced to enforce or interpret any of the terms or conditions of this Agreement the prevailing party shall, in addition to any costs and other relief, be entitled to the recovery of its reasonable attorneys' fees. 7.2 Consultant shall not assign any of the Services required by this Agreement, except with the prior written approval of City and in strict compliance with the terms, provisions and conditions of this Agreement. 7.3 Consultant's key personnel for the Project are: Project Manager: Project Engineer: Steve Foellmi Mike Schnieders AGREEMENT FOR WATER SYSTEM EVALUATION February 19, 2002 Page 5 Consultant agrees that the key personnel shall be made available and assigned to the Project, and that they shall not be replaced without concurrence from City. 7.4 All documents, records, drawings, designs, costs estimates, electronic data files and databases and other Project documents developed by the Consultant pursuant to this Agreement shall become the property of City and shall be delivered to City upon completion of the Services or upon the request of City. Any reuse of such documents for other projects and any use of incomplete documents will be at City's sole risk. 7.5 Consultant is for all purposes an independent contractor. All personnel employed by Consultant are for its account only, and in no event shall Consultant or any personnel retained by it be deemed to have been employed by City or engaged by City for the account of or on behalf of City. 7.6 Unless earlier terminated, as provided for below, this Agreement shall terminate upon completion and acceptance by City of the Services. 7.7 This Agreement may be terminated by the City, without cause, by providing ten (10) days prior written notice to the Consultant (delivered by certified mail, return receipt requested) of intent to terminate. 7.8 Upon receipt of a termination notice, Consultant shall (1) promptly discontinue all services affected, and (2) deliver or otherwise make available to City, copies (in both hard copy and electronic form, where applicable), of any data, design calculations, drawings, specifications, reports, estimates, summaries and such other information and materials as may have been accumulated by Consultant in performing the Services required by this Agreement. 7.9 This Agreement, including the attachments incorporated herein by reference, represents the entire agreement and understanding between the parties and any prior negotiations, proposals or oral agreements are superseded by this Agreement. Any amendment to this Agreement shall be in writing, approved by the City Council of City and signed by City and Consultant. This Agreement shall be governed by and construed in accordance with the laws of the State of California. Foellmi Title: Vice Pressident ATTACHMENT A SCOPE OF SERVICES The Scope of Work will focus on completion of the following key objectives: Task 4 — Horace Hinckley Surface Water Treatment Plant: • Evaluate the plant hydraulic capacity and the physical configuration of each plant process component. Define the reliable rated capacity for each plant component. • Evaluate the process performance capability for each plant component. Identify opportunities for expanded capacity perfoiniance. • Perform a brief bench scale test with State Water Project raw water to define appropriate treatment chemicals (coagulant and coagulant aid) and dosages. ▪ Evaluate plant operational procedures and identify opportunities for expanded capacity performance. • Coordinate with the California DHS to achieve approval for plant operation in summer 2002 at a 14 to 15 mgd capacity. Prepare a report to the California DHS presenting the basis for plant operations at the desired treatment capacity. Task 5 — Henry Tate Surface Water Treatment Plant: • Evaluate the treatment process impacts associated with (1) Mill Creek Water, (2) Santa Ana River water, and (3) a combination of the two water supplies. • Perform bench scale testing with Santa Ana River water to define the treatment approach and expected treatment performance. • Define the process and operational modifications needed to achieve the expanded plant capacity. • Coordinate with the California DHS to achieve approval for plant operation in summer 2002 at a 10 to 12 mgd capacity using Santa Ana River water as the raw water supply. • Prepare a report to the California DHS presenting the basis for plant operations at the desired treatment capacity. Task 6 — Groundwater Blending Facility: ▪ Evaluate the water quality characteristics of City's potable service groundwater wells. ▪ Investigate the distribution piping configuration and identify an approach for blending with other water supplies to improve the overall quality of water delivered to the City's customers. Well No. 39, the Rees well, and airport well No. 1 are of primary concern. ▪ Investigate the distribution piping configuration associated with well No. 13 and the 10 MG Highland Reservoir. 1 • Prepare a formal blending plan for the Highland Reservoir incorporating DHS annual review comments. Meet with the California DHS, as required, to present the blending plan, and obtain California DHS approval for blending well No. 13. Task 7 — CT Tracer Testing and Report: • Develop a tracer testing program for both the Hinckley and the Tate surface water treatment plants. • Review the proposed program with DHS and obtain approval. • Perform the tracer testing program at both the Hinckley and Tate surface water treatment plants, monitor and record pertinent data. • Evaluate the results of the tracer testing and prepare a summary report. Review the findings with the City and with DHS, and incorporate into the City's CT compliance approach to confirm regulatory compliance. Task 8 — DHS Coordination: Hinckley SWTP ▪ Hold meetings with DHS to discuss short-term capacity improvements and to obtain DHS approval of recommended improvements. • Prepare a report summarizing the capacity improvement approach. • Perform a full-scale demonstration test to confiuiu capacity improvement recommendations. Tate SWTP • Hold meetings with DHS to discuss short-term capacity improvements and to obtain DHS approval of recommended improvements. ▪ Prepare a report summarizing the capacity improvement approach. • Perform a full-scale demonstration test to confirm capacity improvement recommendations. Groundwater Blending Plan • Hold meetings with DHS to discuss the proposed groundwater blending program to address water quality concerns. • Prepare a report summarizing the preliminary blending plan approach. The work will consist of the following: TASK 4 — HINCKLEY WATER TREATMENT PLANT EVALUATIONS Task 4A — Existing Information and Data Review Existing information and data available from the City will be reviewed. This data will provide the basis upon which to initiate the investigation of the capability of the existing plant components. Existing reports and studies, construction drawings and specifications, and other pertinent information will be reviewed. Discussions with the plant staff will be held to assure a thorough and accurate understanding of plant operations. 2 Task 4B — Water Treatment Plant Capacity Audit The existing water treatment plant components will be inspected and the hydraulic capability of each plant component will be defmed. Task 4B.1 — Physical Characteristics. The physical characteristics of each plant component will be reviewed and the hydraulic capability defined. This investigation will include a review of all plant components including the chemical feed systems, chemical mixing, flocculation, sedimentation, filters, washwater recovery, and disinfection. Task 4B.2 — Hydraulic Performance. The hydraulic capability of the plant will be defined based on the physical characteristics of each plant component defmed in the previous task. The hydraulic profile through the plant will be calculated based on a range of plant flows. Alternatives for expanding the actual plant production will be defined. Operational alternatives will be identified to maximize production consistent with DHS criteria. Alternatives that result in operation above normal DHS criteria will also be investigated. Task 4B.3 — Technical Memorandum. The results of the work under this task will be summarized in a draft Technical Memorandum and provided to the City staff for review. Following receipt and resolution of review comments, a final Technical Memorandum will be prepared and submitted to the City. Task 4C — Bench Scale Investigations (State Water Project) A brief bench scale testing program will be perfoiined for State Water Project water to define the chemical treatment approach and chemical dosages to assure reliable performance at the Hinckley water treatment plant. The bench scale testing will provide data to assist in obtaining DHS approval for operation of the plant at an average plant flow rate in excess of the currently permitted 12 mgd. Bench scale investigations will only be performed if required by DHS for approval of plant operation in excess of 12 mgd. Task 4D — Summary Report The results of the investigations performed herein shall be the basis for discussions and coordination with California DHS. The focus of this work shall be to achieve DHS approval for operation at a capacity of 14 to 15 mgd during summer 2002. A summary report presenting the basis for plant operation at the desired capacity of 14 to 15 mgd will be prepared. The Report will be prepared in an initial draft and submitted for review. Following receipt and resolution of review comments, five (5) copies of the final Report will be prepared. 3 TASK 5 — HENRY TATE WATER TREATMENT PLANT Task 5A — Treatment Process Evaluation The treatment process impacts associated with (1) Mill Creek Water, (2) Santa Ana River water, and (3) a combination of the two water supplies will be investigated. Modifications to the existing plant facilities to accommodate the water quality characteristics of the referenced water sources such as alternative chemical treatment will be evaluated. Task 5B — Bench Scale Investigations (Santa Ana River Water) A brief bench scale testing program will be performed for Santa Ana River water to define the treatment approach and expected treatment performance at the Henry Tate water treatment plant. The bench scale testing will provide data to assist in obtaining California DHS approval for use of this water source either alone or in combination with Mill Creek water. Task 5C — Summary Report The results of the investigations performed herein shall be the basis for discussions and coordination with California DHS. The focus of this work shall be to achieve DHS approval for operation at a capacity of 10 to 12 mgd during summer 2002 using Santa Ana River water as the raw water supply. A summary report presenting the basis for plant operation at the desired capacity of 10 to 12 mgd will be prepared. The Report will be prepared in an initial draft and submitted for review. Following receipt and resolution of review comments, five (5) copies of the final Report will be prepared. TASK 6 — GROUNDWATER BLENDING FACILITY Task 6A — Preliminary Investigation Existing information and data available from the City will be reviewed and will provide the basis upon which to initiate the investigation of groundwater blending. Existing reports and studies, construction drawings and specifications, and other pertinent information will be reviewed. Discussions with the City staff will be held to assure a thorough and accurate understanding of well system operations. Task 6B — Facility Evaluation & Blending Plan Development The existing well and distribution piping arrangement will be reviewed and flow characteristics defined. Alternatives for blending high perchlorate wells will be defined to improve the overall water quality of the water delivered to the City's customers. Well No. 39, the Rees well, and airport well No. 1 are of primary concern. The existing well and distribution piping arrangement for Well No. 13 and the 10 MG Highland Reservoir will be investigated. A blending plan will be prepared for these facilities incorporating the review comments from the DHS annual inspection report. A theoretical model of the proposed blending facility will be developed as a means for confirming the operational goal of the blending facility to DHS. Provisions for monitoring water flow rates from individual wells and other sources will be defined. Water quality data will be summarized for use in providing a basis for defining the blending facility configuration. 4 The alternatives will be reviewed and a recommended blending plan will be prepared. The recommended plan will be presented in draft form to DHS. Task 6C — Blending Plan Report The results of the investigations perfoiuied herein shall be the basis for discussions and coordination with California DHS. This work shall (1) mitigate high perchlorate well water supplies to improve the overall system water quality, and (2) achieve DHS approval for blending of Well No. 13 at the Highland Reservoir to achieve DHS regulatory compliance. A summary report presenting the basis for blending facility operation. The Report will be prepared in an initial draft and submitted for review. Following receipt and resolution of review comments, five (5) copies of the fmal Report will be prepared. TASK 7 — CT TRACER TESTING AND REPORT Task 7A — Tracer Testing Programs A tracer testing program will be developed for both the Hinckley and the Tate surface water treatment plants. The tracer testing programs will be provided to the City and to DHS in draft form for review prior to the tracer testing being performed. Review comments will be addressed and the tracer testing programs approved by California DHS prior to the work proceeding. Task 7B — Tracer Testing The tracer testing work for each plant will be performed in two test segments. Each test segment will be performed at the design capacity of the plant (or portion of the plant included in the test). The first test segment will include the basin complex portion of the plant. The second test segment will include the filters and the plant clearwell. Task 7C — Summary Report The data from the tracer testing programs will be compiled and evaluated for each treatment plant. A report summarizing the results of the tracer testing work at both plants will be prepared. The Report will be prepared in an initial draft and submitted to the City and DHS for review. Discussions with both the City and DHS will be performed. Following receipt and resolution of review comments, five (5) copies of the fmal Report will be prepared and distributed. TASK 8 — DHS COORDINATION Task 8A — DHS Coordination Hinckley SWTP. An initial meeting will be held with DHS personnel to review the current operating permit for the plant and to discuss alternatives for expanding the acceptable plant capacity. The specific concerns of DHS will be discussed and opportunities for capacity improvement will be identified. Short term capacity improvements will be the focus. Alternatives that also result in long term benefit to the City will also be investigated. A second meeting with DHS will be held to present the preliminary concepts for achieving short teiui plant capacity improvements. A draft report will be prepared and presented to DHS 5 summarizing the preliminary capacity improvement approach. Initial review comments from DHS will be sought to expedite completion and final approval. A third meeting will be held with DHS to present the final capacity improvement report and obtain the approval of DHS. Follow up information as requested by DHS will be provided to resolve questions and achieve acceptance. A full-scale demonstration test will be performed to confiiiu the recommendations to DHS. The consultant shall develop the demonstration plan, review with DHS and obtain approval, and coordinate the execution of the test with the City staff. Tate SWTP. An initial meeting will be held with DHS personnel to review the current operating permit for the plant and to discuss alternatives for expanding the acceptable plant capacity. The specific concerns of DHS will be discussed and opportunities for capacity improvement will be identified. Short teiiu capacity improvements will be the focus. Alternatives that also result in long teen benefit to the City will also be investigated. A second meeting with DHS will be held to present the preliminary concepts for achieving short teinn plant capacity improvements. A draft report will be prepared and presented to DHS summarizing the preliminary capacity improvement approach. Initial review comments from DHS will be sought to expedite completion and final approval. A third meeting will be held with DHS to present the final capacity improvement report and obtain the approval of DHS. Follow up information as requested by DHS will be provided to resolve questions and achieve acceptance. A full-scale demonstration test will be performed to confirm the recommendations to DHS. The consultant shall develop the demonstration plan, review with DHS and obtain approval, and coordinate the execution of the test with the City staff. Groundwater Blending Plan. An initial meeting will be held with DHS personnel to review the proposed blending plan and to discuss blending scenarios. The specific concerns of DHS will be discussed. A second meeting with DHS will be held to present the preliminary blending facility concepts. A draft report will be prepared and presented to DHS summarizing the preliminary blending approach. Initial review comments from DHS will be sought to expedite completion and final approval. A third meeting will be held with DHS to present the final blending facility report and obtain the approval of DHS. Resolution No. 6010 - Street Lighting District No. 1 - This item was withdrawn from the agenda. Resolution No. 6014 - Landscape Maintenance District No. 1 - On motion of Councilmember Peppier, seconded by Councilmember George, the City Council unanimously adopted Resolution No. 6014, a resolution of the City Council of the City of Redlands, instituting proceedings, appointing an assessment engineer, and ordering the preparation of an engineer's report in the matter of Landscape Maintenance District No. 1. Experimental Aircraft Association - On motion of Councihember Peppier, seconded by Councilmember George, the City Council unanimously authorized a letter to be signed by the Mayor on behalf of the City Council and the City of Redlands expressing appreciation and thanks to the Experimental Aircraft Association, Chapter 845, for conducting the volunteer work to maintain the segmented circle at the Redlands Municipal Airport. Funds - California Street Landfill - On motion of Councilmember Peppier, seconded by Councilmember George, the City Council unanimously authorized the purchase of parts and materials from P & F Distributors for replacement of the landfill gas north header line for the California Street Landfill in the amount of $25,705.58. Redlands Recycled Water Project - On motion of Councilmember Peppier, seconded by Councilmember George, the City Council unanimously approved and authorized execution of Task Order No. 4 (Amendment No. 4) of the master services agreement with Carollo Engineers to provide engineering services for the Redlands Recycled Water Project treatment facilities. Agreement - Ammonium Perchlorate - On motion of Councilmember Peppier, seconded by Councilmember George, the City Council unanimously approved a professional services agreement with Black & Veatch Corporation to perform water system analyses to identify opportunities for expanded performance of existing facilities and to mitigate issues regarding ammonium perchlorate in the City's water supply and authorized the Mayor and City Clerk to sign the agreement on behalf of the City. Agreement - Housing and Finance Agency - Lew Sheppard explained the role and function of the Riverside -San Bernardino Housing and Finance Agency (RISFA). The purpose of this agency is to offer home buyers an affordable lease -to -own program. This agreement will enable Redlands to establish voting membership in RISFA, and he explained associate versus voting membership. February 19, 2002 Page 8
