FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES
This first amendment ("First Amendment") to the agreement for the provision of
professional services associated with the development of an Inclusionary Housing program
("Agreement"), dated October 4, 2022, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and Keyser Marston Associates, Inc., a California
corporation ("Consultant"), is made and entered into this 17th day of January, 2023.
RECITALS
WHEREAS, the Parties entered into a Professional Services Agreement ("Agreement") on
October 4, 2022, for the provide an Inclusionary Housing program to the City;
WHEREAS, the Parties entered into a First Amendment to the Agreement ("First
Amendment") on January 17, 2023; and
WHEREAS, it is the desire of the Parties to amend their existing Agreement, specifically
to make a change extending the deadline for the performance of the services by the Consultant.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 4 of the Agreement, entitled "Performance of Services," is hereby
amended to read as follows:
"4.2 Consultant shall complete the Services by June 30, 2023, unless the Services are terminated
earlier as provided for herein."
Section 2. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of January 17, 2023.
